| Zarząd CARLSON INVESTMENTS S.A. z siedzibą w Warszawie (Spółka, Emitent) w związku z otrzymanym w dniu 19 maja 2021 roku od Akcjonariusza zawiadomieniem o stanie posiadania akcji informuje, że w raporcie bieżącym nr 9/2021 przekazanym przez Emitenta do publicznej wiadomości zidentyfikowano błąd w treści zawiadomienia. Błąd polega na omyłce redakcyjnej powstałej przy sporządzaniu przez pracownika Spółki treści raportu, w której to nie wpisano daty, od której Akcjonariusz wykonywał transakcję. W zawiadomieniu Akcjonariusz prawidłowo poinformował: „Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie W związku z powzięciem informacji przez CVI Ltd w dniu 17 maja 2021 roku o przekroczeniu progu 1 % ogólnej liczby głosów w Spółce przy dotychczasowym udziale ponad 33% ogólnej liczby głosów a wynoszącym 61,89 %, w wyniku nabycia ogółem 210 240 akcji Emitenta od dnia 23 października 2020 r. w transakcjach w systemie ASO.” Emitent w raporcie bieżącym 9/2021 omyłkowo przekazał: ,,Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie W związku z powzięciem informacji przez CVI Ltd w dniu 17 maja 2021 roku o przekroczeniu progu 1 % ogólnej liczby głosów w Spółce przy dotychczasowym udziale ponad 33% ogólnej liczby głosów a wynoszącym 61,89 % w wyniku nabycia ogółem 210 240 akcji Emitenta w kilku transakcjach w systemie ASO.” Spółka świadoma obowiązków informacyjnych na niej ciążących wyciągnęła wnioski z opisywanej omyłki i dołoży starań w przyszłości aby zapobiegać takim sytuacjom. Ponadto Emitent poniżej przekazuje skorygowaną poprawną treść zawiadomienia zgodnie z treścią przekazaną w dniu 19 maja 2021 r. przez Carlson Ventures International Limited z siedzibą w Tortola : „Na podstawie art. 69 ust.1 pkt 2) w związku z art.87 ust.1 pkt 2) Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2005 r. nr 184,poz.1539 z późn. zm Carlson Ventures International Limited z siedzibą w Tortola (dalej CVI Ltd) zawiadamia, iż łączny udział CVI Ltd w ogólnej liczbie głosów CARLSON INVESTMENTS S.A. z siedzibą w Warszawie (dalej „Spółka”, „Emitent”) wynosi 65,70% w ogólnej liczbie głosów. Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie W związku z powzięciem informacji przez CVI Ltd w dniu 17 maja 2021 roku o przekroczeniu progu 1 % ogólnej liczby głosów w Spółce przy dotychczasowym udziale ponad 33% ogólnej liczby głosów a wynoszącym 61,89 %, w wyniku nabycia ogółem 210 240 akcji Emitenta od dnia 23 października 2020 r. w transakcjach w systemie ASO. Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym Spółki oraz liczbie głosów z tych akcji oraz procentowym udziale w ogólnej liczbie głosów: Przed powzięciem informacji przez CVI Ltd w dniu 17 maja 2021 roku o przekroczeniu progu 1 % ogólnej liczby głosów w Spółce przy dotychczasowym udziale ponad 33% ogólnej liczby głosów CVI Ltd posiadał 3.416.547 akcji Spółki w kapitale zakładowym reprezentujących 61,89 % kapitału zakładowego Spółki, uprawniających do wykonania 3 416 547 głosów, co stanowił 61,89 % w ogólnej liczbie głosów w Spółce. Liczba akcji i ich procentowy udział w kapitale zakładowym Spółki oraz liczba głosów z tych akcji i ich procentowym udział w ogólnej liczbie głosów: Po powzięciu informacji przez CVI Ltd w dniu 17 maja 2021 roku o przekroczeniu progu 1 % ogólnej liczby głosów w Spółce przy dotychczasowym udziale ponad 33% ogólnej liczby głosów CVI Ltd posiada 3.626 787 akcji Spółki w kapitale zakładowym reprezentujących 65,70 % kapitału zakładowego Spółki, uprawniających do wykonania 3 626 787 głosów, co stanowił 65,70 % w ogólnej liczbie głosów w Spółce. Brak jest podmiotów zależnych od akcjonariusza dokonujących zawiadomienia, posiadających akcje Spółki. Brak jest osób, o których mowa w atr.87 ust.1 pkt3 lit. c wyżej powołanej ustawy w stosunku do akcjonariusza. Jednocześnie, zgodnie z art.69 ust.4 pkt 5 i 6 Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych z późniejszymi zmianami, CVI Ltd informuje, że dopuszcza zwiększenie zaangażowania w Spółkę w ciągu nadchodzących 12 miesięcy.„ |

| ESPI current report No. 10/2021 Legal basis: Article 70(1) of the Act on The Offer - to purchase or transfer a new shareholding Public Chancellery Subject: Correction to the notification on the acquisition of a material block of shares The Management Board of CARLSON INVESTMENTS S.A., with its registered office in Warsaw (the Company, the Issuer), in connection with the notification received on 19 May 2021 from a Shareholder on the holding of shares, informs that an error in the content of the notification was identified in Current Report No. 9/2021 sent by the Issuer to the public. The error consists in a drafting error which occurred when the content of the report was prepared by an employee of the Company and in which the date from which the Shareholder executed the transaction was not entered. In the notice, the Shareholder correctly stated: "Date and type of event giving rise to the change in shareholding to which the notice relates In connection with the receipt of information by CVI Ltd on 17 May 2021 about exceeding the threshold of 1% of the total number of votes in the Company with the previous share of over 33% of the total number of votes and amounting to 61.89%, as a result of the acquisition of a total of 210,240 shares of the Issuer from 23 October 2020 in transactions in the ATS system." The Issuer in current report 9/2021 mistakenly stated: ,,Date and type of event giving rise to the change in shareholding to which the notification relates In connection with the receipt of information by CVI Ltd on 17 May 2021 on exceeding the threshold of 1% of the total number of votes in the Company with the previous share of over 33% of the total number of votes and amounting to 61.89% as a result of the acquisition of a total of 210,240 shares of the Issuer in several transactions in the ATS system." The Company, aware of its information obligations, has drawn conclusions from the mistake and will make efforts to prevent such situations in the future. In addition, the Issuer provides below the corrected correct text of the notice as provided on 19 May 2021 by Carlson Ventures International Limited, Tortola: "On the basis of Art. 69 (1) (2) in connection with Art. 87 (1) (2) of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (Journal of Laws of 2005 No. 184, item 1539 with later amendments Carlson Ventures International Limited with its registered office in Tortola (hereinafter "CVI Ltd") announces that the total share of CVI Ltd in the total number of votes of CARLSON INVESTMENTS S.A. with its registered office in Warsaw (hereinafter "the Company", "the Issuer") amounts to 65.70% in the total number of votes. Date and type of event giving rise to the change in shareholding notified In connection with the receipt of information by CVI Ltd on 17 May 2021 about exceeding the threshold of 1% of the total number of votes in the Company with the previous share of over 33% of the total number of votes and amounting to 61.89%, as a result of the acquisition of a total of 210,240 shares of the Issuer from 23 October 2020 in transactions in the ATS system. The number of shares held before the change in shareholding and their percentage share in the Company's share capital and the number of votes attached to those shares and percentage share in the total number of votes: Before CVI Ltd became aware on 17 May 2021 that it had exceeded the threshold of 1% of the total number of votes in the Company with a previous shareholding of over 33% of the total number of votes, CVI Ltd held 3,416,547 shares in the Company representing 61.89% of the Company's share capital, carrying 3,416,547 votes, which accounted for 61.89% of the total number of votes in the Company. Number of shares and their percentage share in the Company's share capital and number of votes attached to those shares and their percentage share in the total number of votes: Having been informed by CVI Ltd on 17 May 2021 that it exceeded the threshold of 1% of the total number of votes in the Company with the previous share of over 33% of the total number of votes, CVI Ltd holds 3,626,787 shares in the Company representing 65.70% of the Company's share capital, entitling to exercise 3,626,787 votes, which constituted 65.70% of the total number of votes in the Company. There are no subsidiaries of the shareholder making the notification who hold shares in the Company. There are no persons referred to in Article 87(1)(3)(c) of the aforementioned Act in relation to the shareholder. At the same time, in accordance with Article 69.4.5 and 69.4.6 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies, as amended, CVI Ltd announces that it approves the increase of its involvement in the Company in the coming 12 months." |
