| Zarząd Play Communications S.A. („Spółka”) informuje, że Pan Georgios Xirouchakis złożył rezygnację z pełnienia funkcji dyrektora klasy B Zarządu Spółki ze skutkiem na 25 lipca 2018 roku. Pan Georgios Xirouchakis nie podał powodów swojej rezygnacji. Zgodnie z artykułem 11.4.2 i 12.2 statutu Spółki, Tollerton Investment Limited zaproponował następcę – Pana Rouben Bourlas, który został tymczasowo powołany przez pozostałych członków Zarządu do czasu najbliższego Walnego Zgromadzenia Spółki, które to podejmie uchwałę o jego powołaniu na stałe. Pan Rouben Bourlas, 43 lata, jest managerem wyższego szczebla i posiada duże doświadczenie międzynarodowe w handlu detalicznym i strategii. Rouben Bourlas zaczął swoją karierę w firmie zajmującej się doradztwem strategicznym w Nowym Jorku a następnie pracował w Londynie jako Dyrektor Handlowy w easyGroup należącej do Steliosa Haji-Ioannou. Do 2015 roku, zanim został Prezesem Westnet Distribution, Rouben Bourlas był Prezesem sieci sklepów detalicznych Public. Od lutego 2018 roku jest Prezesem Olympia Group. Rouben Bourlas posiada tytuł magistra z inżynierii mechanicznej, które uzyskał na Cornell University w Nowym Jorku oraz ukończył studia MBA na Massachusetts Institute of Technology (MIT) w Bostonie. |

| Resignation of the Board of Directors member of Play Communications S.A. and appointment of a new Board of Directors member of Play Communications S.A. The Board of Directors of Play Communications S.A. (the “Company”) hereby reports that Mr. Georgios Xirouchakis has submitted his resignation from the office of class B director of the Board of Directors of the Company effective as of July 25th, 2018. Mr. Georgios Xirouchakis did not give reasons for his resignation. Pursuant to articles 11.4.2 and 12.2 of the Articles of Association of the Company, Tollerton Investment Limited proposed the nominee – Mr. Rouben Bourlas, which was temporarily appointed by the remaining Board of Directors members until the next General Meeting of the Company, which shall resolve on its permanent appointment. Mr. Rouben Bourlas, age 43, is a senior executive with broad international experience in retail and strategy. Mr. Rouben Bourlas started his career in strategy consulting in New York and then moved to London as Commercial Director at the easyGroup of Stelios Hajiioannou. Mr. Rouben Bourlas was CEO of Public retail stores until 2015 when he became the CEO of Westnet Distribution. Since February 2018 he is the CEO of Olympia Group. Mr. Rouben Bourlas holds a Bachelors and Masters degree in Mechanical Engineering from Cornell University in New York, as well as an MBA from the Massachusetts Institute of Technology (MIT) in Boston. |
