Zarząd Proguns Group S.A. z siedzibą w Warszawie (Emitent) informuje, że w dniu 11 lutego 2025 roku Emitent zawarł porozumienie (Memorandum of Understending) z Charter Trading Corporation (CTC) z siedzibą w stanie Teksas (USA), na mocy którego Emitent będzie oferował swoim klientom helikoptery UH-60 Blackhawk, części zamienne i podzespoły do helikopterów UH-60 Blackhawk oraz program szkoleniowy. Przedmiotem oferty będą helikoptery pozyskiwane od sił zbrojnych USA, przeznaczone zarówno do wykonywania zadań cywilnych (ratownictwo, poszukiwania, gaszenie pożarów, inne), jak i misji wojskowych. Na podstawie porozumienia Emitent uzyskał od CTC wyłączność na oferowanie helikopterów UH-60 Blackhawk na terytorium Polski. Porozumienie (MoU) obowiązuje do 7 lutego 2027 roku.

Emitent informuje, że Charter Trading Corporation jest przedsiębiorstwem świadczącym usługi oraz dostarczającym produkty wspierające operacje Departamentu Obrony USA (DOD) i Departamentu Bezpieczeństwa Wewnętrznego USA (DHS). CTC jest również wyspecjalizowanym centrum MRO (Maintenance, Repair, and Overhaul) w zakresie obsługi, modyfikacji i modernizacji śmigłowców, zarówno dla klientów z USA, jak i zagranicznych, o globalnym zasięgu, dostarczającym najwyższej klasy usługi konserwacji i modernizacji śmigłowców.

Emitent wyjaśnia, że decyzja o uzupełnieniu oferty Emitenta o helikoptery UH-60 Blackhawk została podjęta po analizie potrzeb rynku lotniczego w Polsce, w tym zarówno służb mundurowych, jak i użytkowników cywilnych, oraz kompetencji kluczowych członków zespołu Emitenta, posiadających doświadczenie na rynku produktów podwójnego zastosowania.

Emitent wskazuje, że realizacja sprzedaży śmigłowców UH-60 Blackhawk lub części i podzespołów do nich, przy którym pośredniczyć będzie Emitent, może znacząco wpłynąć na wyniki finansowe Emitenta.

Emitent podkreśla jednocześnie, że nadal zamierza skupiać się na realizacji nowej strategii Emitenta, o której mowa w raporcie bieżącym ESPI nr 18/2024 z dnia 22 października 2024 roku, polegającej na budowie ogólnopolskiej sieci sklepów stacjonarnych z bronią palną i akcesoriami militarnymi. Pośrednictwo w sprzedaży helikopterów Blackhawk lub części i podzespołów do nich, a ewentualnie, w przyszłości, także innych produktów podwójnego zastosowania, stanowić będzie rozszerzenie działalności Emitenta.

	MESSAGE (ENGLISH VERSION)
	The Management Board of Proguns Group S.A., headquartered in Warsaw (the "Issuer), announces that on February 11, 2025 the Issuer signed a Memorandum of Understanding (MoU) with Charter Trading Corporation (CTC), based in Texas USA. Under this agreement, the Issuer will offer its customers UH-60 Blackhawks helicopters, spare parts, and components for UH-60 Blackhawk helikopters, as well as training program.The offered helicopters will be acquired from U.S. Armed Forces and will be intended for both civilian operations (such us rescue missions, search and direfighting operations) and military missions. Under the agreement, the Issuer has obtained exclusive rights dfrom CTC to offer UH-60 Blackhawk helicopters in Poland. The MoU is valid until February7, 2027.The Issuer informs that Charter Trading Corporation is a company providing services and products that support operations of the U.S. Department of Defence (DOD) and the U. S. Department of Homeland Security (DHS). CTC is also a specialized MRO (Maintenance, Repair and Overhaul) center offering maintenance, modifications and upgrades for helicopters. With a global reach, CTC delivers top-tier maintenance and modernization services for helicopters to both U.S. and international clients.The Issuer explains that the decision to expand its product offering to include UH-60 Blackhawk helicopters was made after analyzing the aviation market needs in Poland, including both law enforcement agencies and civilian users. The decision also took into account the expertise of key team members who have experience in dual-use products market.The Issuer indicates that the sale of UH-60 Blackhawk helicopters, as well as related parts and components, could have i significant impact on Issuer's financial performance.At the same time, the Issuer emphasizes thet it remains committed to implementing its new strategy, as outlined in Current Report ESPI No. 18/2024 dated October 22, 2024which focuses on building a nationwide network of brict and mortar stores selling firearms and military accessories. Acting as an intermediary in the sale of Blackhawk helicopters, part and components and potentialy in the future, other dual - use products will serve as an expansion of the Issuer"s business activities.
