| The Board of Directors of Pepco Group N.V. (the “Company") hereby announces that on 19 January 2023 the Board received a notification from Steinhoff International Holdings N.V. (“Steinhoff” and together with its subsidiaries the “Steinhoff Group”) that Steinhoff Group notified The Netherlands Authority for the Financial Markets (Dutch: Autoriteit Financiële Markten) of a sale through IBEX Retail Investments (Europe) Limited (the “Seller”), an indirect wholly owned subsidiary of Steinhoff, an aggregate of 38 million ordinary shares in the capital of the Company (the “Placement”). Following completion of the Placement, which is expected to occur on 20 January 2023, Steinhoff Group will indirectly hold 415,594,616 ordinary shares, representing approximately 72.28% of the Company’s share capital and 72.28% of the voting rights at the Company’s General Meeting. Before the sale, Steinhoff Group indirectly held approximately 78.89% of the Company’s share capital and 78.89% of the voting rights at the Company’s General Meeting. | |||||||||||
