| Zarząd spółki CARLSON INVESRMENTS S.A. z siedzibą w Warszawie („Spółka”) informuje, że w dniu 30 grudnia 2021 roku Spółka zawarła dwie umowy: 1. Umowa opcyjna pomiędzy Spółką a ANEXISCAP AG z siedzibą w Baar, Szwajcaria („ANEXISCAP”) („Umowa opcyjna 1”), na podstawie której Spółka otrzymała prawo do nabycia 1.347 akcji PRC Group AG z siedzibą w Wollerau, Szwajcaria (właściciela Paracelsus Recovery Clinics) („Akcje 1”) za cenę w wysokości 5.500.000,00 CHF („Opcja call 1”), a na ANEXISCAP zostało nałożone zobowiązanie do sprzedaży Spółce Akcji 1 w przypadku skorzystania przez nią z uprawnienia do nabycia Akcji 1. Opcja call 1 może być wykonana przez Spółkę w terminie 4 lat od dnia zawarcia Umowy opcyjnej 1. Dodatkowo, na podstawie Umowy opcyjnej 1, Spółka zobowiązała się do zapłaty ANEXISCAP 587.500,00 CHF jako ceny za przyznanie prawa Opcji call 1. 2. Umowa opcyjna pomiędzy Spółką a Swiss Clinics Group AG z siedzibą w Zurichu, Szwajcaria („Swiss Clinics Group”) („Umowa opcyjna 2”), na podstawie której Spółka zobowiązała się do sprzedaży 1.347 akcji akcji PRC Group AG z siedzibą w Wollerau, Szwajcaria (właściciela Paracelsus Recovery Clinics) („Akcje 2”) za cenę w wysokości 7.500.000,00 CHF na rzecz Swiss Clinics Group w przypadku wykonania przez Swiss Clinics Group uprawnienia do nabycia Akcji 2 („Opcja call 2”). Opcja call 2 może być wykonana przez Swiss Clinics Group w terminie 4 lat od dnia wejścia w życie Umowy opcyjnej 2. Dodatkowo, na podstawie Umowy opcyjnej 2, Swiss Clinics Group zobowiązała się do zapłaty Spółce 625.000,00 CHF jako ceny za prawo Opcji call 2.
