| Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”), informuje, że w dniu 15 maja 2023 r. otrzymał informację z Narodowego Centrum Badań i Rozwoju (dalej jako: "NCBiR"), zgodnie z którą, pomimo zawarcia 6 lutego 2023 pomiędzy Spółką a NCBiR umowy o dofinansowanie (dalej jako: "Umowa"), Spółka nie otrzyma dofinansowania wynikającego z umowy z uwagi na wyniki kontroli przeprowadzanej w NCBiR. Umowa dotyczy realizacji projektu technologicznego pt. "Prototyp platformy do automatyzacji generowania, rozgrywania i wyznaczania stopnia trudności poziomów blast, oparty o AI i Machine Learning" (dalej jako: "Projekt"), w ramach programu Szybka Ścieżka. NCBiR nie wskazał podstaw prawnych ani faktycznych podjęcia decyzji o braku dofinansowania projektu. Emitent oczekuje szerszych wyjaśnień ze strony NCBiR. W ocenie Emitenta brak jest podstaw prawnych do rozwiązania umowy przez NCBiR, w związku z czym Emitent dokona analizy prawnej i podejmie decyzję o potencjalnym dochodzeniu od NCBiR należnych środków i naprawienia szkody wynikłej z wycofania dofinansowania. Zarząd Spółki podejmie decyzję co do dalszego prowadzenia ww. Projektu, po uzyskaniu wyjaśnień ze strony NCBiR. |

| The Management Board of Vivid Games S.A. (hereinafter: "Company", "Issuer"), informs that on May 15, 2023 it received information from the National Center for Research and Development (hereinafter: "NCBiR"), according to which, despite the conclusion of a funding agreement between the Company and NCBiR on February 6, 2023 (hereinafter: "Agreement"), the Company will not receive funding under the Agreement due to the results of an audit conducted at NCBiR. The Agreement concerns the implementation of a technology project entitled. "Prototype Platform for Automation of Generation, Gamification and Determination of Difficulty of Blast Levels, Based on AI and Machine Learning" (hereinafter: "Project"), under the Fast Track program. NCBiR has not indicated the legal or factual basis for its decision not to fund the Project. The Issuer is awaiting further clarification from NCBiR. In the Issuer's opinion, there are no legal grounds for NCBiR's termination of the agreement; therefore, the Issuer will perform a legal analysis and make a decision on a possible claim against NCBiR for the funds due and compensation for the damage resulting from the withdrawal of funding. The Company's Management Board will make a decision on further operation of the aforementioned Project after receiving clarifications from NCBiR.
