| Wobec wymogu art. 62 ust. 8 ustawy o ofercie publicznej [...], zważywszy, że stosowna informacja przekazywana jest przez SERINUS ENERGY plc („Spółka”) zgodnie z wymogami AIM w Wielkiej Brytanii, oraz w nawiązaniu do raportu bieżącego nr 25/2020 z dnia 22 października 2020 r., Kierownictwo Spółki informuje, że Międzynarodowa Izba Handlowa (ang. International Chamber of Commerce - „ICC”) dokonała ostatecznego rozstrzygnięcia sporu w ramach postępowania arbitrażowego dotyczącego Serinus Energy Romania S.A. („Serinus") i jej byłego partnera w koncesji Satu Mare w Rumunii – firmy Oilfield Exploration Business Solutions S.A. („OEBS"), orzekając na korzyść Serinus. Decyzja Trybunału Arbitrażowego potwierdziła, że na skutek niewywiązania się przez OEBS z zaciągniętych zobowiązań, wynikających z zawartej umowy operacyjnej (ang. Joint Operating Agreement), 40-procentowy udział w koncesji Satu Mare w Rumunii zostanie przeniesiony na Serinus z chwilą uzyskania zatwierdzenia od rządu rumuńskiego oraz Krajowej Agencji ds. Administracji Skarbowej (ang. National Agency of Fiscal Administration, „ANAF”). Trybunał Arbitrażowy nakazał OEBS podjęcie wszelkich niezbędnych czynności w celu formalnego przeniesienia 40% udziałów na Serinus. Kluczowe elementy decyzji to: - OEBS przestanie być stroną umowy operacyjnej oraz umowy koncesyjnej z chwilą powiadomienia stron o zatwierdzeniu rozstrzygnięcia przez właściwe organy. - Przeniesienie 40% udziałów OEBS na Serinus nastąpi z chwilą powiadomienia stron o zatwierdzeniu decyzji przez rząd Rumunii oraz ANAF. W efekcie OEBS nie będzie posiadać udziałów w umowie operacyjnej oraz umowie koncesyjnej. - OEBS otrzymuje nakaz podjęcia wszelkich czynności niezbędnych do przeniesienia 40% udziałów na Serinus. - Serinus jest rzeczywistym i prawomocnym pełnomocnikiem OEBS do sporządzenia dokumentów oraz składania oświadczeń i wniosków niezbędnych w celu skutecznego przeniesienia 40% udziałów OEBS na Serinus oraz do uzyskania wszelkich niezbędnych zgód od rządu Rumunii, Krajowej Agencji ds. Zasobów Mineralnych w Rumunii (NAMR) oraz ANAF. Załącznik do niniejszego raportu bieżącego stanowi treść oryginalnego komunikatu prasowego sporządzonego w języku angielskim, przekazywanego do publicznej wiadomości przez Spółkę w Wielkiej Brytanii oraz zamieszczanego na stronie internetowej Spółki pod adresem www.serinusenergy.com |

| Current Report No. 3/2023Date: 2023-02-15Issuer’s trading name: SERINUS ENERGY plcTitle: Serinus Wins Arbitration Case Against Former Romania PartnerLegal basis: Other regulationsContent:In view of the requirement of Article 62.8 of the Act of 29 July 2005 on Public Offering […], considering that SERINUS ENERGY plc (“Company”) announces respective information pursuant to its obligations as an AIM listed company, and with reference to WSE current report No. 25/2020 of 22 October 2020, the Management of the Company announces that it has provided outside the Republic of Poland information that the International Chamber of Commerce (“ICC”) has released the final merits award in respect of Serinus Energy Romania S.A.'s ("Serinus") arbitration case against its former partner in the Satu Mare Concession in Romania, Oilfield Exploration Business Solutions S.A. (“OEBS"), and has awarded in favour of Serinus. The decision of the arbitral tribunal has confirmed that, as a result of OEBS' default under the Joint Operating Agreement between the parties (“JOA”), OEBS' 40% participating interest in the Satu Mare Concession in Romania will be transferred to Serinus as of the notification to the parties of the approval by the Romanian Government and the National Agency of Fiscal Administration ("ANAF"). The arbitral tribunal has also directed OEBS to take all necessary actions to formally transfer the 40% participating interest to Serinus.Key elements of the decision are as follows:- OEBS is to be considered as withdrawn from the JOA and the Concession Agreement as of the notification to the parties of the approval of the competent authorities of such withdrawal.- The transfer of OEBS' 40% participating interest to Serinus will be effective as of the notification to the parties of the approval by the Romanian Government and ANAF. This will result in OEBS having no more interest in the JOA and the Concession Agreement.- OEBS is ordered to undertake all actions necessary to transfer the 40% participating interest to Serinus.- Serinus is the true and lawful attorney of OEBS to execute such documents and make such filings and applications as may be necessary to make the transfer of OEBS' 40% participating interest to Serinus legally effective and to obtain any necessary consents from the Romanian Government, the Romanian Agency for Mineral Resources (NAMR) and ANAF.
