| Zarząd XTPL S.A. [“Emitent", “Spółka", "XTPL"] informuje, że w dniu 19 grudnia 2023 roku pomiędzy Emitentem a 3H Corporation Ltd z siedzibą w Korei Południowej ["3H Corp.", "Dystrybutor"] została podpisana niewyłączna umowa dystrybucji rozwiązań technologicznych Emitenta ["Umowa"]. Na mocy podpisanej Umowy Dystrybutor będzie reklamował i sprzedawał rozwiązania technologiczne XTPL na terenie Korei Południowej. Współpraca ma na celu wsparcie XTPL w poszukiwaniu szerszych zastosowań dla swoich technologii i produktów w korporacjach technologicznych, centrach badawczo-rozwojowych i jednostkach naukowych i będzie skupiać się na wprowadzaniu rozwiązań z obszaru półprzewodników, elektroniki oraz optoelektroniki. 3H Corp. to wiodąca firma dostarczająca na terenie Korei Południowej materiały i urządzenia R&D, produkcyjne oraz inspekcyjne do branż takich jak półprzewodnikowa, optoelektroniczna, automotive, livescience itp. W ramach współpracy Dystrybutor będzie promował rozwiązania XTPL wśród swoich obecnych i nowych klientów. Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy dystrybucji na znaczący rynek za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów. W związku z powyższym, w opinii Zarządu informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 Rozporządzenia MAR. |

| Title: Entering into a non-exclusive agreement to distribute the Issuer's technology solutions in South Korea. Legal basis: Article 17 (1) MAR - confidential informationContent of the Report: The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"] announces that on December 19, 2023, a non-exclusive distribution agreement for the Issuer's technology solutions ["Agreement"] was signed between the Issuer and 3H Corporation Ltd, headquartered in South Korea ["3H Corp.", "Distributor"]. Under the signed Agreement, the Distributor will advertise and sell XTPL's technology solutions in South Korea. The cooperation is intended to support XTPL in seeking broader applications for its technologies and products in technology corporations, R&D centers and academic units, and will focus on introducing solutions in the semiconductor, electronics and optoelectronics fields. 3H Corp. is a leading company supplying R&D, manufacturing and inspection materials and equipment in South Korea to industries such as semiconductor, optoelectronics, automotive, livescience, etc. As part of the cooperation, the Distributor will promote XTPL's solutions to its existing and new customers. The Issuer's Management Board considered the fact that the Distribution Agreement in question was concluded for a significant market to be confidential information, as its implementation may have a significant impact on the Issuer's future revenue situation, the popularization of the Company's technological solutions, as well as the prospect of investors' perception of the Issuer. In view of the above, in the opinion of the Management Board, the information on the conclusion of the Agreement meets the criteria indicated in Article 7(1) of the MAR Regulation. |
