| Zarząd Spółki G-Energy S.A. z siedzibą w Warszawie (dalej: Emitent, G-Energy) informuje, że w dniu dzisiejszym zawarł Umowę Ramową podwykonawczą pomiędzy Emitentem a ZPB Politerm Sp. z o.o. z siedzibą w Katowicach (Politerm) dotyczącą zadania: Wykonywanie dla PSG Sp. z o.o. O/ZG w Opolu (dalej: Inwestor) kompleksowej realizacji przyłączy gazowych – projektowanie i budowa przyłączy gazowych o poborze gazu do 10 m3/h od istniejących gazociągów na terenie działania PSG Sp. z o.o. O/ZG w Opolu - Gazownie Krapkowice, Kluczbork., o której spodziewanym podpisaniu G-Energy informowała rb. ESPI 11/2020 z dnia 23 marca 2020 roku oraz rb. ESPI 43/2019 z dnia 8 października 2019 roku. Realizacja Zadań polega w szczególności na wykonaniu Projektu i realizacji Robót (wykonanie robót budowlano-montażowych Przyłącza, odtworzenie i odbudowa nawierzchni, wykonanie zabezpieczeń w związku z kolizją z infrastrukturą podziemną) oraz obsługa geodezyjna budowy i inwentaryzacja powykonawcza. Kompleksowej realizacji Projektu i Robót w zakresie Przyłącza gazowego tj. wykonanie dokumentacji uproszczonej lub w przypadku stwierdzenia, iż wykonanie dokumentacji uproszczonej zgodnie z Zamówieniem jest niemożliwe lub poważnie utrudnione, w szczególności z powodu braku możliwości uzyskania wymaganych zgód i uzgodnień -- projektu budowlanego przyłącza gazowego (odcinek od istniejącego gazociągu) wraz z uzyskaniem zgód właścicieli nieruchomości przez które projektowane będzie przyłącze gazowe oraz wszelkich wymaganych opinii, pozwoleń, uzgodnień i decyzji oraz sprawowanie nadzoru autorskiego, realizacji robót budowlano montażowych związanych z wykonaniem przyłącza gazowego (np. odtworzenie i odbudowa nawierzchni, wykonanie zabezpieczeń w związku z kolizją z infrastrukturą podziemną, itp.), montaż szafki gazowej lub dostawa i montaż szafki gazowej, włączenie przyłącza do czynnej sieci gazowej bez wypływu paliwa gazowego i bez konieczności wstrzymania przepływu paliwa gazowego oraz obsługa geodezyjna budowy (wytyczenie i inwentaryzacja powykonawcza). Inwestor w zależności od potrzeb określi w Zamówieniu zakres przedmiotu Zadania. Umowa Ramowa pomiędzy stronami będą obowiązywać przez okres 23 miesięcy od dnia zawarcia Umowy, tj. do dnia: 27.03.2022 r. Strony zobowiązały się współdziałać przy realizacji Umowy w zakresie umożliwiającym efektywne wykonanie zobowiązań każdej ze Stron. Politerm i G-Energy oświadczyły, że będą współpracować na zasadzie wyłączności, co nie wyklucza zlecanie niektórych zadań podmiotom zewnętrznym przez Emitenta. Wynagrodzenie należne G-Energy od Politerm z tytułu realizacji przez G-Energy Zakresu Robót wyniesie 2 700 000 zł (słownie: dwa miliony siedemset tysięcy złotych) netto. Kwota ta zostanie powiększona o należny podatek od towarów i usług (VAT) w wysokości 621 000 zł (słownie: sześćset dwadzieścia jeden tysięcy sto złotych) tj. 3 321 000 zł(słownie: trzy miliony trzysta dwadzieścia jeden tysięcy złotych) brutto. W razie zmiany stawki podatku VAT w przepisach podatkowych, dokonanej po zawarciu Umowy i mającej do niej zastosowanie, wynagrodzenie to ulegnie odpowiedniemu zwiększeniu albo pomniejszeniu o kwotę wynikającą ze zmiany stawki podatku VAT. Zmiana stawki podatku VAT będzie miała zastosowanie do niezafakturowanej części wynagrodzenia. Kwota ta może zostać powiększona w przypadku wykonania kolejnych zadań nie objętych zakresem niniejszej Umowy. Politerm przewiduje możliwość udzielenia Emitentowi zaliczki na poczet wykonania Przedmiotu Umowy. Politerm jest uprawniony do żądania zapłaty kar umownych w szczególności z tytułu opóźnienia w oddaniu Przedmiotu Umowy w terminie, chyba że Podwykonawca nie ponosi winy za nieoddanie Przedmiotu Umowy w terminie – w wysokości 0,2 % wynagrodzenia netto, za każdy dzień opóźnienia, jednakże nie więcej niż 20 % tej kwoty, z tytułu opóźnienia w dostarczeniu Harmonogramu realizacji Umowy, chyba że Wykonawca nie ponosi winy za niewykonanie tego obowiązku w terminie – w wysokości 0,1 % wynagrodzenia netto, za każdy dzień opóźnienia, jednakże nie więcej niż 15 % tej kwoty, w razie odstąpienia od Umowy przez Zamawiającego z przyczyn leżących po stronie Emitenta (niezależnie od podstawy prawnej) – w wysokości 10 % wynagrodzenia netto, z tytułu przygotowania przez Spółkę terenu na przeprowadzenie przez PSG prac niebezpiecznych i gazoniebezpiecznych niezgodnie z przepisami, skutkującego niemożnością podjęcia przez BWP tych prac - w wysokości 5 % wynagrodzenia netto, za każdy przypadek, w którym Zamawiający przybył na miejsce prowadzenia prac, ale nie mógł ich przeprowadzić, jednakże nie więcej niż 20 % tej kwoty. Łączna wysokość kar umownych przysługujących Zamawiającemu na podstawie Umowy nie może przekroczyć 30 % łącznego wynagrodzenia netto. W przypadku wystąpienia, potwierdzonych przez Inwestora, okoliczności związanych z warunkami atmosferycznymi lub siła wyższą definiowaną w szczególności poprzez w szczególności koronawirusa COVID-19 oraz zagrożenie pożarowe, których wystąpienie uniemożliwiłoby GENERGY wykonanie Zadania, dopuszczalne będzie zawarcie, na wniosek Emitenta, aneksu zmieniającego termin wykonania Przedmiotu Umowy. Pozostałe warunki wykonania Umowy nie odbiegają od warunków powszechnie stosowanych przy tego typu umowach. | Conclusion of a subcontracting framework agreement with an jointly controlled company. The Management Board of G-Energy S.A. with its registered office in Warsaw (hereinafter: the Issuer, G-Energy) informs that today it has concluded a Subcontract Framework Agreement between the Issuer and ZPB Politerm Sp. z o.o. with its registered office in Katowice (Politerm) regarding the task: Performing for PSG Sp. z o.o. O / ZG in Opole (hereinafter: the Investor) comprehensive implementation of gas connections - design and construction of gas connections with gas consumption up to 10 m3 / h from existing gas pipelines in the area of PSG Sp. z o.o. O / ZG in Opole - Gazownia Krapkowice, Kluczbork, about which G-Energy was expected to sign ESPI 11/2020 of 23 March 2020 and rb. ESPI 43/2019 of October 8, 2019. The implementation of Tasks consists in particular in the implementation of the Design and Implementation of the Works (execution of construction and assembly works, Connections, restoration and reconstruction of the pavement, execution of safeguards in connection with the collision with the underground infrastructure) as well as geodetic service of the construction and as-built inventory. Comprehensive implementation of the Project and Works in the field of Gas Connection, i.e. preparation of simplified documentation or in the event that it is impossible or seriously difficult to perform simplified documentation in accordance with the Order, in particular due to the inability to obtain the required approvals and arrangements - gas connection construction project ( section from the existing gas pipeline) with the consent of the owners of the property through which the gas connection will be designed and all required opinions, permits, arrangements and decisions as well as author supervision, implementation of construction and assembly works related to the gas connection (e.g. restoration and reconstruction of the surface, execution protection in connection with a collision with underground infrastructure, etc.), assembly of the gas cabinet or supply and assembly of the gas cabinet, connection to the active gas network without the outflow of gas fuel and without the need for gas flow maintenance and geodetic service of construction (staking out and as-built inventory). The Inwestor, depending on the needs, will specify the scope of the Task subject in the Order. The Framework Agreement between the parties will be valid for a period of 23 months from the date of conclusion of the Agreement, i.e. until: 27/03/2022. The Parties have agreed to cooperate in the implementation of the Agreement to the extent enabling effective performance of the obligations of each Party. Politerm and G-Energy have stated that they will cooperate on an exclusive basis, which does not preclude the issuing of certain tasks to external entities by the Issuer. The remuneration due to G-Energy from Politerm for the implementation of the Scope of Works by G-Energy will amount to PLN 2,700,000 (say: two million seven hundred thousand zlotys) net. This amount will be increased by the due tax on goods and services (VAT) in the amount of PLN 621,000 (in words: six hundred twenty one thousand one hundred zlotys), i.e. PLN 3,321,000 (in words: three million three hundred twenty one thousand zlotys) gross. In the event of a change in the VAT rate in the tax regulations made after the conclusion of the Agreement and applicable to it, this remuneration will be increased or decreased accordingly by the amount resulting from the change in the VAT rate. The change in the VAT rate will apply to the non-invoiced part of the remuneration. This amount may be increased if subsequent tasks not covered by this Agreement are carried out. Politerm provides for the possibility of providing the Issuer with an advance payment for the performance of the Subject Matter of the Agreement. Politerm is entitled to demand payment of contractual penalties, in particular for delay in handing over the Subject Matter of the Agreement on time, unless the Subcontractor is not responsible for not submitting the Subject Matter of the Agreement on time - in the amount of 0.2% of net remuneration for each day of delay, however no more than 20% of this amount, due to delay in delivery of the Contract Schedule, unless the Contractor is not at fault for failure to perform this obligation on time - in the amount of 0.1% of net remuneration for each day of delay, however not more than 15% of this amount , in the event of withdrawal from the Agreement by the Employer for reasons attributable to the Issuer (irrespective of the legal basis) - in the amount of 10% of net remuneration for the preparation of the area by the Company for PSG to carry out dangerous and gas-hazardous works contrary to the provisions, resulting in the inability of BWP of these works - in the amount of 5% in net remuneration for each case in which the Employer arrived at the place of work, but could not carry them out, however, not more than 20% of this amount. The total amount of contractual penalties due to the Employer under the Agreement may not exceed 30% of the total net remuneration. In the event of circumstances related to atmospheric conditions or force majeure confirmed by the Investor, defined in particular by in particular the COVID-19 coronavirus and fire hazard, the occurrence of which would prevent GENERGY from performing the Task, it will be permissible to conclude, at the Issuer's request, an annex changing the deadline for completing the Subject agreement. The other conditions of the Contract performance do not differ from those commonly used in this type of contracts. Legal basis: Article 17 para. 1 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Regulation on market abuse) and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission Directive 2003 / 124 / EC, 2003/125 / EC and 2004/72 / EC (also called MAR). |
