| Na podstawie § 5 pkt. 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim, Zarząd Orange Polska S.A.(„Orange Polska”) informuje o powołaniu osób nadzorujących Orange Polska. W dniu 17 czerwca 2020 r. Walne Zgromadzenie powołało na członków Rady Nadzorczej Orange Polska następujące osoby: • Pan John Russell Houlden (niezależny członek Rady Nadzorczej) – na kolejną kadencję • Pan Patrice Lambert-de Diesbach - na kolejną kadencję Życiorysy John Russell Houlden (ur. w 1959 r.) ukończył z wyróżnieniem Warwick Business School, a także studia menedżerskie w INSEAD, Stanford oraz London Business School. Jest członkiem Instytutu Rachunkowości Zarządczej (Chartered Institute of Management Accountants – CIMA), Biegłym Księgowym ds. Globalnej Rachunkowości Zarządczej (Chartered Global Management Accountant – CGMA) oraz członkiem brytyjskiego Stowarzyszenia Skarbników Korporacyjnych (Association of Corporate Treasurers – ACT). Zdobył szerokie doświadczenie w dziedzinie księgowości i audytu, piastując różne stanowiska związane z finansami w firmach Spicer & Oppenheim (obecnie część Deloitte), ICI oraz BT. Następnie pełnił funkcję Dyrektora Finansowego w Lovells (w latach 2002-2008) oraz Członka Zarządu ds. finansów w Telecom New Zealand (2008-2010) i United Utilities (2010-2020). Ponadto, w latach 2014-2020 był członkiem Komitetu Głównego oraz Przewodniczącym Komitetu ds. Sprawozdawczości Finansowej „Grupy 100” – reprezentujących spółki giełdowe z grupy FTSE 100 wobec Rady Międzynarodowych Standardów Rachunkowości, Europejskiego Urzędu Nadzoru Giełd i Papierów Wartościowych (ESMA) oraz innych organów regulacyjnych. Od kwietnia 2020 roku jest dyrektorem niewykonawczym w Babcock International Group, a od lipca 2020 roku obejmie tam również funkcję Przewodniczącego Komitetu ds. Audytu i Ryzyka. Członek Rady Nadzorczej Orange Polska i Przewodniczący Komitetu Audytowego od 10 kwietnia 2014 roku. W dniu 17 czerwca 2020 r. Rada Nadzorcza ponownie powierzyła mu funkcję Przewodniczącego Komitetu Audytowego. Zgodnie ze złożonym oświadczeniem pan John Russell Houlden nie prowadzi działalności konkurencyjnej, ani nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Nie został wpisany do rejestru Dłużników Niewypłacalnych prowadzonego na podstawie Ustawy o KRS. Patrice Lambert-de Diesbach (ur. w 1956 r.) jest członkiem Francuskiego Stowarzyszenia Analityków Finansowych (SFAF) oraz absolwentem Conservatoire National des Arts et Métiers (finanse), IEP Paris (nauki polityczne) oraz Uniwersytetu Paryż X – Nanterre (ekonomia i ekonometria). Od października 2011 roku Patrice Lambert-de Diesbach jest Dyrektorem Departamentu Relacji Inwestorskich i Komunikacji Finansowej w Orange. Uprzednio, od kwietnia 2010 roku, był Dyrektorem Departamentu Relacji Inwestorskich i Komunikacji Finansowej w koncernie Carrefour. Przedtem pracował jako Dyrektor Działu Badawczego w CM-CIC Securities, a wcześniej, przez 18 lat, jako analityk finansowy zajmował się wieloma branżami przemysłu dla różnych biur maklerskich, m.in. CM-CIC Securities, Exane BNP Paribas, UBS Warburg, Deutsche Bank oraz HSBC James Capel. Karierę zawodową rozpoczynał jako rewident księgowy w Mazars i KPMG. Jest Członkiem Zarządu Francuskiego Stowarzyszenia Relacji Inwestorskich (CLIFF). W przeszłości piastował funkcję Członka Zarządu Confrontations Europe oraz Francuskiego Stowarzyszenia Analityków Finansowych (SFAF), a także Członka Rady Nadzorczej i Komitetu ds. Strategii Orange Belgium. Członek Rady Nadzorczej Orange Polska i członek Komitetu ds. Strategii od 13 lipca 2016 roku. W dniu 17 czerwca 2020 r. Rada Nadzorcza ponownie powierzyła mu funkcję członka Komitetu ds. Strategii. Zgodnie ze złożonym oświadczeniem pan Patrice Lambert-de Diesbach nie prowadzi działalności konkurencyjnej, ani nie uczestniczy w spółce konkurencyjnej wobec Orange Polska jako wspólnik spółki jawnej, spółki osobowej ani jako członek organu spółki kapitałowej, bądź jako członek organu w innej konkurencyjnej osobie prawnej. Nie został wpisany do rejestru Dłużników Niewypłacalnych prowadzonego na podstawie Ustawy o KRS. W tym samym dniu Rada Nadzorcza dokonała następujących zmian w komitetach Rady Nadzorczej: • Pan Jean-Marc Vignolles zastąpił pana Thierry’ego Bonhomme’a w składzie Komitetu ds. Pursuant to art. 5, item 5 of the Decree of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state, the Management Board of Orange Polska S.A. (“Orange Polska”) informs about appointment of persons supervising Orange Polska.On June 17, 2020, the Annual General Meeting of Orange Polska S.A appointed as the Supervisory Board members of Orange Polska following persons:• Mr. John Russell Houlden - (independent Director) – for the new term of office• Mr. Patrice Lambert-de Diesbach – for the new term of officeResumes John Russell Houlden (born in 1959) has a first class honours degree from Warwick Business School and has completed executive programmes at INSEAD, Stanford and London Business School. He is a Fellow of the Chartered Institute of Management Accountants (CIMA), a Chartered Global Management Accountant (CGMA) and a Fellow of the Association of Corporate Treasurers (ACT). He gained extensive experience in accounting and audit in a variety of financial roles in Spicer & Oppenheim (now part of Deloitte), ICI and BT. Next, he served as Finance Director of Lovells (2002 to 2008) and Chief Financial Officer of Telecom New Zealand (2008 to 2010) and United Utilities (2010-20). Furthermore, from 2014 to 2020 he was a Member of the Main Committee and the Chairman of the Financial Reporting Committee of the ‘100 Group’, which represents FTSE 100 to the International Accounting Standards Board, the European Securities and Markets Authority and other regulatory bodies. Since April 2020 he has also been a Non-executive Director of Babcock International Group and from July 2020 he will become the Chairman of its Audit & Risk Committee. Member of the Orange Polska Supervisory Board and Chairman of the Audit Committee since April 10, 2014. On June 17, 2020 the Supervisory Board re-appointed him as the Chairman of the Audit Committee. According to his statement, Mr. John Russell Houlden is not engaged in any activities competitive to the business of Orange Polska and is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of any incorporated company or any other legal entity which would be competitive to Orange Polska. Mr. John Russell Houlden is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act. Patrice Lambert-de Diesbach (born in 1956) is a graduate of SFAF (French Society of Financial Analysts), Conservatoire National des Arts et Métiers (Finance), IEP Paris (Sciences Po) and from Université Paris X Nanterre (Economics, Econometrics). Since October 2011, Patrice Lambert-de Diesbach is Head of Investor Relations and Financial Communication at Orange. Prior to this he was Head of Investor Relations and Financial Communication at Carrefour since April 2010. He previously worked as the Head of Research at CM-CIC Securities after spending 18 years as a financial analyst covering a wide range of industrial sectors for several stock broking firms, including CM-CIC Securities, Exane BNP Paribas, UBS Warburg, Deutsche Bank and HSBC James Capel. He started his career as an auditor at Mazars and KPMG. He is Board Member at CLIFF (French Society of Investor Relations), and ex Board Member of Confrontations Europe and SFAF and ex Board Member & Strategic Committee Member at Orange Belgium. Member of the Orange Polska Supervisory Board and Member of the Strategy Committee since July 13, 2016. On June 17, 2020 the Supervisory Board re-appointed him as a member of the Strategy Committee.
