| Zarząd Spółki G-Energy S.A. z siedzibą w Warszawie (dalej: Emitent, G-Energy) informuje, że w dniu 2 kwietnia 2021 otrzymał podpisaną Umowę podwykonawczą pomiędzy Emitentem a PGNiG Technologie S.A. z siedzibą w Krośnie (dalej: PGNiG Technologie) dotyczącą zadania pn. „Budowa infrastruktury gazowej w EC Żerań dla potrzeb pracy nowej kotłowni szczytowej w Warszawie”. Przedmiotem Umowy jest kompleksowe wykonanie prac projektowych wszystkich branż oraz kompleksowe wykonanie robót budowlanych branży konstrukcyjno- budowlanej, elektrycznej i AKPiA wraz z opracowaniem niezbędnej dokumentacji, w tym dokumentacji powykonawczej, przeprowadzeń prób, badań i sprawdzeń w ramach zadania inwestycyjnego pn. „Zabudowy estakady wraz z rurociągiem gazowym DN500 w celu zasilenia gazowej kotłowni szczytowo-rezerwowej nr 2 w Elektrociepłowni Żerań w Warszawie”, realizowanego w formule „pod klucz” przez Zamawiającego na rzecz PGNiG Termika S.A. w Warszawie. Formuła "pod klucz" oznacza kompleksowe wykonanie przez Wykonawcę Prac w celu realizacji Umowy i zapewnienia funkcjonowania Układu zgodnie z warunkami wynikającymi z Umowy. Celem realizacji Umowy jest zapewnienie dostaw gazu do kotłowni KG2. Strony zobowiązały się współdziałać przy realizacji Umowy w zakresie umożliwiającym efektywne wykonanie zobowiązań każdej ze Stron. PGNiG Technologie i G-Energy oświadczyły, że będą współpracować na zasadzie wyłączności. Emitent rozpocznie realizację Umowy niezwłocznie po jej wejściu w życie i będzie wykonywał swoje zobowiązania tak, aby dotrzymać terminu realizacji Umowy wyznaczony na dzień 23.01.2023 roku. Wynagrodzenie należne G-Energy od PGNiG Technologie z tytułu realizacji przez G-Energy Zakresu Robót wyniesie 4 800 000 zł (słownie: cztery miliony osiemset tysięcy złotych) netto. Kwota ta zostanie powiększona o należny podatek od towarów i usług (VAT) w wysokości 1 104 000 zł (słownie: jeden milion sto cztery tysiące złotych, 00/100) tj. 5 904 100 zł (słownie: pięć milionów dziewięćset cztery tysiące sto złotych) brutto. W razie zmiany stawki podatku VAT w przepisach podatkowych, dokonanej po zawarciu Umowy i mającej do niej zastosowanie, wynagrodzenie to ulegnie odpowiedniemu zwiększeniu albo pomniejszeniu o kwotę wynikającą ze zmiany stawki podatku VAT. Zmiana stawki podatku VAT będzie miała zastosowanie do niezafakturowanej części wynagrodzenia. Kwota ta może zostać powiększona w przypadku wykonania kolejnych zadań nie objętych zakresem niniejszej Umowy. Zapłata za Prace przyjmowane częściowo realizowana będzie przez PGNiG Technologie na podstawie faktur Wykonawcy, zgodnie z harmonogramem rozliczeń. PGNiG Technologie udzieli G-Energy zaliczkę na poczet realizacji robót budowlano – montażowych w wysokości 1 440 000,00 zł (słownie: jeden milion czterysta czterdzieści tysięcy złotych, 00/100) netto powiększoną o podatek VAT w kwocie 331 200,00 zł (słownie: trzysta trzydzieści jeden tysięcy dwieście złotych, 00/100), tj.1 771 200,00 zł (słownie: jeden milion siedemset siedemdziesiąt jeden tysięcy dwieście złotych, 00/100) brutto. Zaliczka wypłacona będzie po podpisaniu Umowy, ale nie wcześniej niż po otrzymaniu od Wykonawcy pisemnego wniosku o wypłatę zaliczki wraz z zabezpieczeniem jej zwrotu. PGNiG Technologie dopuszcza możliwość dokonania wcześniejszej płatności faktury VAT G-Energy na pisemny wniosek Wykonawcy. W przypadku wcześniejszej płatności należność wynikającą z faktury VAT, wystawionej przez Wykonawcę, zostanie pomniejszona o wysokość odsetek dyskontowych w wysokości 5% w stosunku rocznym. PGNiG Technologie ma prawo obciążenia emitenta karami umownymi w szczególności: za opóźnienie w dotrzymaniu przez Podwykonawcę poszczególnych terminów wykonania Przedmiotu Umowy określonych w Harmonogramie Realizacji Umowy – w 0,5 % Wynagrodzenia brutto za każdy rozpoczęty dzień opóźnienia, chyba że opóźnienie powstało z przyczyn nieleżących po stronie Emitenta. za opóźnienie w usunięciu wad ujawnionych w trakcie Odbiorów Częściowych, Odbioru Końcowego lub w okresie gwarancji jakości i rękojmi za wady – w wysokości 0,1% Wynagrodzenia brutto za każdy rozpoczęty dzień opóźnienia licząc od upływu terminu przeznaczonego na usunięcie wad. Łączna suma kar umownych, wynikających ze wszystkich tytułów przewidzianych niniejszą Umową nie przekroczy 50 % Wynagrodzenia netto (bez podatku VAT) przy czym kar za opóźnienia w wykonaniu umowy 15% Wynagrodzenia netto. Pozostałe warunki wykonania Umowy nie odbiegają od warunków powszechnie stosowanych przy tego typu umowach. | Conclusion of a subcontracting agreement with PGNiG Technologie S.A. with headquarters in Krosno.Management Board of G-Energy S.A. with its registered office in Warsaw (hereinafter: the Issuer, G-Energy) informs that on April 2, 2021 received a signed Subcontracting agreement between the Issuer and PGNiG Technologie S.A. based in Krosno (hereinafter: PGNiG Technologie) regarding the task entitled "Construction of gas infrastructure at EC Żerań for the purposes of the operation of a new peak load boiler house in Warsaw".The subject of the Agreement is the comprehensive performance of design works for all industries and comprehensive performance of construction works in the construction, electrical and I&C industries, along with the development of the necessary documentation, including as-built documentation, tests, examinations and checks as part of the investment task entitled "Construction of a flyover with the DN500 gas pipeline to supply the gas peak-load boiler house No. 2 at the Żerań Heat and Power Plant in Warsaw", implemented in the "turnkey" formula by the Ordering Party for PGNiG Termika S.A. in Warsaw. The "turnkey" formula means comprehensive performance by the Contractor of the Works in order to implement the Agreement and ensure the functioning of the Agreement in accordance with the terms resulting from the Agreement. The purpose of the Agreement is to ensure gas supplies to the KG2 boiler room.The parties undertook to cooperate in the implementation of the Agreement to the extent enabling the effective performance of the obligations of each of the Parties. PGNiG Technologie and G-Energy have announced that they will cooperate on an exclusive basis.The Issuer will commence the performance of the Agreement immediately after its entry into force and will perform its obligations so as to meet the Agreement performance deadline set for January 23, 2023. The remuneration due to G-Energy from PGNiG Technologie for the implementation of the Scope of Works by G-Energy will amount to PLN 4,800,000 (in words: four million eight hundred thousand zlotys) net. This amount will be increased by the due tax on goods and services (VAT) in the amount of PLN 1,104,000 (say: one million one hundred and four thousand zlotys, 00/100), i.e. PLN 5,904,100 (say: five million nine hundred four thousand one hundred zlotys) ) gross. In the event of a change in the VAT rate in the tax regulations, made after the conclusion of the Agreement and applicable to it, the remuneration will be increased or decreased by the amount resulting from the change in the VAT rate. The change in the VAT rate will apply to the non-invoiced part of the salary.This amount may be increased in the event of the performance of further tasks outside the scope of this Agreement.Payment for the Works accepted in part will be made by PGNiG Technologie on the basis of the Contractor's invoices, in accordance with the billing schedule.PGNiG Technologie will grant G-Energy an advance payment for construction and assembly works in the amount of PLN 1,440,000.00 (in words: one million four hundred and forty thousand zlotys, 00/100) net increased by VAT in the amount of PLN 331,200.00 (in words: : three hundred and thirty-one thousand two hundred zlotys, 00/100), i.e. PLN 1,771,200.00 (say: one million seven hundred seventy-one thousand two hundred zlotys, 00/100) gross. The advance payment will be paid after signing the Agreement, but not earlier than after receiving a written request from the Contractor for the advance payment together with the security for its return. PGNiG Technologie allows for the possibility of earlier payment of the G-Energy VAT invoice at the Contractor's written request. In the event of an earlier payment, the amount due under the VAT invoice issued by the Contractor will be reduced by the amount of discount interest in the amount of 5% per annum.PGNiG Technologie has the right to charge the issuer with contractual penalties, in particular:for the delay in meeting by the Subcontractor the individual deadlines for the performance of the Subject of the Agreement specified in the Agreement Performance Schedule - in 0.5% of the gross remuneration for each commenced day of delay, unless the delay was caused by reasons not attributable to the Issuer.for delay in removing defects revealed during Partial Acceptance, Final Acceptance or during the quality guarantee and warranty period for defects - in the amount of 0.1% of the gross remuneration for each commenced day of delay, counting from the expiry of the deadline for removing defects.The total amount of contractual penalties resulting from all the titles provided for in this Agreement shall not exceed 50% of the net Remuneration (excluding VAT), with penalties for delays in performance of the agreement 15% of the net Remuneration.The remaining conditions for the performance of the Agreement do not differ from those commonly used in this type of agreement.Legal basis: Article 17 para. 1 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Regulation on market abuse) and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission Directive 2003 / 124 / EC, 2003/125 / EC and 2004/72 / EC (also called MAR). |
