| Zarząd BNP Paribas Bank Polska S.A. („Bank”) niniejszym informuje, że Zwyczajne Walne Zgromadzenie Banku w dniu 30 czerwca 2023 r. powołało następujące osoby na członków Rady Nadzorczej Banku: - Panią Sophie Heller z dniem 30 czerwca 2023 r. oraz - Pana Jean-Charles Aranda z dniem 1 sierpnia 2023 r. do końca bieżącej, pięcioletniej, wspólnej kadencji członków Rady Nadzorczej, o której mowa w § 16 ust.1 Statutu Banku. Poniżej Bank przekazuje informacje o kwalifikacjach i doświadczeniu zawodowym nowo powołanych członków Rady Nadzorczej Banku. Pani Sophie Heller Pani Sophie Heller ukończyła ESSEC Business School, gdzie otrzymała tytuł MBA. Swoją karierę zawodową rozpoczęła w 1988 r. jako konsultantka w Bain & Company. Założyła firmę Points Ciel, gdzie w latach 1992-1997 pracowała jako dyrektorka ds. marketingu. Od 1997 do 1998 r. była dyrektorką generalną firmy Consodata, a w latach 2000-2003 wiceprezeską ds. marketingu i e-biznesu w firmie Jakala. Od 2003 do 2006 r. pełniła funkcję Chief Marketing Officer w Equilon, innowacyjnej spółce Grupy BNP Paribas udzielającej pożyczek konsumenckich, a następnie, w latach 2006-2009 była Chief Marketing Officer w Mediatis, wielokanałowej organizacji sprzedaży bezpośredniej. W latach 2009-2016 pracowała w ING Direct, najpierw jako wiceprezeska ds. marketingu i komunikacji, a następnie jako dyrektorka generalna ING Direct. W 2016 r. została COO Bankowości Detalicznej i Usług w Grupie BNP Paribas. Posiada bogate doświadczenie w obszarze usług finansowych (zarządzanie, cyfryzacja, innowacje) oraz w zakresie przedsiębiorczości. Pani Sophie Heller spełnia wymogi Art. 22aa Ustawy z dnia 29 sierpnia 1997 r. Prawo bankowe (z późn. zm.). W oparciu o złożone oświadczenie stwierdzić należy, iż Pani Sophie Heller nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pani Sophie Heller nie została wpisana do Rejestru Dłużników Niewypłacalnych. Pan Jean-Charles Aranda Absolwent Uniwersytetu Bordeaux we Francji, gdzie z wyróżnieniem uzyskał tytuł magistra w zakresie Audytu Wewnętrznego i Kontroli Zarządzania. Dyplomowany Księgowy. Karierę zawodową rozpoczął w 1998 r. w KPMG w Paryżu, gdzie jako menadżer odpowiadał za obszar bankowego audytu finansowego. W latach 2004-2009 pełnił funkcje szefa misji w Centralnym Zespole Księgowości Inspekcji Generalnej BNP Paribas. Do jego zadań należało m.in. stworzenie nowego zespołu audytowego dedykowanego audytom finansowym. W 2009 r. został dyrektorem finansowym BNP Paribas El Djazaïr w Algierii, a następnie, od 2013 r. – dyrektorem operacyjnym tego banku. Od sierpnia 2016 r. do kwietnia 2017 r. był dyrektorem wykonawczym Działu Rachunkowości Zarządczej i Zarządzania Kapitałowego w BNP Paribas Bank Polska S.A. Od kwietnia 2017 r. do chwili obecnej Członek Zarządu, następnie Wiceprezes Zarządu BNP Paribas Bank Polska S.A., odpowiedzialny za Obszar Finansów. Od 2017 r. pełni również funkcję Członka, a następnie Wiceprzewodniczącego Rady Nadzorczej BNP Paribas Towarzystwo Funduszy Inwestycyjnych S.A. W dniu 24 marca 2023 r. Pan Jean-Charles Aranda, w związku z objęciem nowego stanowiska w Grupie BNP Paribas, złożył rezygnację z pełnienia funkcji Członka Zarządu BNP Paribas Bank Polska S.A. ze skutkiem na dzień 31 lipca 2023 r. Pan Jean-Charles Aranda spełnia wymogi Art. 22aa Ustawy z dnia 29 sierpnia 1997 r. Prawo bankowe (z późn. zm.). W oparciu o złożone oświadczenie stwierdzić należy, iż Pan Jean-Charles Aranda nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Jean-Charles Aranda nie został wpisany do Rejestru Dłużników Niewypłacalnych. Podstawa prawna §5 pkt 5) oraz §10 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. z 2018 r., poz. 757). |

| Changes in the Supervisory Board of BNP Paribas Bank Polska S.A. current report no. 29/2023 date: 30 June 2023 The Management Board of BNP Paribas Bank Polska S.A. (the “Bank”) hereby announces that the Bank’s Ordinary General Meeting held on 30 June 2023 appointed the following persons as members of the Bank’s Supervisory Board: - Ms Sophie Heller effective as of 30 June 2023 and - Mr Jean-Charles Aranda effective as of 1 August 2023 until the end of the current, joint 5-year term of office, pursuant to § 16 item 1 of the Bank’s Articles of Association. Hereby, the Bank discloses information on the expertise and professional experience of the newly appointed members of the Bank’s Supervisory Board. Ms Sophie Heller Ms Sophie Heller graduated from the ESSEC Business School with an MBA degree. She started her professional career in 1988 as associate consultant in Bain & Company. She was the founder of Points Ciel, where she served as Chief Marketing Officer from 1992 to 1997. Between 1997 and 1998 she was the CEO of Consodata, then the Vice President for Marketing and e-Business in Jakala in the years 2000-2003. From 2003 to 2006 she was the Chief Marketing Officer in Equilon, an innovative consumer lending entity of the BNP Paribas Group, then between 2006 and 2009 she served as Chief Marketing Officer in Mediatis, a multi-channel direct sales organization. In the years 2009-2016 she worked at ING Direct, first as a Vice President for Marketing and Communication, then as CEO of ING Direct. In 2016 she became the COO of Retail Banking and Services in the BNP Paribas Group. She has broad experience in financial services (general management, digital, innovation) and an entrepreneurial background. Ms Sophie Heller meets the requirements of Art. 22aa of the Banking Law dated 29 August 1997 (as amended). On the basis of the representation submitted, it should be stated that Ms Sophie Heller neither runs any other activity competitive to the Bank nor is a partner in any company competitive to the Bank nor is a member of a body of any company competitive to the Bank nor is a member of a body of any other legal entity competitive to the Bank. Furthermore, Ms Sophie Heller has not been entered into the Register of Insolvent Debtors. Mr Jean-Charles Aranda Mr Jean Charles Aranda graduated with honours from the University of Bordeaux in France, where he received an MA in Internal Audit and Management Controlling. He is a chartered accountant. Mr Jean-Charles Aranda started his career in 1998 at the Paris office of KPMG, where he was the manager responsible for banking financial audit. Between 2004 and 2009 he acted as Head of Mission at the BNP Paribas Inspection Generale’s central accounting team. He was charged, among other things, with the creation of a new audit team dedicated to financial audits. In 2009 he was appointed CFO of BNP Paribas El Djazaïr in Algeria. In January 2013 he was promoted to the post of COO of that bank. Between August 2016 and April 2017 he held the post of Managing Director of the Management Accounting and Capital Management Division of BNP Paribas Bank Polska S.A. Since April 2017 till now he has been a member of the Management Board, then Vice President of the Management Board of BNP Paribas Bank Polska S.A., supervising the Finance Area. From 2017 he has been a member and then Deputy Chairman of the Supervisory Board of BNP Paribas Towarzystwo Funduszy Inwestycyjnych S.A. On 24 March 2023, Mr Jean-Charles Aranda submitted resignation from his function as a Member of the Management Board of BNP Paribas Bank Polska S.A., effective from 31 July 2023, due to taking up a new position in the BNP Paribas Group. Mr Jean-Charles Aranda meets the requirements of Art. 22aa of the Banking Law dated 29 August 1997 (as amended). On the basis of the representation submitted, it should be stated that Mr Jean-Charles Aranda neither runs any other activity competitive to the Bank nor is a partner in any company competitive to the Bank nor is a member of a body of any company competitive to the Bank nor is a member of a body of any other legal entity competitive to the Bank. Furthermore, Mr Jean-Charles Aranda has not been entered into the Register of Insolvent Debtors.
