| Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”), informuje, że w dniu 10 grudnia 2021 otrzymał od SG Mobile LLC, działającej pod nazwą handlową Shori Games (dalej jako: “Producent”, “Deweloper”, “Shori Games”), z siedzibą w Mińsku (Białoruś), wypowiedzenie zawartych 17 marca 2020 roku umów wydawniczych (o których Emitent informował raportem bieżącym ESPI 8/2020). Umowy te dotyczą wydania na platformach iOS i Android gier Knight Fights 2 (wydanej na platformie iOS w dniu 29 października 2020 oraz na platformie Android w dniu 30 października 2020) oraz The Cash (gra znajduje się nadal w produkcji). Shori Games w wypowiedzeniu umowy dotyczącej Knights Fight 2 powołuje się na niezgodne z umową rozliczenie kosztów płatnego pozyskiwania użytkowników (user acquisition), brak udzielenia Deweloperowi dostępu do informacji o wynikach gry, nie osiągnięcie wymaganej umową liczby pobrań oraz brak zapłaty należnego Deweloperowi wynagrodzenia; zaś w wypadku umowy dotyczącej The Cash na utratę zaufania do Spółki jako wydawcy. Deweloper ponadto podjął techniczne kroki uniemożliwiające dalsze korzystanie przez użytkowników z gry Knights Fight 2. W ocenie Emitenta wypadku umowy dotyczącej Knights Fight 2 wskazane przez Producenta przyczyny rozwiązania nie mają podstaw faktycznych lub prawnych, zaś w wypadku umowy dotyczącej The Cash wypowiedzenie pozbawione jest podstaw prawnych. W związku z powyższym, Emitent uznaje oba wypowiedzenia umów za nieskuteczne. W związku z działaniem Producenta Emitent zamierza wystąpić wobec niego z roszczeniem o naprawienie szkody wyrządzonej bezpodstawnym umożliwieniem dalszego korzystania z gry Knights Fight 2 przez użytkowników oraz z roszczeniem o zwrot środków zainwestowanych przez Spółkę w rozwój obu tytułów. W wypadku braku zapłaty przez Producenta Spółka skieruje sprawę na drogę sądową. Jednocześnie, Emitent rozważa zawarcie z Producentem ugody polegającej na przejęciu praw do gry Knights Fight 2. Gra Knight Fights 2 pozostaje na koncie wydawniczym Spółki do czasu wypracowania przez obie strony wspólnego stanowiska lub uzyskania rozstrzygnięcia sądowego. Gra The Cash w związku z nieskutecznym wypowiedzeniem umowy objęta jest udzieloną na rzecz Emitenta wyłączną licencją. W związku z powyższym Shori Games nie jest uprawnione do samodzielnego wydania obu gier, zaś w wypadku podjęcia takich prób Emitent podejmie stosowne kroki w celu uniemożliwienia takiego działania. |

| MESSAGE (ENGLISH VERSION) | |||
| The Management Board of Vivid Games S.A. (hereinafter referred to as: "Company", "Issuer"), informs that on December 10, 2021 the Company received from SG Mobile LLC, operating under the trade name Shori Games (hereinafter: "Producer", "Developer", "Shori Games"), seated in Minsk (Belarus) a termination letter of publishing agreements concluded on March 17, 2020 (of which the Issuer informed in the current report ESPI 8/2020). The aforesaid agreements cover the iOS and Android releases of Knight Fights 2 (released on the iOS platform on October 29, 2020 and on the Android platform on October 30, 2020) and The Cash (the game is still in production). Shori Games in the termination of the agreement for Knights Fight 2 refers to the inconsistent settlement of the costs of paid user acquisition, failure to provide the Developer with access to information about the game results, failure to achieve the number of downloads required by the agreement and failure to pay the remuneration due to the Developer; and in the case of the agreement concerning The Cash, the loss of trust in the Company as the publisher. The developer has also taken technical steps to prevent users from continuing to use Knights Fight 2. In the Issuer's opinion, in the case of the Knights Fight 2 contract, the grounds for termination indicated by the Developer have no factual or legal basis, and in the case of the contract related to The Cash, the termination has no legal basis. In connection with the above, the Issuer considers both terminations of the contracts to be ineffective. In connection with the actions taken by the Producer, the Issuer intends to claim compensation for the damage caused by unjustified continued use of Knights Fight 2 by users and a claim for the return of funds invested by the Company in the development of both titles. If the Developer fails to pay, the Company will bring the matter to court. At the same time, the Issuer is considering a settlement with the Producer under which the Company shall take over the rights to Knights Fight 2 game. Knight Fights 2 remains on the Company's publishing account until both parties reach a settlement or obtain a court decision. Due to the ineffective termination of the contract The Cash game is still covered by an exclusive license granted to the Issuer. Therefore, Shori Games is not entitled to release both games on its own, and if such attempts are made, the Issuer will take appropriate steps to prevent such action.
