Podstawa prawna: Art. 56 ust. 1 pkt 2 Ustawy o ofercie - informacje bieżące i okresowe Treść raportu: Działając w wykonaniu obowiązku wynikającego z § 5 pkt 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim, Zarząd PKO Banku Hipotecznego S.A. ("Bank") informuje, że w dniu 1 sierpnia 2024 roku Rada Nadzorcza Banku: - powołała Pana Wojciecha Papieraka w skład Zarządu Banku na Wiceprezesa Zarządu Banku w ramach obecnej, wspólnej kadencji Zarządu Banku, od dnia 10 sierpnia 2024 r. oraz na Prezesa Zarządu Banku w ramach obecnej, wspólnej kadencji Zarządu Banku, pod warunkiem wyrażenia zgody na powołanie przez Komisję Nadzoru Finansowego oraz od dnia wyrażenia tejże zgody; - powierzyła Wiceprezesowi Zarządu Wojciechowi Papierakowi kierowanie pracami Zarządu w okresie od dnia 10 sierpnia 2024 r. do dnia wydania zgody przez Komisję Nadzoru Finansowego; - powołała Panią Katarzynę Kurkowską-Szczechowicz – członka Zarządu Banku – na Wiceprezesa Zarządu Banku w ramach obecnej, wspólnej kadencji Zarządu Banku, od dnia 10 sierpnia 2024 roku. Informacja o nowo powołanym członku Zarządu Banku, Panu Wojciechu Papieraku, znajduje się w załączniku do raportu. Pan Wojciech Papierak oświadczył, że: - nie prowadzi działalności konkurencyjnej w stosunku do Banku; - nie jest wspólnikami w konkurencyjnej w stosunku do Banku spółce cywilnej, osobowej lub kapitałowej; - nie jest członkiem organu jakiejkolwiek innej konkurencyjnej wobec Banku osoby prawnej; - nie jest wpisany do Rejestru Dłużników Niewypłacalnych. |

Management Board Legal basis: Art. 56 sec. 1 point 2 of the Act on Public Offering - current and periodic information Content: According to the paragraph 5.5 of the Regulation of the Minister of Finance dated 29 March 2018 on current and periodic information published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state, the Management Board of PKO Bank Hipoteczny S.A. ("Bank") hereby informs that on August 1, 2024 the Supervisory Board of the Bank: - appointed Mr Wojciech Papierak to the Management Board as Vice President of the Management Board for the current joint term of office, starting from August 10, 2024, and as President of the Management Board for the current, joint term of office, subject to approval of the Polish Financial Supervision Authority (PFSA) and as of the date of this approval; - entrusted Vice President of the Management Board Wojciech Papierak with directing the work of the Management Board, starting from the day August 10, 2024 until such approval by the PFSA; - appointed Ms Katarzyna Kurkowska-Szczechowicz – member of the Management Board - as Vice President of the Management Board for the current, joint term of office, starting from August 10, 2024. Information on the newly appointed member of the Bank's Management Board, Mr Wojciech Papierak, can be found in the appendix to the report. Mr Wojciech Papierak declared that he: - is not conduct any business competitive to the business of the Bank; - is not participate in any business competitive in respect of the Bank as a partner in a partnership; - is not a members of a bodies of a companies competing with the Bank; - is not registered in the National Debt Register. |
