| Zarząd Spółki "Euromark Polska" S.A. (Emitent) informuje, że w dniu 22 grudnia 2008 r. powziął wiadomość o zawarciu umowy najmu lokalu handlowego o powierzchni 200 m kw. ze spółką Apsys Polska Sp. z o. o. z siedzibą w Warszawie (Wynajmujący). Umowa dotyczy najmu lokalu w Galerii Łacina w Poznaniu. Emitent zamierza używać lokalu, zgodnie z zapisami umowy, w celu prowadzenia działalności handlowej polegającej na sprzedaży artykułów turystyczno-sportowych marek: Campus, Alpinus, Stir Crazy i innych. Działalność ta prowadzona będzie pod nazwą handlową/oznaczeniem: Planet Outdoor - Campus - Alpinus. Towary będą oferowane w sposób odpowiadający standardom Emitenta, zgodnie z konceptem sieci sklepów Planet Outdoor. Na dzień podpisania umowy strony przewidują, iż otwarcie Centrum Handlowego nastąpi w czwartym kwartale 2013 r. Wynajmujący zobowiązał się wydać Emitentowi lokal w stanie niewykończonym. Emitent przeprowadzi prace aranżacyjne (wykonczeniowe) na własny koszt i ryzyko na podstawie projektu zaakceptowanego przez Wynajmującego. Okres najmu wynosi 5 lat począwszy od daty otwarcia Galerii. Warunki na jakich została zawarta umowa nie odbiegają od powszechnie stosowanych dla tego rodzaju umów. Umowa nie spelnia kryterium umowy zanczacej. Zawarcie umowy najmu lokalu handlowego w Galerii Łacina w Poznaniu jest etapem realizacji celów strategicznych w zakresie rozwoju placowek detalicznych i franczyzowych Planet Outdoor, które Emitent finansuje m. in. z emisji akcji serii B. |

| Content of the report:The Management Board of Euromark Polska S.A. (the Issuer) hereby informs that on 22nd December 2008 it has received information about conclusion of a 200 sq. mtrs. commercial premises lease contract with Apsys Polska Ltd. company with registered office in Warsaw (the Lessor).The contract concerns the Planet Outdoor retail outlet in Gallery Lacina in Poznan, where clothing and sport accesories are to be sold of the following brands: Campus, Alpinus, Stir Crazy as well as other non-Euromark brands. Clothing and sport accesories are to be offered to the client in accordance with the Planet Outdoor retail outlets standards.Both parties to the contract predict the opening of the Gallery shall take place in fourth quarter of the year 2013. The Leesor obliged himself to release to the Issuer commercial space in a roofed building in a shell condition and the Issuer obliged himself to finalise construction works and equip the outlet as his own expense in accordance with the project accepted by the Leesor.The period of lease shall be 5 years starting on the Gallery opening date.The contract has been conducted on terms and conditions usually adopted for this type of contract.The contract does not fulfil requirements of a significant agreement. Conclusion of the commercial premises lease contract in Gallery Lacina in Poznan forms part of the strategic plans for growh of retail and franchise Planet Outdoor retail outlets chain. The among others are to be financed from the issue of B series shares. |
