| W dniu 26 czerwca 2021 Zarząd Emitenta otrzymał wiadomość, że z dniem 19 maja 2021 roku, akcje spółki CARLSON INVESTMENTS S.A. oznaczone kodem ISIN PLHOTB000011 zostały wprowadzone do obrotu na platformie „Boerse Frankfurt” (skrót XFRA) prowadzonej przez Frankfurter Wertpapierboerse (Frankfurcka Giełda Papierów Wartościowych) administrowaną i prowadzoną przez Deutsche Boerse AG. Emitent jednocześnie informuje, że Boerse Frankfurt nie jest rynkiem regulowanym w rozumieniu MIFiD II. Dopuszczenie i wprowadzenie do obrotu akcji spółki CARLSON INVESTMENTS S.A. odbyło się bez udziału Emitenta. Akcje zostały dopuszczone i wprowadzone do obrotu na MWB Fairtrade Wertpapierenhandelsbank AG z siedzibą w Graefelfing (Bawaria), w Niemczech. MWB Fairtrade Wertpapierenhandelsbank AG jest animatorem rynku dla akcji Emitenta. Komentarz Zarządu: Zarząd Emitenta otrzymał wiadomość, iż jego akcje zostały wprowadzone wraz z pewną liczbą akcji innych podmiotów, wybranych przez niemieckich brokerów w drodze rekomendacji, do obrotu na Boerse Frankfurt prowadzonej przez Frankfurter WertpapierBoerse. Spółka posiada podstawową wiedzę o wielu aktywnościach zagranicznych brokerów względem analiz i rozpatrywania możliwości wprowadzania akcji Spółki na alternatywne rynki jako potencjalnie atrakcyjnego podmiotu o wysokim potencjale inwestycyjny, jednocześnie Zarząd Emitenta nie miał wiedzy o rozważaniu możliwości notowania jej akcji na rynku niemieckim. W związku z tym Zarząd Spółki dowiedział się z publicznie dostępnych źródeł o powstaniu takiej sytuacji. Z uwagi na to, że Frankfurt Boerse nie jest rynkiem regulowanym, lecz zorganizowaną platformą obrotu, nie powstał dla Spółki obowiązek ogłoszenia raportu zawierającego informację bieżącą związaną z tym faktem. Spółka przekazuje tę informację niezwłocznie od momentu jej powzięcia. Zarząd Emitenta uważa, że dotarcie do szerokiej bazy inwestorów oraz możliwość nabywania akcji Spółki także na alternatywnym rynku, za pośrednictwem członków Frankfurckiej Giełdy Papierów Wartościowych jest w szeroko rozumianym dobrym interesie akcjonariuszy Spółki. W związku z tym Zarząd Emitenta postanowił, że będzie przekazywać niezbędne i ważne informacje bieżące oraz raporty zawierające informacje cenotwórcze także w języku angielskim. Do tego rodzaju informacji zaliczyć można będzie także podstawowe informacje finansowe zawarte w raportach okresowych. Spółka deklaruje tym samym chęć zapewnienia inwestorom działającym na Frankfurt Boerse dostęp do aktualnych informacji o Spółce. |

| ESPI current report no. 16/2021Legal basis: Article 17(1) MAR - confidential informationPublic Chancellery Subject: Introduction of the Issuer's shares to trading on the Frankfurt BoerseOn 26 June 2021, the Issuer's Management Board received information that as of 19 May 2021, shares of CARLSON INVESTMENTS S.A. marked with ISIN code PLHOTB000011 were introduced to trading on the "Frankfurt Boerse" platform (abbreviated XFRA) operated by the Frankfurter Wertpapierboerse (Frankfurt Stock Exchange) administered and operated by Deutsche Boerse AG. At the same time, the Issuer informs that the Boerse Frankfurt is not a regulated market within the meaning of MIFiD II.Admission and introduction to trading of CARLSON INVESTMENTS S.A. shares took place without the participation of the Issuer. The shares were admitted and introduced to trading on the MWB Fairtrade Wertpapierenhandelsbank AG, based in Graefelfing (Bavaria), Germany. MWB Fairtrade Wertpapierenhandelsbank AG is the market maker for the Issuer's shares.Management Board Comment:The Issuer's Management Board has received news that its shares have been listed, together with a number of shares in other entities selected by German brokers on recommendation, for trading on the Frankfurt Boerse operated by the Frankfurter WertpapierBoerse. While the Company has basic knowledge about many activities of foreign brokers with respect to analyzing and considering the possibility of listing the Company's shares on alternative markets as a potentially attractive entity with high investment potential, the Management Board of the Issuer was not aware of any consideration of listing its shares on the German market. Therefore, the Management Board of the Company learned from publicly available sources that such a situation had arisen. As the Frankfurt Boerse is not a regulated market but an organised trading platform, no obligation arose for the Company to announce a report containing current information related to this fact. The Company is transmitting this information as soon as it becomes known. The Management Board of the Issuer believes that reaching a broad base of investors and the possibility to acquire the Company's shares also on the alternative market through the members of the Frankfurt Stock Exchange is in the broadly understood good interest of the Company's shareholders. Therefore, the Management Board of the Issuer has decided that it will provide necessary and important current information and reports containing price sensitive information also in English. Such information will also include basic financial information contained in periodic reports. The Company thus declares its intention to ensure that investors operating on the Frankfurt Boerse have access to up-to-date information about the Company |
