| Rada Dyrektorów Play Communications S.A., luksemburskiej spółki akcyjnej (société anonyme), z siedzibą przy rue du Fort Bourbon 4/6, L-1249 Luksemburg i zarejestrowanej w luksemburskim rejestrze Handlu i Przedsiębiorstw (Registre de Commerce et des Sociétés) pod numerem B183803 (dalej określana jako „Spółka”), której akcje zwykłe są notowane i znajdują się w obrocie na rynku podstawowym Giełdy Papierów Wartościowych w Warszawie, informuje akcjonariuszy, że zgodnie z podjętymi uchwałami Rady Dyrektorów z dnia 14 kwietnia 2020, Spółka wypłaci swoim akcjonariuszom okresową dywidendę brutto (gross interim dividend) w wysokości PLN 1.65 za akcję. Dzień ustalenia wypłaty dywidendy zostaje określony na 4 maja 2020 r. Uprawnionymi do wypłaty dywidendy będą akcjonariusze posiadający akcje Spółki na ich rachunkach papierów wartościowych w dniu ustalenia wypłaty dywidendy. Dywidenda okresowa będzie wypłacona na podstawie opublikowanych w 2019 r. oczekiwań co do jej zakresu – do wypłaty w 2020 r. na podstawie wyników roku 2019. W związku z przyczynami natury technicznej, dywidenda jest wypłacana w formie okresowej dywidendy, gdyż Spółka zaksięgowała dywidendę otrzymaną od P4 sp. z o.o. dopiero w pierwszym kwartale 2020 roku. Dywidenda będzie wypłacona 12 maja 2020 roku za pośrednictwem Krajowego Depozytu Papierów Wartościowych S.A. (“KDPW”) poprzez przelew określonych kwot na konta akcjonariuszy za pośrednictwem rachunków bankowych banków będących uczestnikami KDPW, na których zdeponowane są akcje akcjonariuszy. Spółka nie jest odpowiedzialna za jakiekolwiek opóźnienia w płatności dywidendy przez KDPW, ich członków lub banków prowadzących rachunek bankowy, na którym zdeponowane są akcje akcjonariuszy wynikające z niepełnych informacji przekazanych do tych banków lub wynikających z czasu potrzebnego do przetworzenia danych. Jednocześnie, Spółka przypomina akcjonariuszom, by skontaktowali się z ich bankami prowadzącymi rachunek bankowy, na którym zdeponowane są ich akcje w celu sprawdzenia, że akcjonariusze przekazali wszystkie informacje wymagane do wypłaty dywidendy oraz w celu przekazania wszelkich innych danych w czasie okresu ustalenia praw do dywidendy. Kwestie podatkowe związane z wypłatą dywidendy powinny zostać skonsultowane z profesjonalnymi doradcami podatkowymi. Raport ten został opublikowany na stronie internetowej Spółki oraz na stronie GPW. | 2020-04-14 Current Report No. 16/2020 Play Communications S.A. Announcement of Interim Dividend Distribution on 12 May 2020 The Board of Directors of Play Communications S.A., a Luxembourg public limited liability company (société anonyme), having its registered address at 4/6, rue du Fort Bourbon, L-1249 Luxembourg and registered with the Luxembourg Register of Commerce and Companies (Registre de Commerce et des Sociétés, Luxembourg) under number B183803 (hereinafter referred to as the “Company”), having its ordinary shares listed and traded on the main market of the Warsaw Stock Exchange, hereby informs its shareholders that in accordance with resolutions of the Board of Directors of the Company dated 14 April 2020, the Company shall pay a gross interim dividend of PLN 1.65 per ordinary share to its shareholders. The record date relating to the dividend payment shall be 4 May 2020 (hereinafter referred to as the “Record Date”). Shareholders who hold shares in the Company in their securities account on the Record Date shall be entitled to a dividend. The interim dividend 2020 is done in the light of the dividend guidance announced in 2019 (for the year 2019), to be paid in 2020. Due to technical reasons this is done as an interim dividend as Play Communications S.A. booked the dividend for the year 2019 of P4 sp. z o.o. only in first quarter of 2020. The dividend will be paid with intermediation of Polish National Depository for Securities (hereinafter referred as “NDS“) by wire transfer to the shareholders’ accounts held at their account-keeper banks on 12 May 2020. The Company is not responsible for any payment delay by the NDS, its members or the respective account-keeper banks resulting from insufficient or incomplete information provided by the account keeper bank or resulting from the time required for data processing. We would like to take this opportunity to remind all shareholders to contact their account keeper bank and to check that they have disclosed all necessary information required for payment of the dividend and draw their attention to submit their data in course of the recording process. The shareholders are also advised to consult their professional advisors for managing their own specific tax matters in relation to dividend distribution. This announcement has been published on the Company’s website and the website of the Warsaw Stock Exchange.
