| W nawiązaniu do raportu bieżącego nr 81/2010 z dnia 17 listopada 2010 r. dotyczącego listu intencyjnego w sprawie nabycia znaczącego udziału w przedsiębiorstwie Kancelarii Prawniczej "FORUM" radca prawny Krzysztof Piluś i s-ka spółka komandytowa z siedzibą w Warszawie Zarząd Kredyt Inkaso SA (Emitent) informuje, co następuje: W dniu 30 grudnia 2010 r. podpisana została pomiędzy Emitentem (Kupującym) a Moniką Chadaj, Krzysztofem Pilusiem, Sławomirem Ćwik i Arturem Górnikiem (Sprzedającymi) przedwstępna umowa, mająca doprowadzić do zrealizowania w/w transakcji poprzez nabycie 100% akcji Kancelarii FORUM Spółka Akcyjna w organizacji z siedzibą w Zamościu zawiązanej aktem notarialnym z dniu 20 grudnia 2010r., która od dnia 20 grudnia 2010 r. jest komandytariuszem w Kancelarii Prawniczej FORUM radca prawny Krzysztof Piluś i s-ka sp. k. z siedzibą w Warszawie z prawem do 85% udziału w zyskach tej spółki, co jest jej głównym aktywem. W oparciu o zawartą umowę przedwstępną Emitent uzyskał z chwilą jej zawarcia faktyczną kontrolę nad Kancelarią FORUM S.A. w organizacji z siedzibą w Zamościu a za jej pośrednictwem nad Kancelarią Prawniczą Forum radca prawny Krzysztof Piluś i s-ka sp. k. z siedzibą w Warszawie. Zawarta umowa przedwstępna określa warunki umowy sprzedaży 240 000 akcji serii A o wartości nominalnej 1,00 złoty każda tj. 100% akcji w Kancelarii FORUM Spółce Akcyjnej z siedzibą w Zamościu przez założycieli tej Spółki (Monikę Chadaj, Krzysztofa Pilusia, Sławomira Ćwik i Artura Górnika) na rzecz Emitenta. Kapitał zakładowy Kancelarii FORUM S.A. w organizacji z siedzibą w Zamościu wynosi 240 000,00 złotych i został w całości opłacony gotówką. Zarząd Kancelarii FORUM S.A. w organizacji z siedzibą w Zamościu jest jednoosobowy, funkcję tę pełni Sławomir Ćwik, będący jednocześnie Wiceprezesem Zarządu Emitenta. Rada Nadzorcza Kancelarii FORUM S.A. w organizacji z siedzibą w Zamościu jest trzyosobowa i w jej skład wchodzą: Artur Górnik jako Przewodniczący Rady Nadzorczej, który jednocześnie pełni funkcję Prezesa Zarządu Emitenta, Ireneusz Chadaj, który jednocześnie pełni funkcję członka Rady Nadzorczej Emitenta oraz Krzysztof Piluś. Umowa sprzedaży akcji zostanie zawarta niezwłocznie po dacie zarejestrowania spółki Kancelaria FORUM SA w Rejestrze Przedsiębiorców Krajowego Rejestru Sądowego i wydaniu akcji Sprzedającym, jednak nie później niż w terminie 7 dni od daty wydania akcji Sprzedającym. Cena sprzedaży wszystkich akcji serii A wynosić będzie 5.882.850,00 złotych. Cena zostanie zapłacona w ten sposób, że każdy ze Sprzedających otrzyma za sprzedawane akcje 25% ceny w formie gotówkowej, płatne w terminie 7 dni od daty przeniesienia własności akcji na rachunek bankowy wskazany przez Sprzedającego a pozostałe 75% ceny w formie akcji Kupującego nowej serii, o wartości nominalnej 1,00 złoty każda obejmowanych po cenie emisyjnej 12,50 złotych każda. Łącznie tytułem zapłaty ceny Emitent będzie zobowiązany zapłacić kwotę 1.470.712,50 złotych w gotówce oraz wydać sprzedającym 352 971 własnych akcji serii G emitowanych w ramach kapitału docelowego. Akcje obejmowane przez Sprzedających zostaną staraniem i na koszt Kupującego zdematerializowane, zarejestrowane w Krajowym Depozycie Papierów Wartościowych S.A. i dopuszczone do obrotu publicznego na Giełdzie Papierów Wartościowych S.A. Kancelaria Prawnicza FORUM radca prawny Krzysztof Piluś i s-ka sp. k. z siedzibą w Warszawie istnieje od 2001r. Spółka prowadzi działalność w zakresie działalności prawniczej, przede wszystkim na rzecz Kredyt Inkaso S.A. z siedzibą w Zamościu w zakresie prowadzenia przed sądami postępowań o zapłatę w celu uzyskania tytułu wykonawczego i reprezentowania wierzyciela w postępowaniu egzekucyjnym. W okresie od 01 stycznia do 20 grudnia 2010 roku Kancelaria wniosła do sądów powszechnych około blisko 110 tys pozwów o zapłatę oraz skierowała do komorników ponad 87 tys. wniosków o wszczęcie egzekucji. Na dzień 20 grudnia2010r. Kancelaria prowadzi około 106 tys. aktywnych postępowań egzekucyjnych. Zatrudnienie w Kancelarii Prawniczej FORUM radca prawny Krzysztof Piluś i s-ka sp. k. z siedzibą w Warszawie na koniec 2009 roku wynosiło 52 osoby a na dzień 20 grudnia 2010r. 65 osób. Za 2009 rok Kancelaria Prawnicza FORUM radca prawny Krzysztof Piluś i s-ka sp. k. z siedzibą w Warszawie uzyskała dochód brutto w wysokości 1709 tys. złotych, a za pierwsze 3 kwartały 2010 roku dochód brutto 1315 tys złotych. Dane te nie były przedmiotem badania przez biegłego rewidenta. |

| Subject: The conclusion of an preliminary agreements considering acquisition of shares of Kancelaria “Forum” S.A. with the registered office in Zamość. Contents: According to the raport of current information no. 81/2010 on 17 november 2010, concerning the letter of intent in respect of acquisition of the considerable share of enterprise of Kancelaria Prawnicza „Forum” radca prawny Krzysztof Piluś i s-ka spółka komandytowa with the registered office in Warsaw, the Management Board of Kredyt Inkaso S.A. („Issuer”) informes that: On 30 december 2010 the Issuer (as the Acquirer) signed the preliminary agreement with Monika Chadaj, Krzysztof Piluś, Sławomir Ćwik and Artur Górnik (the Sellers) which intends to accomplish the transaction in question by way of acquisition 100% of shares of Kancelaria FORUM Spółka Akcyjna w organizacji with the registered office in Zamość, which was created under the notary deed dated on 20 december 2010 and which until the same date of 20 december 2010 is the shareholder in Kancelaria Prawnicza FORUM radca prawny Krzysztof Piluś i s-ka sp.k. with the registered office in Warsaw, and as a shareholder is entitled to the 85% share in profits of the company, which constitutes its major asset. Due to the concluded preliminary agreement, The Issuer at the moment of signing the agreement in question, gained both the real control over Kancelaria FORUM S.A. w organizacji with the registered office in Zamość and indirect control - through Kancelaria Prawnicza Forum radca prawny Krzysztof Piluś I s-ka sp.k. with the registered office in Warsaw. The concluded preliminary agreement statutes the conditions of the sale of 240 000 of series A shares with the nominal value of PLN 1,00 (one zloty) each i.e. 100% of the shares of Kancelaria FORUM Spółka Akcyjna with the registered office in Zamość by its promoters (Monika Chadaj, Krzysztof Piluś, Sławomir Ćwik and Artur Górnik) to the Issuer. The share capital of Kancelaria FORUM S.A. w organizacji with the registered Office in Zamość constitutes of 240 000 zlotych and was fully covered with cash. The Management Board of Kancelaria FORUM S.A. w organizacji with the registered office in Zamość consist of one member Mr. Sławomir Ćwik, who at the same time is the Vice-Chairman of the Management Board of the Issuer. The Supervisory Board of the Kancelaria FORUM S.A. w organizacji with the registered office in Zamość constitutes of three persons and its members are: Artur Górnik as a Chairman of the Supervisory Board and who is the Chairman of the Management Board of the Issuer, Ireneusz Chadaj, who at the same time is the member of the Supervisory Board if the Issuer and Krzysztof Piluś. The sale agrement of the shares will be concluded promptly after the date of registering the company of Kancelaria FORUM S.A. in Regional Register Court , Economic Division of the National Court Register and after passing the shares to the Sellers, but within the period of 7 days following the date of passing the shares to the Sellers. The price of the sale of the series A shares will be PLN 5,882,850,00. The price will be covered in the following manner – each Seller will receive, in return for the shares being the subject of the sale, 25% of the price of sale in cash which will be covered within the period of 7 days following the date of transfering the ownership of the shares, and paid on the bank account indicated by the Seller and the remaining 75% of the price of sale will be constituting the shares of new series of the Acquirer, with the nominal value PLN 1,00 (one zloty) each share, and subscribed with the issue price of PLN 12,50 each share. Consequently the Issuer will be obliged to pay the total price of sale of PLN 1,470,712,50 in cash and to issue to the Selleres 352 971 its own shares of series G, issued out of its authorized share capital. The Issuer will be undertake the actions, bearing all of due costs, in order to dematerialize and register the shares subscribed by the Sellers in Krajowy Depozyt Papierów Wartościowych S.A. and also to obtain admission and introduction of the shares to trade them on the Warsaw Stock Exchange S.A. Kancelaria Prawnicza FORUM radca prawny Krzysztof Piluś i s-ka sp.k. with the registered office in Warsaw was founded in 2001. The company carry the business in respect of legal assistance, mainly for the benefit of Kredyt Inkaso S.A. with the registered office in Zamość basicly concerning conduct of legal proceedings before the courts and litigations seeking recovery from the debtors which are intended to obtain executory document with a writ of execution and representation of the creditors in such proceeding before the courts and the court executive officers. In the period of 01 January 2001 until the 20 december 2010 Kancelaria submitted to the public courts approximately 110 thousands of suits for recovery form the debtors and submitted to court executive officers over 87 thousands of petitions for commencing the execution proceedings. On the date of 20 december 2010 the Kancelaria conducts approximately 106 thousands of the proceedings in question. The staff of Kancelaria Prawnicza FORUM radca prawny Krzysztof Piluś i s-ka sp.k. with the registered office in Warsaw at the end of 2009 constituted 52 persons and on the day of 20 december 2010 constitutes 65 persons. Kancelaria Prawnicza FORUM Krzysztof Piluś i s-ka sp.k. with the registered Office in Warsaw for its operation in 2009 obtained gross profit of PLN 1 709 thousands and in the first three quarters of 2010 gorss profit of PLN 1 315 thousands. The above mentioned data was not verified by the statutory auditor. |
