("Spółka", "Emitent") informuje, iż w dniu 27 listopada 2018 roku wpłynęło do Spółki zawiadomienie od UNITED Spółka Akcyjna z siedzibą w Warszawie (Zawiadamiająca) na podstawie art. 69 ust. 1 pkt 1 i 4 oraz art. 87 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej: Ustawa), w którym to UNITED S.A. informuje, że jego spółka zależna BIOERG S.A. (dalej: BIOERG) przekroczyła 10% głosów w ogólnej liczbie głosów Emitenta. Akcjonariusz w piśmie przekazał następujące informacje: 1. Data i rodzaj zdarzenia powodującego obowiązek zawiadomienia W dniu 27 listopada 2018 roku BIOERG przekroczył 10% głosów w ogólnej liczbie głosów Spółki w związku z nabyciem w dniu 27 listopada 2018 roku 3.259.343 akcji wyemitowanych przez Chemoserwis-Dwory S.A. 2. Liczba akcji posiadanych przed zmianą udziału i ich procentowego udziału w kapitale zakładowym Spółki oraz liczba głosów z tych akcji i ich procentowego udziału w ogólnej liczbie głosów Przed zdarzeniem powodującym obowiązek zawiadomienia BIOERG i jego podmioty powiązane i zależne nie posiadały akcji Emitenta. 3. Liczba aktualnie posiadanych akcji oraz ich procentowy udział w kapitale zakładowym Spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów Liczba posiadanych akcji: 3 259 343 Udział procentowy w kapitale zakładowym Spółki: 13,03 % Liczba głosów z posiadanych akcji: 3 259 343 Udział procentowy w liczbie głosów na Walnym Zgromadzeniu: 13,03 % Ponadto BIOERG informuje, iż nie ma innych podmiotów zależnych lub powiązanych posiadających akcje Emitenta i nie ma osób, o których mowa w art. 87 ust 1 pkt 3 lit c Ustawy.
