| Zarząd Chemoservis-Dwory S.A. ("Spółka", "Emitent") działając na podstawie art. 17 ust. 1, 4 i 7 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE („MAR”), przekazuje poniższą informację poufną dotyczącą rozpoczęcia przez Spółkę w dniu 03 sierpnia 2018 r. negocjacji z Chemica S.A. („Inwestor”) jako inwestorem zastępczym zadania inwestycyjnego o wartości ok. 30,0 mln PLN, w sprawie realizacji przez Emitenta kontraktu podwykonawczego o znacznej wartości („Informacja Poufna”). Podanie do publicznej wiadomości Informacji Poufnej zostało opóźnione w dniu 03 sierpnia 2018 roku na podstawie art. 17 ust. 4 MAR. Jednocześnie, w ocenie zarządu Emitenta pojawiające się wokół Spółki nieprawdziwe doniesienia medialne, mogące mieć wpływ na decyzję Sądu w sprawie rozpoznania wniosku o restrukturyzację Spółki, a także z uwagi na przygotowywane wystąpienie zarządu do Sądu w sprawie negocjacji i ewentualnego zawarcia kontraktu o znacznej wartości, uzasadniają obowiązek niezwłocznego ujawnienia przedmiotowej Informacji Poufnej wynikający z art. 17 ust. 7 MAR, tj. sytuacji, kiedy informacje poufne po dniu 08 sierpnia 2018 roku mogą zostać udostępnione w aktach postępowania restrukturyzacyjnego. Dlatego zarząd podjął decyzję o ujawnieniu w dniu 08 sierpnia 2018 roku Informacji Poufnej o rozpoczętych w dniu 02 sierpnia 2018 roku negocjacjach z Inwestorem, w sprawie realizacji kontraktu, o wartości nie mniejszej niż 3,6 mln PLN. Podstawą utajnienia dalszych informacji stanowi Art. 17 ust. 1 MAR wskazującym, iż publikacja powinna umożliwiać „szybki dostęp oraz pełną, prawidłową i terminową ocenę informacji przez opinię publiczną”. Szczegółowe informacje dotyczące zawartego kontraktu zostaną opublikowane w terminie wynikającym z dyrektywy MAR i będą dostępne na stronie internetowej Emitenta przez okres co najmniej 5 lat. | The Board of Chemoservis-Dwory S.A. 17 sec. 1, 4 and 7 of Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission Directives 2003/124 / EC, 2003/125 / EC and 2004 / 72 / WE ("MAR"), provides the following confidential information regarding the commencement by the Company on 03 August 2018 negotiations with Chemica SA ("Investor") as a substitute investor of an investment project worth approximately PLN 30.0 million, on the Issuer's implementation of a subcontracting contract of significant value ("Confidential Information").Publication of the Confidential Information to the public was delayed on August 3, 2018 on the basis of art. 17 sec. 4 MAR. At the same time, in the opinion of the Issuer's management, false media reports appearing around the Company that could affect the decision of the Court regarding recognition of the Company's restructuring request, and due to the board's preparation to the Court regarding negotiations and possible conclusion of a significant value contract, justify the obligation to immediately disclose the Confidential Information in question resulting from Art. 17 sec. 7 MAR, ie the situation when confidential information after 08 August 2018 can be made available in the files of restructuring proceedings. Therefore, the Management Board decided to disclose on August 08, 2018 the Confidential Information on negotiations with the Investor commenced on 02 August 2018 regarding the execution of the contract, worth at least PLN 3.6 million.The basis for the secrecy of further information is Art. 17 par. 1 MAR indicating that the publication should enable "quick access and full, correct and timely evaluation of information by the public". Detailed information on the concluded contract will be published within the time limit resulting from the MAR directive and will be available on the Issuer's website for a period of at least 5 years.Signed: The Management Board of the Company |
