| Zarząd CARLSON INVESTMENTS S.A. z siedzibą w Warszawie (Spółka, Emitent),niniejszym informuje, iż w dniu 15 czerwca 2021 roku otrzymał od Akcjonariusza BOUCHARD ET CIE SA z siedzibą w Baar zawiadomienie następującej treści : ,,Na podstawie art. 69 ust.1 pkt 2) w związku z art.87 ust.1 pkt 2) Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2005 r. nr 184,poz.1539 z późn. zm BOUCHARD ET CIE SA z siedzibą w Baar zawiadamia, iż łączny jego udział w ogólnej liczbie głosów CARLSON INVESTMENTS S.A. z siedzibą w Warszawie (dalej „Spółka”, „Emitent”) wynosi 15,14% . Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie W związku z powzięciem w dniu 14 czerwca 2021 roku informacji o dokonaniu przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego w dniu 25 maja 2021 r. wpisu rejestracji podwyższenia kapitału zakładowego Emitenta oraz objęciem przez BOUCHARD ET CIE SA 1.017.658 akcji serii R w wyniku realizacji umowy nabycia instrumentów finansowych przeprowadzonej poza systemem obrotu udział BOUCHARD ET CIE SA w kapitale zakładowym Emitenta i ogólnej liczbie głosów w Spółce wynosi 15,14 %. Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym Spółki oraz liczbie głosów z tych akcji oraz procentowym udziale w ogólnej liczbie głosów: Przed dokonaniem rejestracji podwyższenia kapitału zakładowego Spółki oraz objęciem 1.017.658 akcji serii R BOUCHARD ET CIE SA nie posiadał akcji Emitenta. Liczba akcji i ich procentowy udział w kapitale zakładowym Spółki oraz liczba głosów z tych akcji i ich procentowym udział w ogólnej liczbie głosów: Po dokonaniu rejestracji podwyższenia kapitału zakładowego oraz objęciu 1.017.658 akcji serii R BOUCHARD ET CIE SA posiada 1.017.658 akcji Spółki w kapitale zakładowym po podwyższeniu, reprezentujących 15,14 % kapitału zakładowego Spółki, uprawniających do wykonania 1.017.658 głosów, co stanowił 15,14 % w ogólnej liczbie głosów w Spółce. Po rejestracji podwyższenia kapitału ogólna liczba akcji w Spółce wynosi 6.721.685. Ogólna liczba głosów na walnym zgromadzeniu akcjonariuszy Spółki wynosi 6.721.685. Brak jest podmiotów zależnych od akcjonariusza dokonujących zawiadomienia, posiadających akcje Spółki. Brak jest osób, o których mowa w atr.87 ust.1 pkt3 lit. c wyżej powołanej ustawy w stosunku do akcjonariusza. Jednocześnie, zgodnie z art.69 ust.4 pkt 5 i 6 Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych z późniejszymi zmianami, BOUCHARD ET CIE SA informuje, że dopuszcza zwiększenie zaangażowania w Spółkę w ciągu nadchodzących 12 miesięcy.” |

| ESPI Current report No. 14 / 2021Legal basis :Article 70 point 1 of the Act on Public Offering - acquisition or disposal of a significant block of sharePublic ChancellerySubject: Notification on reaching the threshold of 15% of the total number of votes The Management Board of CARLSON INVESTMENTS S.A., with its registered office in Warsaw (the Company, the Issuer), hereby announces that on 15 June 2021 it received the following notification from a Shareholder BOUCHARD ET CIE SA, with its registered office in Baar :"Pursuant to Article 69.1.2) in connection with Article 87.1.2) of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (Journal of Laws of 2005, No. 184, item 1539, as amended), BOUCHARD ET CIE SA, with its registered office in Baar, notifies that its total share in the overall number of votes of CARLSON INVESTMENTS S.A., with its registered office in Warsaw (hereinafter the "Company", "Issuer"), amounts to 15.14% .Date and type of event causing the change in the shareholding concerned by the notification. In connection with the receipt on 14 June 2021 of information on the registration of an increase in the Issuer's share capital by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register on 25 May 2021 and the acquisition by BOUCHARD ET CIE SA of 1,017,658 Series R shares as a result of the execution of an agreement on the purchase of financial instruments conducted outside the trading system, the share of BOUCHARD ET CIE SA in the Issuer's share capital and the total number of votes in the Company is 15.14%.The number of shares held before the change in shareholding and their percentage share in the Company's share capital and the number of votes attached to those shares and percentage share in the total number of votes: Prior to the registration of the increase in the Company's share capital and the acquisition of 1,017,658 series R shares, BOUCHARD ET CIE SA did not hold any shares in the Issuer.Number of shares and their percentage share in the Company's share capital and number of votes attached to those shares and their percentage share in the total number of votes:Following the registration of the share capital increase and the acquisition of 1,017,658 Series R shares, BOUCHARD ET CIE SA holds 1,017,658 shares in the Company's share capital after the increase, representing 15.14% of the Company's share capital, entitling it to exercise 1,017,658 votes, which constituted 15.14% in the total number of votes in the Company.Following the registration of the capital increase, the total number of shares in the Company is 6,721,685. The total number of votes at the Company's general meeting of shareholders is 6,721,685. There are no subsidiaries of the shareholder making the notification who hold the Company's shares. There are no persons referred to in Article 87, section 1, item 3, letter c of the above mentioned Act in relation to the shareholder.At the same time, pursuant to Article 69(4)(5) and (6) of the Act of July 29, 2005 on public offerings and conditions for the introduction of financial instruments to an organized trading system and on public companies, as amended, BOUCHARD ET CIE SA announces that it permits an increase in its involvement in the Company in the coming 12 months." |
