(ISIN: PLHOTB000011) z siedzibą w Warszawie (Spółka, Emitent ) w nawiązaniu do raportu bieżącego nr 43/2019 opublikowanego w dniu 28-11-2019 roku , niniejszym informuje, iż w dniu 27 maja 2021 roku podpisał umowę sprzedaży kontrolnego pakietu udziałów (99,95%) w Spółce Sundawn Limited (Sundawn Ltd) działającej pod adresem: Berkeley Square House, Berkeley Square, Suite 3/Level 5, London W1J6BY Wielka Brytania zarejestrowanej rejestrze Companies Hause pod numerem 07831091. Obecie Emitent nie posiada udziałów w Sundawn Ltd.
Zgodnie z umową Kupujący nabył 99.95% udziałów za łączną cenę 1 298 625 złotych. Warunki umowy nie odbiegają od standardów rynkowych stosowanych w podobnych umowach.
Transakcja sprzedaży udziałów Sundawn Ltd. jest konsekwencją zmiany profilu działalności Emitenta, która obecnie koncentruje się na inwestowaniu na rynku niepublicznym w udziały i akcje spółek o profilu technologicznym, charakteryzujących się innowacyjnymi produktami, usługami lub innymi rozwiązaniami organizacyjnymi. Emitent podjął decyzję o sprzedaży udziałów spółki zależnej z uwagi na jej odmienny od Emitenta przedmiot działalności.

(ISIN: PLHOTB000011) with its registered seat in Warsaw (the Company, the Issuer ) in reference to the current report no. 43/2019 published on 28-11-2019 , hereby informs that on 27 May 2021 it signed an agreement to sell a controlling stake (99.95%) in the Company Sundawn Limited (Sundawn Ltd) operating at the address: Berkeley Square House, Berkeley Square, Suite 3/Level 5, London W1J6BY United Kingdom registered in the Companies House register under number 07831091.The Issuer does not currently hold any shares in Sundawn Ltd. Pursuant to the agreement, the Buyer acquired 99.95% of shares for the total price of PLN 1,298,625. The terms of the agreement do not deviate from market standards applied in similar agreements.The transaction of sale of the Sundawn Ltd. shares is a consequence of a change in the Issuer's business profile, which currently focuses on investing on the private market in shares of companies with technological profile, characterised by innovative products, services or other organisational solutions.The Issuer made the decision to sell the shares of the subsidiary company due to the fact that its field of activity is different from the Issuer's.
