| Alior Bank S.A. z siedzibą w Warszawie (,,Bank"), działając na podstawie art. 17 ust. 1 i 4 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE ("MAR"), przekazuje do wiadomości publicznej poniższą informacje poufną dotyczącą powzięcia przez Banku informacji o podjęciu przez Zarząd PZU S.A. uchwały w sprawie akceptacji założeń Aneksu nr 1 do Umowy zlecenia o okresowe udzielanie gwarancji ochrony kredytowej nierzeczywistej oraz o podjęciu przez Zarząd Banku uchwały w sprawie akceptacji warunków ww. Aneksu nr 1 do Umowy ("Informacja poufna"). Podanie do publicznej wiadomości informacji poufnej zostało opóźnione w dniu 27 października 2020 r. na podstawie art. 17 ust. 4 MAR. Treść opóźnionej Informacji poufnej: W dniu 27 października 2020 r. Bank powziął informację o podjęciu przez Zarząd PZU S.A. uchwały w sprawie akceptacji założeń Aneksu nr 1 do Umowy zlecenia o okresowe udzielanie gwarancji ochrony kredytowej nierzeczywistej oraz podjął uchwałę w sprawie akceptacji warunków ww. Aneksu nr 1 do Umowy ("Informacja poufna"). W ocenie Banku, niezwłoczne ujawnienie ww. informacji poufnej mogłoby naruszyć prawnie uzasadnione interesy Banku poprzez możliwość zagrożenia właściwej ocenie informacji przez opinię publiczną, w związku z tym, że ostateczna decyzja odnośnie zawarcia Aneksu nr 1 do Umowy jeszcze nie zapadła, a jego ostateczne warunki mogą być jeszcze przedmiotem negocjacji pomiędzy PZU S.A. a Bankiem. Ponadto, ostateczna decyzja jest uzależniona także od podjęcia stosownych uchwał przez organy obu podmiotów. Natychmiastowe podanie przedmiotowej informacji poufnej do publicznej wiadomości mogłoby zagrozić właściwej ocenie informacji przez opinię publiczną poprzez wywarcie mylnego wrażenia, jakoby strony podjęły ostateczną decyzję co do zawarcia Aneksu nr 1 do Umowy, a tym samym wpłynąć na wycenę instrumentów finansowych. Bank jest w stanie zapewnić zachowanie poufności ww. informacji poufnej. Nie istnieją przy tym przesłanki do uznania, że opóźnienie ujawnienia informacji o zawarciu Aneksu nr 1 do Umowy może wprowadzić w błąd opinię publiczną. Informacja o zawarciu Aneksu nr 1 do Umowy zostanie podana do publicznej wiadomości oddzielnym raportem bieżącym. |

| Disclosure of delayed confidential information about the planned conclusion of Annex No. 1 to the Order Agreement for the periodic granting of a guarantee of unfunded credit protectionAlior Bank S.A. with its registered office in Warsaw ("Bank"), acting pursuant to Article 17 (1) and (4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6 /EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), disclose to the public the following confidential information regarding the adoption by the Bank's Management Board of the resolution on the acceptance of the terms of Annex 1 to the Order Agreement for the periodic granting of a guarantee of unfunded credit protection and about the adoption by the Bank's Management Board of a resolution on the acceptance of the conditions of the above mentioned Annex No. 1 to the Agreement ("Confidential Information"). The disclosure of confidential information was delayed on October 27th, 2020, pursuant to Article 17 (4) of MAR. Content of confidential information delayed on October 27th,2020: On October 27th, 2020, the Bank was notified that the Management Board of PZU S.A. resolutions on the acceptance of the assumptions of Annex No. 1 to the Order Agreement for the periodic granting of a guarantee of unfunded credit protection and adopted a resolution on the acceptance of the conditions of the above mentioned Of Annex No. 1 to the Agreement ("Confidential Information"). In the Bank’s opinion, the immediate disclosure of above mentioned confidential information could infringe the Bank's legitimate interests by by the possibility of threatening the proper assessment of the public, due to the fact that the final decision on the conclusion of Annex No. 1 to the Agreement has not yet been taken, and its final terms may still be the subject of negotiations between PZU S.A. and the Bank. Moreover, the final decision also depends on the adoption of appropriate resolutions by the bodies of both entities. Immediate disclosure of the information to the public could jeopardize the proper assessment of the information by the public by giving the erroneous impression that the parties made the final decision to conclude Annex No. 1 to the Agreement, and thus affect the valuation of financial instruments. The Bank is able to ensure the confidentiality of the above mentioned confidential information. At the same time, there are no grounds to believe that the delay in disclosing the information on the conclusion of Annex No. 1 to the Agreement may mislead the public. Information on the conclusion of Annex No. 1 to the Agreement will be made public in a separate current report. |
