| Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”), informuje, że w dniu 7 stycznia 2022 r. Rada Nadzorcza Spółki powołała Pana Piotra Gamracego na stanowisko Członka Zarządu. Powołanie następuje z dniem 7 stycznia 2022 r. na 5-letnią kadencję. Zgodnie ze złożonym oświadczeniem, powołany Członek Zarządu nie prowadzi działalności konkurencyjnej w stosunku do działalności Spółki oraz nie uczestniczy w spółce konkurencyjnej w stosunku do Spółki jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej, ani nie uczestniczy w innej konkurencyjnej osobie prawnej jako członek jej organu. Powołany Członek Zarządu nie jest wpisany do Rejestru Dłużników Niewypłacalnych prowadzonego na podstawie ustawy o KRS. Pan Piotr Gamracy posiada szerokie doświadczenie w budowaniu, zarządzaniu oraz rozwoju zespołów oraz strategii produktowej. Ukończył studia licencjackie w Wyższej Szkole Zarządzania i Bankowości na kierunku Finanse i Zarządzanie w specjalności audyt i rewizja finansowa. Od 2009 roku związany z branżą gier wideo. W latach 2009-2012 jako Producent i Studio Manager w Sointeractive zbudował studio wspierające branżę gier wideo w produkcji motion capture oraz cinematics. W latach 2012 – 2015 Head of Game Department w Alwernia Studios sp. z o.o., a następnie CEO w Alwernia Action sp. z o.o., odpowiedzialny za rozwój produktów i usług wspierających branżę gier wideo. Realizował produkcję min. przy grach Dead Island, Dying Light, Bound by Flame czy The Witcher 3. Członek Zarządu oraz Studio Manager w Netent Poland sp. z o.o. w latach 2016 – 2019 odpowiedzialny za budowanie studia gier kasynowych i zarządzanie oddziałem szwedzkiej firmy produkującej gry kasynowe. Współodpowiedzialny za tworzenie globalnej strategii developmentu dla czterech oddziałów (Göteborg, Kraków, Sztokholm i Kijów). Na przełomie 2019 i 2020 r. jako Head of Production związany z Super Hippo Studios zarządzał studiem (Bukareszt) zajmującym się produkcją i publishingiem gier mobilnych F2P. Od 1 września 2020 Wicedyrektor działu parku technologicznego w KPT sp. z o.o. odpowiedzialny za zarządzanie obszarami: Digital Dragons Conference, Digital Dragons Incubator, Digital Dragons Academy oraz uruchomienie akceleratora dla branży gier wideo. Członek Rady Nadzorczej Simteract S.A. oraz mentor w startupach Swipers Games, Pocket Fun i Gateway VR Studio. Powyższa działalność wykonywana poza przedsiębiorstwem Emitenta nie jest konkurencyjna wobec działalności Spółki. Od I kwartału 2021 związany z Vivid Games S.A.. Na stanowisku General Managera odpowiedzialny za przebudowę działu Publishing oraz wsparcie strategiczne i operacyjne Zarządu a także rozwój kultury organizacyjnej studia w warunkach pracy zdalnej. |

(hereinafter referred to as: the "Company", "Issuer"), informs that on January 7th, 2022, the Supervisory Board of the Company appointed Mr. Piotr Gamracy as a new Member of the Management Board.</font></span> </b> </p> <p dir="ltr" align="justify" style="line-height: 1.38; margin-top: 12pt; margin-bottom: 12pt"> <b charset="utf-8" id="docs-internal-guid-1039d505-7fff-76ef-ab31-26575776d9da"><span style="font-variant: normal; white-space: pre-wrap"><font size="10pt" face="Lato,sans-serif" color="#1f497d">The appointment takes place on 07/01/2022 for a 5-year term of office. According to the submitted statement, the appointed Member of the Management Board does not conduct any activity competitive to the activity of the Company and does not participate in a company competitive to the Company as a partner in a civil partnership, partnership or as a member of the body of a capital company, nor does he participate in any other competitive legal person as member of its governing body.
