| ORLEN S.A. („ORLEN”, „Spółka”) informuje, że Sąd Okręgowy w Płocku I Wydział Cywilny orzekł w jednym z postępowań o uchylenie lub stwierdzenie nieważności uchwały nr 3/2022 Nadzwyczajnego Walnego Zgromadzenia PGNiG S.A. z 10 października 2022 roku w sprawie połączenia Spółki z PGNiG S.A. oraz zgody na proponowane zmiany Statutu ORLEN („Uchwała”). Sąd postanowił umorzyć postępowanie w zakresie roszczenia o uchylenie Uchwały oraz o stwierdzenie jej nieważności wobec skutecznego wycofania pozwu w tej części, a także oddalił powództwo o ustalenie nieistnienia Uchwały. | Dismissal of a claim to declare the non-existence of a resolution of the EGM of PGNiG S.A.Regulatory announcement no 29/2024 dated 14 May 2024ORLEN S.A. (“ORLEN”, “Company”) informs that the District Court in Płock, I Civil Department, ruled in one of the proceedings to repeal or declare invalidity of the resolution no. 3/2022 of the Extraordinary General Meeting of PGNiG S.A. of October 10, 2022 on the merger of the Company with PGNiG S.A. and consent to the proposed amendments to the Articles of Association of ORLEN ("Resolution").The Court decided to discontinue the proceeding with respect to the claim for repealing the Resolution and for declaration of its invalidity due to the effective withdrawal of the claim in this part, and also dismissed the claim for determination of non-existence of the Resolution.The judgment is not final.See also: the regulatory announcement no 90/2022 as of 12 December 2022. |
