| Zarząd BNP Paribas Bank Polska S.A. („Bank”) niniejszym informuje, że Zwyczajne Walne Zgromadzenie Banku w dniu 29 czerwca 2020 r. powołało Pana Vincenta Metz na członka Rady Nadzorczej Banku, z dniem 29 czerwca 2020 r. do końca bieżącej, pięcioletniej, wspólnej kadencji członków Rady Nadzorczej oraz Panią Lucynę Stańczak-Wuczyńską, z dniem 1 grudnia 2020 r. do końca bieżącej, pięcioletniej, wspólnej kadencji członków Rady Nadzorczej, zgodnie z § 16 ust.1 Statutu Banku. Jednocześnie Bank informuje, że w dniu 29 czerwca 2020 r. Bank otrzymał rezygnację Pani Moniki Nachyły z pełnienia funkcji członka Rady Nadzorczej Banku ze skutkiem na dzień 30 listopada 2020 r. Poniżej Bank przekazuje informacje o kwalifikacjach i doświadczeniu zawodowym nowo powołanych członków Rady Nadzorczej Banku. Pan Vincent Metz Pan Vincent Metz uzyskał tytuł magistra z zakresu ekonomii na Uniwersytecie Paryskim – École Politechnique, a także tytuł magistra z zakresu czystej matematyki w École Normale Supérieure de Lyon. Karierę zawodową rozpoczął w 1993 r. w spółce Compagnie Bancaire (od roku 1997 Paribas), gdzie zajmował stanowisko Dyrektora ds. Modeli Finansowych w Departamencie Planowania i Rozwoju. Od roku 1999 związany był z Grupą CETELEM, w ramach której pełnił wiele funkcji. Pracował tam jako Dyrektor ds. Rozwoju Zewnętrznego, Dyrektor ds. Analiz CRM i Global B2C w Departamencie Sprzedaży, Dyrektor ds. Planowania i Rozwoju w Departamencie Finansów. W 2009 r. objął stanowisko Dyrektora ds. Marketingu Produktów w Departamencie Sprzedaży i Marketingu w BNP Paribas Personal Finance. Kontynuował karierę w strukturach BNP Paribas Personal Finance pełniąc m.in. obowiązki Dyrektora ds. Analiz Marketingowych i Sterowania w Departamencie Sprzedaży i Marketingu, Zastępcy Dyrektora Departamentu Kluczowych Partnerów, a także Zastępcy CEO w Obszarze PF Inside. Obecnie, Pan Vincent Metz zajmuje stanowisko Dyrektora Zarządzającego Obszarem Ameryki Łacińskiej i Obszarem PF Inside oraz jest Członkiem Komitetu Wykonawczego BNP Paribas Personal Finance. Do jego obowiązków należy również nadzorowanie BNP Paribas Personal Finance w sześciu krajach. Pan Vincent Metz to wszechstronny ekspert w zarządzaniu projektami rozwojowymi (rozwój zewnętrzny, relacje partnerskie). Specjalizuje się w usługach finansowych, oraz posiada szerokie doświadczenie w zakresie sprzedaży i marketingu, w tym finansów i ryzyka. Pan Vincent Metz spełnia wymogi określone w art. 22aa Ustawy Prawo bankowe z dnia 29 sierpnia 1997 r. (z późniejszymi zmianami). W oparciu o złożone oświadczenie stwierdzić należy, iż Pan Vincent Metz nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Vincent Metz nie został wpisany do Rejestru Dłużników Niewypłacalnych. Pani Lucyna Stańczak-Wuczyńska Pani Lucyna Stańczak-Wuczyńska uzyskała tytuł magistra ekonomii w Szkole Głównej Handlowej w Warszawie, na wydziale Finansów i Statystyki i jest również absolwentką studiów podyplomowych Advanced European Studies w College of Europe w Brugii, Belgia. Od początku swojej prawie trzydziestoletniej kariery zawodowej Lucyna Stańczak-Wuczyńska związana jest z bankowością. W latach 1992-1996 pracowała w IBP Bank S.A. w obszarze bankowości korporacyjnej, następnie, w latach 1996-1997 w Credit Lyonnais Bank Polska, w obszarze corporate finance. W roku 1997 objęła stanowisko Vice President w ABN Amro Bank Polska w Departamencie Finansowania Strukturalnego. Od 2000 roku Pani Lucyna Stańczak-Wuczyńska związana jest z Europejskim Bankiem Odbudowy i Rozwoju („EBOR”), początkowo jako Senior Banker odpowiedzialna za inwestycje w sektorze energetycznym i infrastrukturalnym, a od 2008 roku jako Country Director EBOR w Polsce. Od 2014 roku mieszka w Londynie i pełni funkcję Dyrektora Regionalnego EU-Banks, Financial Institution, regionu Europy Centralnej i Południowej. W swojej karierze zawodowej Pani Lucyna Stańczak-Wuczyńska pełniła szereg funkcji w zakresie ładu korporacyjnego, była członkiem Rad Nadzorczych (lub obserwatorem) i członkiem komitetów audytu i ryzyka miedzy innymi w Polkomtelu Sp. z o.o., Alior Banku S.A., Polskich Inwestycjach Rozwojowych, obecnie w Erste Bank, Hungary oraz jest członkiem Advisory Board Funduszu Private Equity Concordia 21. W roku 2015 Pani Lucyna Stańczak -Wuczyńska została uhonorowana nagrodą jednej z 10 najbardziej wpływowych kobiet Polskich finansów, przyznaną przez Instytut Innowacyjna Gospodarka wraz z fundacją Znane Ekspertki oraz Związkiem Banków Polskich. Pani Lucyna Stańczak-Wuczyńska spełnia wymogi określone w art. 22aa Ustawy Prawo Bankowe z dnia 29 sierpnia 1997 r. (z późniejszymi zmianami). W oparciu o złożone oświadczenie stwierdzić należy, iż Pani Lucyna Stańczak-Wuczyńska nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pani Lucyna Stańczak-Wuczyńska nie została wpisana do Rejestru Dłużników Niewypłacalnych. | Changes in the Supervisory Board of BNP Paribas Bank Polska S.A. current report no. 24/2020 date: 29 June 2020 The Management Board of BNP Paribas Bank Polska S.A. (the “Bank”) hereby announces that the Bank’s Ordinary General Meeting held on 29 June 2020 appointed Mr Vincent Metz as a member of the Bank’s Supervisory Board effective as of 29 June 2020 until the end of the current 5-year term as well as Mrs Lucyna Stańczak-Wuczyńska as a member of the Bank’s Supervisory Board effective as of 1 December 2020 until the end of the current 5-year term, pursuant to § 16 item 1 of the Bank’s Articles of Association. At the same time the Bank hereby informs that on 29 June 2020 the Bank received resignation of Mrs Monika Nachyła from the function of a Member of the Bank’s Supervisory Board, effective as of 30 November 2020. Hereby, the Bank discloses information on the expertise and professional experience of the newly appointed member of the Supervisory Board. Mr Vincent Metz Mr Vincent Metz obtained the Master of Economics degree from the University Paris – École Polytechnique and the Master of Science degree in Pure Mathematics from École Normale Supérieure de Lyon. He began his career in 1993 in Compagnie Bancaire (since 1997 in Paribas) where he held the position of the Head of Financial Models in Planning and Development Department. Since 1999 he worked in CETELEM Group, where he held several positions. He served as the Head of External Growth, Director of Analytical CRM and Global B2C in Sales Department, Head of Planning and Development in the Finance Division. In 2009 he was appointed Director of Product Marketing in the Sales and Marketing Department of BNP Paribas Personal Finance. He continued his carrier in BNP Paribas Personal Finance as the Head of Marketing Analytics and Steering in Sales and Marketing Department, Deputy Head of Key Partners Department and Deputy CEO – PF Inside Region. Currently, Mr Vincent Metz is the Head of Latin America and PF Inside Regions, as well as Member of the Executive Committee of BNP Paribas Personal Finance. He supervises BNP Paribas Personal Finance in six countries. He is an expert in the management of development projects (external growth, partnerships) and is a multi-specialist in specialized financial services, with various experiences in sales & marketing, finance and risk. Mr Vincent Metz meets the requirements of Art. 22aa of the Banking Law Act dated 29 August 1997 (as amended). On the basis of the representation submitted, it should be stated that Mr Vincent Metz neither runs any other activity competitive to the Bank nor is a partner in any company competitive to the Bank nor is a member of a body of any company competitive to the Bank nor is a member of a body of any other legal entity competitive to the Bank. Furthermore, Mr Vincent Metz has not been entered into the Register of Insolvent Debtors. Mrs Lucyna Stańczak-Wuczyńska Mrs Lucyna Stańczak-Wuczyńska obtained the Master of Economics degree from the SGH Warsaw School of Economics (Finance and Statistics faculty) and is a graduate from the Advanced European Studies in the College of Europe in Brugge, Belgium. Mrs Lucyna Stańczak-Wuczyńska is being associated with the banking sector since the beginning of her professional career, of nearly thirty years. In 1992-1996 she worked for IBP Bank S.A. in corporate banking, next, in the period of 1996-1997 in Credit Lyonnais Bank Polska in corporate finance area. In 2007 she was appointed Vice President in Structured Finance in ABN Amro Bank Polska. Since 2000 Mrs Lucyna Stańczak-Wuczyńska works in the European Bank for Reconstruction and Development (”EBRD”), first as a Senior Banker responsible for investment in energy and infrastructure, and next, from 2008 as EBRD Country Director for Poland. In 2014 she moved to London and has been appointed as Regional Director, EU-Banks Financial Institutions, covering CEE and SEE and the portfolio of nearly EUR 4 billion in debt and equity. In her professional career, Mrs Lucyna Stańczak-Wuczyńska has been holding various roles in the corporate governance space. She was a non-executive director (or observer) in numerous supervisory boards, including membership in audit and risk committees, in companies Polkomtel Sp. z o.o., Alior Bank S.A., Polskie Inwestycje Rozwojowe, currently she is a non-executive board director in Erste Bank Hungary and the Advisory Board Member in the private equity fund Concordia 21. In 2015 Mrs Lucyna Stańczak-Wuczyńska has been awarded a price of One of top ten Poland’s Women in Finance, by the Institute of Innovative Economy in Warsaw and the Polish Banking Association. Mrs Lucyna Stańczak-Wuczyńska meets the requirements of Art. 22aa of the Banking Law Act dated 29 August 1997 (as amended).
