| Bank Polska Kasa Opieki Spółka Akcyjna ("Bank") informuje o otrzymaniu w dniu 27 marca 2020 roku od Aviva Powszechnego Towarzystwa Emerytalnego Aviva Santander S.A. („Aviva PTE”) zawiadomienia o zmianie udziału Aviva Otwartego Funduszu Emerytalnego Aviva Santander („Aviva OFE”) w ogólnej liczbie głosów w Banku („Zawiadomienie”). Zawiadomienie zostało sporządzone na podstawie art. 69 ust. 1 i ust. 4 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych („Ustawa o Ofercie”). Zgodnie z informacjami zawartymi w Zawiadomieniu, w związku z transakcjami nabycia akcji Banku, zawartymi w dniu 19 marca 2020 r., zarządzany przez Aviva PTE fundusz emerytalny Aviva OFE zwiększył stan posiadania akcji Banku powyżej 5% ogólnej liczby głosów w Banku. Zgodnie z informacjami zawartymi w Zawiadomieniu, przed rozliczeniem transakcji nabycia akcji Banku, tj. na dzień 20 marca 2020 roku, Aviva OFE posiadał 13.114.591 akcji Banku, co stanowiło 4,997% kapitału zakładowego Banku, i uprawniało do 13.114.591 głosów w Banku, co stanowiło 4,997% ogólnej liczby głosów w Banku. Zgodnie z informacjami zawartymi w Zawiadomieniu, po rozliczeniu transakcji nabycia akcji Banku, na dzień 23 marca 2020 roku, Aviva OFE posiadał 13.281.544 akcji Banku, co stanowi 5,06% kapitału zakładowego Banku, i uprawnia do 13.281.544 głosów w Banku, co stanowi 5,06% ogólnej liczby głosów w Banku. Jednocześnie, zgodnie z informacjami zawartymi w Zawiadomieniu: - Aviva OFE nie posiada podmiotów zależnych posiadających akcje Banku, - nie zachodzi sytuacja opisana w art. 69 ust. 4 pkt 6 Ustawy o Ofercie, - Aviva OFE nie posiada również instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1) i 2) Ustawy o Ofercie. | UNOFFICIAL TRANSLATION 27.03.2020 - Report 11/2020: Notification on the increase in the ownership above 5% of the total number of votes in the Bank by Aviva Otwarty Fundusz Emerytalny Aviva SantanderThe Bank Polska Kasa Opieki Spółka Akcyjna (the "Bank") hereby informs about receipt on March 27, 2020 from Aviva Powszechne Towarzystwo Emerytalne Aviva Santander S.A. (the “Aviva PTE”) a notification regarding the change in the ownership of Aviva Otwarty Fundusz Emerytalny Aviva Santander (the „Aviva OFE”) in the total number of votes in the Bank (the “Notification”). Notification has been prepared on the basis of Article 69 Section 1 and Section 4 of the Act of July 29, 2005 on Public Offering and Conditions Governing the Introduction of Financial Instruments to an Organized System Trading, and on Public Companies (the “Offer Act”).According to the information provided in the Notification, in connection with the acquisitions of shares of the Bank, concluded on March 19, 2020 Aviva OFE, managed by Aviva PTE, increased the ownership of the Bank's shares above 5% of the total number of votes in the Bank.According to the information provided in the Notification, before the settlement of the transaction regarding acquisition of Bank’s shares, on March 20, 2020 Aviva OFE held 13,114,591 shares of the Bank, which constituted 4.997% of the Bank's share capital, and entitled to 13,114,591 votes in the Bank, which constituted 4.997% of the total number of votes in the Bank.According to the information provided in the Notification, after the settlement of the transaction regarding acquisition of Bank’s shares, on March 23, 2020 Aviva OFE held 13,281,544 shares of the Bank, which constituted 5.06% of the Bank's share capital, and entitles Aviva OFE to 13,281,544 votes in the Bank, which constituted 5.06% of the total number of votes in the Bank.At the same time, according to the information provided in the Notification:- Aviva OFE does not have any subsidiaries holding the shares of Bank,- does not occur the situation described in art. 69 Section 4 Point 6 of the Offer Act,- Aviva OFE does not have any financial instruments referred to in art. 69b Section 1 Point 1) and 2) of the Offer Act.Legal basis: art. 70 point 1 of the Act of July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (i.e.: Journal of Laws of 2019, item 623). |
