| Zarząd spółki mBank S.A. („Bank”) podaje do wiadomości, że w dniu 30 marca 2023 r. Rada Nadzorcza Banku powołała z dniem 1 maja 2023 r. nowych członków Zarządu Banku: - Panią Julię Nusser na stanowisko Wiceprezeski Zarządu ds. Compliance, Prawnych i HR oraz - Pana Pascala Ruhlanda na stanowisko Wiceprezesa Zarządu ds. Finansów, na okres do czasu zakończenia obecnej kadencji Zarządu mBanku S.A. Pani Julia Nusser w 2002 r. ukończyła wyższe studia magisterskie na kierunku Bankowości na Frankfurt School of Finance & Management (Hochschule für Bankwirtschaft), a wcześniej studia połączone z praktycznym szkoleniem w zakresie usług i operacji bankowych (Bank Apprenticeship Program and Certification). W 2018 r. ukończyła Program Cyfrowego Przywództwa (Digital Leadership Program), jest również absolwentką prestiżowego programu ANNA-Cie Executive Development dla kobiet o wysokim potencjale przywódczym. Pani Julia Nusser posiada ponad dwadzieścia pięć lat doświadczenia zawodowego w sektorze bankowym. Od ponad 20 lat zarządza dużymi i zróżnicowanymi zespołami. Obecnie Pani Julia Nusser pełni funkcję Dyrektorki Zarządzającej w Commerzbank AG. Na swoim obecnym stanowisku Cluster Lead jest odpowiedzialna za tworzenie, rozwój, implementację i działanie systemów i procesów pierwszej linii KYC (Poznaj Swojego Klienta) dla Commerzbank AG na całym świecie, we wszystkich grupach klientów. Poprzednio pełniła funkcję Dyrektorki Zarządzającej i Globalnej Dyrektorki Operacji Finansowania Handlu w Commerzbank AG. Wcześniej zajmowała różne funkcje w ramach audytu wewnętrznego w Dresdner Bank (następnie Commerzbank AG). Pani Julia Nusser jest obecnie również Członkinią Rady Nadzorczej CERI International w Polsce. Pan Pascal Ruhland ukończył wyższe studia magisterskie na kierunku Rachunkowość i Finanse na Uniwersytecie Nauk Stosowanych we Frankfurcie nad Menem, a w 2019 r. rozpoczął również studia doktoranckie na Uniwersytecie UCAM & FOM w Murcji. Pan Pascal Ruhland ukończył także Program kształcenia dla kadry kierowniczej w kierunku dyrektora finansowego pod nazwą Strategiczne przywództwo finansowe na Stanford University oraz Program dla kandydatów na dyrektorów finansowych na Uniwersytecie Chicago Booth. Pan Pascal Ruhland posiada ponad dziesięcioletnie doświadczenie zawodowe w sektorze bankowym, w tym ponad pięcioletnie doświadczenie na stanowiskach kierowniczych w sektorze bankowym. Pan Pascal Ruhland dotychczas pełnił funkcję Dyrektora Finansowego ds. Bankowości Korporacyjnej (Divisional CFO Corporate Clients Segment) w Commerzbank AG, a wcześniej zajmował stanowisko Dyrektora Zarządzającego ds. Controllingu Bankowości Korporacyjnej w Commerzbank AG (Head of Divisional Controlling Corporate Clients). W przeszłości był zaangażowany w projekty realizowane w ramach mBanku, związane m.in. z rozwojem aplikacji do obsługi systemu finansowego mBanku. Według posiadanych przez Zarząd Banku informacji, Pani Julia Nusser oraz Pan Pascal Ruhland nie wykonują działalności konkurencyjnej względem Banku. Pani Julia Nusser i Pan Pascal Ruhland nie figurują w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie ustawy o KRS. |

| Changes in Management Board of mBank S.A. The Management Board of mBank S.A. ("the Bank") announces that on 30 March 2023 the Supervisory Board of the Bank appointed new members to the Management Board of the Bank as of 1 May 2023: - Ms. Julia Nusser, for the post of Vice-President of the Management Board, Head of Compliance, Legal Issues and HR, - Mr. Pascal Ruhland, for the post of Vice-President of the Management Board, Chief Financial Officer, for the duration of the present term of office of the Management Board. Julia Nusser received a master’s degree in Banking at the Frankfurt School of Finance & Management (Hochschule für Bankwirtschaft) in 2002, preceded by practical training combined with part-time studies in banking services and operations (Bank Apprenticeship Program and Certification). She completed the Digital Leadership Program in 2018 and the prestigious ANNA+Cie Executive Development program for women with high leadership potential. Julia Nusser has more than 25 years of professional experience in the banking sector. She has been managing large and diverse teams for over 20 years. Currently she holds the position of a Managing Director at Commerzbank AG. In her current role of the Cluster Lead, she is responsible for creating, developing, implementing and ensuring correct operation of systems and processes of the first line of defense within the KYC (Know Your Customer) area at Commerzbank AG worldwide in all client groups. She previously held the function of the Managing Director and Global Head of Trade Finance Operations at Commerzbank AG. In the past she held various internal audit functions at Dresdner Bank (later acquired by Commerzbank AG). Julia Nusser is also a Member of the Supervisory Board of CERI International in Poland. Pascal Ruhland completed his master’s program in Accounting and Finance at the University of Applied Sciences in Frankfurt am Main, and in 2019 he enrolled in a PhD program offered by UCAM Catholic University of Murcia in cooperation with FOM University of Applied Sciences. Pascal Ruhland also completed the Strategic Financial Leadership Program for CFOs at Stanford University and the Executive Program for Prospective CFOs at Chicago Booth. Pascal Ruhland has more than ten years of professional experience in the banking sector, including more than five years of experience in managerial positions in the banking sector. He held the function of the Divisional CFO Corporate Clients Segment at Commerzbank AG, and prior to that he had held the position of the Head of Divisional Controlling Corporate Clients at Commerzbank AG. In the past he participated in projects carried out at mBank connected, among others, with development of an app-based financial MIS. To the best knowledge of the Bank, Julia Nusser and Pascal Ruhland are not involved in any activities which compete with those carried out by the Bank. Julia Nusser and Pascal Ruhland have no records in the Register of Insolvent Debtors maintained under the National Court Register Act. |
