| Zarząd TVN S.A. informuje, że w dniu 14 stycznia 2015 r. uzyskał zawiadomienie od International Trading and Investments Holdings S.A. Luxembourg z siedzibą w Luxemburgu ("ITI Holdings") o zmniejszeniu o co najmniej 1% udziału ITI Holdings wraz z pomiotami od niej zależnymi ("Grupa ITI) w ogólnej liczbie głosów na walnym zgromadzeniu TVN S.A. w odniesieniu do stanu przedstawionego w raporcie bieżącym nr 14/2012 z dnia 27 marca 2012 r. Obecnie, na dzień 7 stycznia 2015 r., Grupa ITI posiada łącznie 179 295 606 akcji TVN S.A., które stanowią 51,04% kapitału zakładowego TVN S.A. i uprawniają do 179 295 606 głosów na walnym zgromadzeniu, co stanowi 51,04% ogólnej liczby głosów na walnym zgromadzeniu TVN S.A. ITI Holdings informuje, że obniżenie udziału Grupy ITI w ogólnej liczbie głosów na walnym zgromadzeniu TVN S.A. o co najmniej 1% ogólnej liczby głosów jest następstwem nabywania akcji własnych przez TVN S.A. oraz podwyższeń kapitału zakładowego TVN S.A. w ramach warunkowego podwyższenia kapitału związanego z realizacją Programu Motywacyjnego TVN S.A. w szczególności ostatniego, zarejestrowanego w dniu 7 stycznia 2015 r. Grupa ITI na dzień 22 marca 2012 r. posiadała łącznie 185 771 211 akcji TVN S.A. stanowiących 54,02% kapitału zakładowego TVN S.A. i uprawniających do 185 771 211 głosów na walnym zgromadzeniu, co stanowiło 54,02% ogólnej liczby głosów na walnym zgromadzeniu TVN S.A. Akcje TVN S.A. znajdują się w posiadaniu ITI Holdings oraz Polish Television Holding B.V. z siedziba w Amsterdamie, podmiotu zależnego od ITI Holdings. |

| The Management Board of TVN S.A. informs, that on January 14, 2015 it has been notified by the International Trading and Investments Holdings S.A. Luxembourg headquartered in Luxembourg (“ITI Holdings”) about the decrease by at least 1% in the total number of votes at the shareholders meeting of TVN S.A. held by ITI Holdings with dependent entities (“ITI Group”) as compared to the situation presented in the current report no 14/2012 published on march 27, 2012.Currently, as per January 7, 2015, ITI Group owns in total 179,295,606 shares of TVN S.A., which constitute 51,04% of the share capital of TVN S.A. and entitle to 179,295,606 votes at the shareholders meeting of TVN S.A. which constitute 51,04% of the overall number of votes at the General Meeting of Shareholders of TVN S.A.ITI Holdings informs that a decrease of ITI Group stake in a total number of votes at the General Meeting of Shareholders of TVN S.A. by more than 1% is a result of the acquisition of own shares by TVN S.A. and share capital increases in TVN S.A. as part of employees executing their options within the framework of the TVN S.A. Incentive Plan, in particular including the last increase of shares capital announced by the TVN S.A. on January 7, 2015.As of March 22, 2012 ITI Group owned in total 185,771,211 shares of TVN S.A. constituting 54.02% of the share capital of TVN S.A. and entitling to 185,771,211 votes at the shareholders meeting of TVN S.A. and representing 54.02% of the total number of votes.The shares in TVN S.A are held by ITI Holdings and by Polish Television Holding B.V. with its registered seat in Amsterdam, a subsidiary of ITI Holdings. |
