W nawiązaniu do treści raportu bieżącego ESPI nr 5/2025 z dnia 11 lutego 2025 roku, Zarząd Proguns Group S.A. z siedzibą w Warszawie informuje, że w dniu dzisiejszym, Emitent zawarł z Charter Trading Corporation (CTC), to jest spółką utworzoną i działającą zgodnie z prawem stanu Teksas(USA), umowę o współpracy (Umowa).

Celem Umowy jest potwierdzenie relacji między stronami w związku z projektem sprzedaży śmigłowców UH-60 Blackhawk (Projekt). Zgodnie z postanowieniami Umowy, jej strony zamierzają współpracować w celu identyfikacji, wprowadzenia na rynek, sprzedaży, konfiguracji i dostawy śmigłowców UH-60 Blackhawk do kwalifikowanych nabywców, w Polsce i na innych wspólnie uzgodnionych rynkach.

Umowa zastępuje porozumienie zawarte pomiędzy stronami, o którym Emitent informował raportem bieżącym ESPI nr 5/2025 z dnia 11 lutego 2025 roku (Porozumienie).

Umowa została zawarta na okres 5 lat. Na okres obowiązywania Umowy, to jest 5 lat, CTC przyznała Emitentowi wyłączne prawo do reprezentowania swoich interesów i promowania sprzedaży śmigłowców UH-60 Blackhawk na terenie Polski. Wydłużony okres obowiązywania umowy i wyłączność dla Emitenta, to kluczowe zmiany w stosunku do Porozumienia.

Zawarcie Umowy jest wyrazem uznania oraz pozytywnej oceny przez CTC dla działań Emitenta, podjętych w wykonaniu Porozumienia. W szczególności, w okresie od zawarcia Porozumienia, Emitent konsekwentnie buduje kompetencje w zakresie oferowania śmigłowców UH-60 Blackhawk oraz relacje biznesowe z podmiotami, które mogą być zainteresowane nabyciem śmigłowców UH 60 Blackhawk. Emitent na bieżąco prowadzi rozmowy i nawiązuje kontakt z kolejnymi takimi podmiotami. Emitent jest przekonany, że działania te przełożą się w kolejnych okresach na przychody dla Emitenta ze sprzedaży śmigłowców UH-60 Blackhawk.

MESSAGE (ENGLISH VERSION)

In reference to the content of Current Report ESPI No. 5/2025 dated 11 February 2025, the Management Board of Proguns Group S.A., with its registered office in Warsaw, hereby announces that today the Issuer has entered into a cooperation agreement (the “Agreement”) with Charter Trading Corporation (“CTC”), a company incorporated and operating under the laws of the State of Texas (USA).

The purpose of the Agreement is to confirm the relationship between the parties in connection with the project for the sale of UH-60 Blackhawk helicopters (the “Project”). Pursuant to the terms of the Agreement, the parties intend to cooperate in identifying, marketing, selling, configuring, and delivering UH-60 Blackhawk helicopters to qualified buyers in Poland and other mutually agreed markets.

The Agreement replaces the memorandum of understanding previously concluded between the parties, which the Issuer reported in Current Report ESPI No. 5/2025 dated 11 February 2025 (the “Memorandum”).

The Agreement has been concluded for a period of five years. For the duration of the Agreement, i.e., five years, CTC has granted the Issuer the exclusive right to represent its interests and promote the sale of UH-60 Blackhawk helicopters within the territory of Poland. The extended term of the Agreement and the exclusivity granted to the Issuer constitute key changes compared to the Memorandum.

The conclusion of the Agreement reflects CTC’s recognition of and positive assessment of the Issuer’s actions undertaken in performance of the Memorandum. In particular, since entering into the Memorandum, the Issuer has consistently developed its competence in offering UH-60 Blackhawk helicopters and has established business relationships with entities that may be interested in acquiring UH-60 Blackhawk helicopters. The Issuer continues to hold discussions and establish contact with further such entities. The Issuer is confident that these efforts will translate, in subsequent periods, into revenues from the sale of UH-60 Blackhawk helicopters.
