| PKN ORLEN S.A. („PKN ORLEN”, „Spółka”), informuje że na podstawie informacji opublikowanych w dniu 10 listopada 2022 roku na stronie podmiotowej w Biuletynie Informacji Publicznej Krajowego Ośrodka Wsparcia Rolnictwa („KOWR”) powziął informację o nieskorzystaniu przez KOWR z przysługującego mu na podstawie przepisów ustawy z dnia 11 kwietnia 2003 roku o kształtowaniu ustroju rolnego (tj. z dnia 13 stycznia 2022 roku; Dz.U. z 2022 r. poz. 461) prawa nabycia 534 494 124 akcji zwykłych na okaziciela serii F o wartości nominalnej 1,25 zł każda, o łącznej wartości nominalnej 668 117 655 zł („Akcje serii F”), emitowanych przez Spółkę w związku z jej połączeniem ze spółką Polskie Górnictwo Naftowe i Gazownictwo S.A. („PGNiG S.A.”), które PKN ORLEN wyda akcjonariuszom PGNiG S.A. Złożenie przez KOWR przedmiotowego oświadczenia było jednym z warunków rejestracji Akcji serii F przez KDPW, o czym Spółka informowała w raporcie bieżącym 74/2022 z dnia 4 listopada 2022 roku. | National Support Centre for Agriculture representation of will of not exercising the right to acquire PKN ORLEN merger shares issued to be allocated to PGNiG shareholdersRegulatory announcement no 78/2022 dated 10 November 2022PKN ORLEN S.A. („Company”) informs that on the basis of information published on 10 November 2022 on the webpage of National Support Centre for Agriculture (“KOWR”) in Public Information Bulletin it has been informed that KOWR did not exercise its right under provisions of the Act on the Structuring of the Agrarian System as of 11 April 2003 (unified text as of 13 January 2022; Journal of Laws of 2022, No. 461) to acquire 534 494 124 ordinary series F shares with a nominal value of PLN 1,25 each, with a total nominal value of PLN 668 117 655 (“Series F shares”) issued by the Company in connection with the merger between the Company and Polskie Górnictwo Naftowe i Gazownictwo S.A.
