| Zarząd Polskiego Górnictwa Naftowego i Gazownictwa SA („PGNiG”, „Spółka”) informuje, że w dniu 16 maja 2022 r. Spółka zawarła porozumienie w sprawie możliwości zawarcia umowy długoterminowej na dostawy gazu skroplonego („LNG”) od Sempra Infrastructure Partners. Na mocy porozumienia strony prowadzić będą negocjacje zapisów wiążącej umowy na zakup przez PGNiG łącznie 3 mln ton LNG rocznie (tj. około 4,05 mld m3 gazu ziemnego po regazyfikacji rocznie) przez 20 lat. Potencjalne dostawy mogą być przedmiotem dalszego obrotu przez Spółkę na międzynarodowych rynkach i realizowane będą w formule free-on-board, oznaczającej odbiór towaru przez kupującego w porcie załadunku. Potencjalne dostawy od Sempra Infrastructure Partners będą realizowane za pośrednictwem terminali skraplania gazu ziemnego: Cameron LNG w Luizjanie lub Port Arthur LNG w Teksasie, a pierwsze dostawy LNG spodziewane są nie wcześniej niż w 2027 roku. Formuła cenowa oparta jest o cenę LNG notowaną na amerykańskim indeksie Henry Hub wraz z kosztami skroplenia. Podpisane porozumienie nie stanowi zobowiązania PGNiG do podpisania ostatecznej umowy na zakup LNG. |

| Warsaw, May 16th, 2022 Conclusion of an agreement setting out the key terms on LNG deliveries with Sempra Infrastructure Partners Current Report No. 31/2022 The Management Board of Polskie Górnictwo Naftowe i Gazownictwo SA (“PGNiG” or the “Company”) announces that on May 16th, 2022 the Company signed an agreement setting out the key terms of the possible long-term contract for the supply of liquefied natural gas (“LNG”) with Sempra Infrastructure Partners. Under the agreement, the parties will negotiate the provisions of the binding 20-year contract for the purchase of 3 million tonnes of LNG annually (approx. 4,05 billion cubic meters of natural gas after regasification annually). Potential deliveries may be further traded by the Company on international markets and will be made on a free-on-board basis. Potential deliveries from Sempra Infrastructure Partners are to be made via the liquefaction terminals: Cameron LNG in Louisiana or Port Arthur LNG in Texas, with the first LNG deliveries expected not earlier than in 2027. The pricing formula is linked to the US Henry Hub gas price plus a liquefaction fee. The signed agreement does not constitute PGNiG’s obligation to sign a final LNG purchase contract. |
