Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 4 lutego 2026 r. Spółka zawarła z Birlesik Defence & Security Systems Ltd. z siedzibą w Ankarze, Republika Türkiye („Birlesik Defence”) umowę ramową o współpracy strategicznej i technologicznej („Umowa”). Umowa ma na celu określenie zasad współpracy pomiędzy stronami w zakresie analiz, rozmów technicznych i przygotowań do przyszłych umów wykonawczych, w szczególności w powiązaniu z projektami konsorcjum realizowanymi przez Emitenta: Iryda Plus, Mallard oraz Ares.

W ramach Umowy strony przewidują możliwość współdziałania w takich obszarach jak integracja technologii i komponentów, dostosowanie rozwiązań do wymagań operacyjnych, analiza modeli komercjalizacji, przygotowanie wspólnych ofert handlowych oraz udział w wydarzeniach branżowych, w tym Drone World Expo 2026 i MSPO 2026. Umowa wskazuje także, że szczegółowe działania operacyjne, testowe, komercyjne lub wdrożeniowe będą przedmiotem odrębnych umów wykonawczych.

Umowa przewiduje elastyczne, otwarte ramy współpracy, w tym możliwość rozważenia dalszych modeli kooperacji (np. transfer technologii, licencjonowanie, lokalna adaptacja lub produkcja, wspólne przedsięwzięcia), z zastrzeżeniem, że żadne określone projekty, dostawy, inwestycje czy licencje nie wynikają z samej Umowy bez odrębnych porozumień. Umowa określa zasady ochrony informacji i własności intelektualnej oraz współpracy z partnerami konsorcjum, przy czym Emitent pozostaje koordynatorem projektu.

Jednocześnie Zarząd Emitenta zawiadamia, że Umowa przewiduje możliwość rozszerzenia form współpracy, w tym ofertowania projektów Emitenta na rynku tureckim, transferu technologii, licencjonowania, lokalnej adaptacji produktów, wspólnych przedsięwzięć projektowych lub handlowych, a także potencjalnego zaangażowania kapitałowego Partnera w wybrane projekty, spółki celowe lub przedsięwzięcia realizowane przez Emitenta (w tym w szczególności Iryda Plus oraz Mallard). Umowa nie stanowi zobowiązania do realizacji inwestycji, dostaw ani wdrożeń, a wszelkie decyzje w tym zakresie wymagałyby odrębnych ustaleń i zawarcia osobnych porozumień.

Birlesik Defence & Security Systems Ltd. to duży i doświadczony podmiot działający od wielu lat w sektorze obronnym i bezpieczeństwa, aktywny na rynkach międzynarodowych. Kontrahent posiada zaplecze technologiczne i operacyjne w obszarze integracji systemów, logistyki technicznej, rozwiązań bezpieczeństwa oraz komponentów energetycznych, a także wymagane certyfikacje jakościowe i sektorowe. Skala działalności i profil Birlesik Defence stanowią istotną wartość w kontekście projektów dual-use i obronnych rozwijanych przez Emitenta i stanowią szansę na otwarcie oferty na rynek turecki.

Umowa została zawarta na czas oznaczony 12 miesięcy z możliwością przedłużenia i przewiduje 14-dniowy okres wypowiedzenia. Prawem właściwym dla umowy jest prawo polskie, a wszelkie spory mają być rozstrzygane przez sąd właściwy dla siedziby Emitenta.

Zawarcie Umowy stanowi dla Emitenta istotny krok w kierunku rozwoju kompetencji technologicznych i rynkowych w obszarze systemów bezzałogowych oraz rozwiązań dual-use. Emitent podkreśla, że Umowa nie stanowi gwarancji dochodów ani zobowiązania do realizacji określonych projektów, a ewentualne skutki finansowe będą zależne od dalszych uzgodnień, podpisania umów wykonawczych oraz realizacji projektów komercyjnych.

Zarząd Emitenta uznał publikację niniejszej informacji za uzasadnioną z uwagi na strategiczny charakter współpracy w obszarze projektów rozwojowych Spółki oraz potencjalne znaczenie Umowy dla dalszego rozwoju działalności Emitenta w segmencie technologii obronnych i dual-use

MESSAGE (ENGLISH VERSION)

The Management Board of MBF Group S.A. with its registered office in Warsaw (the ‘Issuer’, the “Company”) hereby announces that on 4 February 2026, the Company concluded a framework agreement on strategic and technological cooperation (the “Agreement”) with Birlesik Defence & Security Systems Ltd. with its registered office in Ankara, Republic of Türkiye (“Birlesik Defence”). The purpose of the Agreement is to define the terms of cooperation between the parties in the field of analyses, technical discussions and preparations for future implementation agreements, in particular in connection with the consortium projects implemented by the Issuer: Iryda Plus, Mallard and Ares.

Under the Agreement, the parties envisage the possibility of cooperation in areas such as technology and component integration, adaptation of solutions to operational requirements, analysis of commercialisation models, preparation of joint commercial offers and participation in industry events, including Drone World Expo 2026 and MSPO 2026. The Agreement also indicates that specific operational, testing, commercial or implementation activities will be subject to separate implementation agreements.

The agreement provides for a flexible, open framework for cooperation, including the possibility of considering further cooperation models (e.g. technology transfer, licensing, local adaptation or production, joint ventures), with the proviso that no specific projects, deliveries, investments or licences arise from the Agreement itself without separate agreements. The Agreement sets out the rules for the protection of information and intellectual property and for cooperation with consortium partners, with the Issuer remaining the project coordinator.

At the same time, the Issuer's Management Board announces that the Agreement provides for the possibility of expanding the forms of cooperation, including offering the Issuer's projects on the Turkish market, technology transfer, licensing, local adaptation of products, joint project or commercial ventures, as well as the Partner's potential capital involvement in selected projects, special purpose vehicles or projects implemented by the Issuer (including, in particular, Iryda Plus and Mallard). The Agreement does not constitute an obligation to carry out investments, deliveries or implementations, and any decisions in this regard would require separate arrangements and the conclusion of separate agreements.

Birlesik Defence & Security Systems Ltd. is a large and experienced entity that has been operating in the defence and security sector for many years and is active on international markets. The contractor has technological and operational resources in the areas of systems integration, technical logistics, security solutions and energy components, as well as the required quality and sector certifications. The scale of Birlesik Defence's operations and profile are of significant value in the context of dual-use and defence projects developed by the Issuer and represent an opportunity to open up the Turkish market.

The agreement was concluded for a fixed term of 12 months with the possibility of extension and provides for a 14-day notice period. The agreement is governed by Polish law, and any disputes shall be settled by the court competent for the Issuer's registered office.

The conclusion of the Agreement is a significant step for the Issuer towards the development of technological and market competences in the area of unmanned systems and dual-use solutions. The Issuer emphasises that the Agreement does not constitute a guarantee of income or an obligation to implement specific projects, and any financial effects will depend on further arrangements, the signing of implementation agreements and the implementation of commercial projects.

The Issuer's Management Board considered the publication of this information to be justified due to the strategic nature of the cooperation in the area of the Company's development projects and the potential significance of the Agreement for the further development of the Issuer's activities in the defence and dual-use technology segment.
