| The Board of Directors of KSG Agro S.A. (the "Company") informs that a Subsidiary of the Company entered into the deal to acquire 5 Ukrainian companies leasing 12 000 hectares of land in Crimea. The lands are partially irrigated and are in close proximity to Black Sea ports. The Subsidiary of the Company also entered into the other deal to acquire Ukrainian company, which leases 2 000 hectares of land in Dnipropetrovsk region. Those lands are in close proximity to the existing divisions of the Company. After finalizing the deals total land bank under KSG Agro S.A. control will be around 84 000 hectares. The acquisitions will allow the Company to enlarge its land bank and to reach its targets in the current year. Acquisition will be finalized subject to customary due diligence and obtaining regulatory approvals in Ukraine. The Board of Directors of KSG Agro S.A. will inform on official closing of the deal. Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market. |
