| Zarząd ING Bank Śląski S.A. („Bank”) informuje, że Rada Nadzorcza Banku na posiedzeniu 11 kwietnia 2024 roku podjęła decyzję o rozpoczęciu procesu rekrutacji na stanowisko Prezesa Zarządu Banku. Powyższa decyzja została podjęta w związku z wygaśnięciem w 2025 roku mandatu Pana Brunona Bartkiewicza po zakończeniu obecnej kadencji na stanowisku Prezesa Zarządu Banku, tj. z dniem odbycia Walnego Zgromadzenia zatwierdzającego sprawozdanie finansowe za 2024 rok. Pan Brunon Bartkiewicz jest Prezesem Zarządu Banku od 2016 roku. Proces rekrutacji przebiegać będzie z uwzględnieniem planu sukcesji na stanowisko Prezesa Zarządu na zasadach określonych w obowiązującej w Banku Polityce powoływania, wprowadzania w obowiązki i odwoływania członków Zarządu ING Banku Śląskiego S.A. Podstawa prawna: art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 roku (Rozporządzenie MAR). |

| 2024-04-11 Report No. 20/2024: Supervisory Board’s decision to commence the recruitment process for the position of the President of the Bank Management Board. The Management Board of ING Bank Śląski S.A. (“Bank”) hereby communicate that at the meeting on 11 April 2024 the Bank Supervisory Board resolved to commence the recruitment process for the position of the President of the Bank Management Board. The above decision has been taken due to the upcoming expiry in 2025 of the mandate of Mr Brunon Bartkiewicz in the position of the President of the Bank Management Board after the end of the current term of office; i.e. as of the date of the General Meeting approving the 2024 financial statements. Mr Brunon Bartkiewicz has been President of the Bank Management since 2016. The recruitment process will be conducted, considering the succession plan for the position of the President of the Management Board, on the terms and conditions set out in the Policy of appointing, onboarding and recalling Members of the Management Board of ING Bank Śląski S.A.
