| W nawiązaniu do raportu bieżącego nr 13/2022 z dnia 14 czerwca 2022 r., Zarząd spółki Grupa Pracuj S.A. („Spółka”) informuje, że w dniu 24 czerwca 2022 r. nastąpiło zamknięcie transakcji nabycia przez Spółkę 25.000 udziałów reprezentujących 100% kapitału zakładowego w spółce Spoonbill Holding GmbH oraz pośrednio 100% udziałów w spółkach Spoonbill GmbH, softgarden e-recruiting GmbH i absence.io GmbH od spółki Eden Investment S.à r.l. (kontrolowanej przez alternatywną firmę inwestycyjną Investcorp) i spółki Stefan Schüffler Beteiligungs UG (haftungsbeschränkt) („Transakcja”). Zamknięcie Transakcji, w tym zapłatę ostatecznej łącznej ceny sprzedaży wynoszącej 117.602.664 EUR oraz przejście tytułu prawnego do nabywanych udziałów na Spółkę, strony potwierdziły podpisaniem stosownego protokołu w dniu 27 czerwca 2022 r. Jednocześnie, Zarząd Spółki informuje, że na potrzeby sfinansowania części ceny sprzedaży Spółka dokonała pociągnięcia środków w wysokości 399.999.999 PLN z kredytu terminowego, o którym Spółka informowała w raporcie bieżącym nr 11/2022 z dnia 14 czerwca 2022 r. |

| Current report no. 17/2022 Dated 2022-06-27 Title: Closing of the transaction regarding acquisition of shares in Spoonbill Holding GmbH Legal basis: Article 17 sec. 1 of MAR - confidential information Content of the report: With reference to the current report no. 13/2022 dated June 14, 2022, the Management Board of Grupa Pracuj S.A. (the “Company”) informs that on June 24, 2022 closing of the transaction regarding acquisition by the Company of 25,000 shares representing 100% of the share capital in Spoonbill Holding GmbH and indirectly 100% shares in Spoonbill GmbH, softgarden e-recruiting GmbH and absence.io GmbH from Eden Investment S.à r.l. (controlled by the alternative investment firm Investcorp) and Stefan Schüffler Beteiligungs UG (haftungsbeschränkt) (the “Transaction”) took place. The parties confirmed the closing of the Transaction, including payment of the total final purchase price amounting to EUR 117,602,664 and the transfer of the legal title to the acquired shares to the Company by signing the relevant closing memorandum on June 27, 2022. At the same time, the Management Board of the Company informs that for the purposes of financing part of the purchase price the Company drew down funds in the amount of PLN 399,999,999 from the term loan, about which the Company informed in the current report no. 11/2022 dated June 14, 2022. |
