| Kierownictwo SERINUS ENERGY INC. („Spółka”, „Emitent”, „Serinus”) informuje, że w dniu 31 sierpnia 2016 r. na swoim posiedzeniu Rada Dyrektorów Serinus („Rada”) uchwaliła następujące zmiany w składzie wyższego kierownictwa i Rady Spółki: 1. Pan Jeffrey Auld został powołany ze skutkiem natychmiastowym, tj. z dniem 31 sierpnia 2016 r. na nowego Prezesa i Dyrektora Generalnego (CEO) Spółki. Równocześnie, ze skutkiem natychmiastowym, z dniem 31 sierpnia 2016 r. ustępują ze stanowisk pan Timothy Elliott - dotychczasowy Prezes i Dyrektor Generealny (CEO) oraz członek Rady Dyrektorów, a także pan Jock Graham - Wiceprezes i Wicedyrektor Generalny (COO), którzy wyrazili zgodę, aby na prośbę Rady pozostać w charakterze doradców, zapewniając niezakłóconą transformację struktur zarządczych. 2. Rada zdecydowała również o powołaniu pana Dominika Libickiego i pana Jeffrey’a Aulda w skład Rady z dniem 31 sierpnia 2016 r. Jednocześnie pan Norman Holton – Wiceprzewodniczący Spółki i jej dyrektor od 1993 r. oraz Gary King – będący dyrektorem od 2007 r. ustępują z Rady ze skutkiem natychmiastowym, w dniu 31 sierpnia 2016 r. Informacje dotyczące wykształcenia i przebiegu pracy zawodowej nowo powołanych Dyrektorów Rady Serinusa: Jeffrey Auld Jeffrey Auld posiada bogate doświadczenie z zakresu finansów i handlu, jak również szeroką wiedzę z obszaru poszukiwań i produkcji ropy i gazu. Obecnie jest dyrektorem w Lansdowne Oil and Gas plc. Jego doświadczenie zawodowe obejmuje okresy pracy dla spółek poszukiwawczo-wydobywczych, w tym Premier Oil, PetroKazakhstan oraz Equator Exploration, jak również okres spędzony w instytucjach finansowych, takich jak Goldman Sachs, Canaccord Genuity i Macquarie. Jeffrey Auld wnosi rzetelną wiedzę i doświadczenie z zakresu rynków kapitałowych oraz finansowania rozwoju działalności poszukiwawczo-produkcyjnej, co będzie kluczowe dla przyszłego rozwoju Spółki. Dominik Libicki Dominik Libicki jest Chief Operating Officer oraz członkiem zarządu Kulczyk Investments S.A. („KI”), największego akcjonariusza Serinus. Jest uznanym menedżerem rynku mediów elektronicznych, telekomunikacji i nowych technologii oraz ma rozległe doświadczenie w zakresie rynków publicznych. Dołączył do KI w styczniu 2016 r. W latach 2001-2015 był prezesem zarządu spółki Cyfrowy Polsat – największej grupy medialno-telekomunikacyjnej na rynku polskim i jednej z największych w Europie. Był również wiceprezesem zarządu Polkomtela i zasiadał w radzie nadzorczej Telewizji Polsat. W latach 2005-2006 był członkiem, a w latach 2006–2008 wiceprzewodniczącym rady nadzorczej Polskiej Telefonii Cyfrowej (operatora sieci komórkowej Era, dziś T-Mobile). W latach 1999-2011 zasiadał w radzie nadzorczej spółki Polskie Media, będącej nadawcą kanałów TV4 i TV6. Był również Prezesem Związku Pracodawców Prywatnych Mediów działającego w ramach Polskiej Konfederacji Pracodawców Prywatnych "Lewiatan". Jest absolwentem Wydziału Ochrony Środowiska Politechniki Wrocławskiej. Ww. osoby nie prowadzą działalności konkurencyjnej wobec Emitenta, nie są wspólnikiem w konkurencyjnej spółce cywilnej lub osobowej ani nie są członkiem organu spółki kapitałowej, ani jakiejkolwiek innej konkurencyjnej osoby prawnej. Pan Auld ani pan Libicki nie zostali wpisani do Rejestru Dłużników Niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym. |

Title: Changes to Senior Executive and Board of Directors Legal basis: Article 56 section 1 Item 2 Act on Public Offering – current and periodical information Content:The Management of SERINUS ENERGY INC. (“Company”, “Issuer” or “Serinus”) informs that at the meeting of the Board of Directors of Serinus (“the Board”) held August 31st, 2016, the Board approved changes to Company’s Senior Executive and Board of Directors as follows: 1.Mr. Jeffrey Auld has been appointed with immediate effect as the new Chief Executive Office effective August 31st, 2016. At the same time, with immediate effect, Mr. Timothy Elliott, current President and Chief Executive Officer and Board member, and Mr. Jock Graham, Executive Vice President and Chief Operations Officer are retiring effective August 31st, 2016. Both Mr. Elliott and Mr. Graham agree to the Board’s request that they serve in an advisory role to support the Company and help ensure a seamless leadership transition. 2.The Board has also decided to appoint Mr. Dominik Libicki and Mr. Jeffrey Auld to the Board effective August 31st, 2016. Moreover Mr. Norman Holton, Vice Chairman of the Company and a director since 1993, and Mr. Gary King, a director since 2007, will also retire from the Board with immediate effect on August 31st, 2016. Information on education and professional career of the newly appointed Board members: Jeffrey AuldJeffrey Auld has a wealth of financial and commercial experience, and extensive knowledge, of upstream oil and gas development and production. He is currently a director of Lansdowne Oil and Gas plc.. His career has involved periods working for exploration and production companies including Premier Oil, PetroKazakhstan and Equator Exploration; as well as time spent in financial institutions such as Goldman Sachs, Canaccord Genuity and Macquarie. Jeffrey brings a solid mix of capital markets and upstream development financing experience that will be crucial to the Company’s future development. Dominik LibickiDominik Libicki is Chief Operating Officer and Member of the Management Board of Kulczyk Investments S.A. (“KI”), the largest shareholder of Serinus. He is a recognized manager in the electronic media, telecommunications and new-tech market and has vast experience of the public markets. He joined KI in January 2016. Between 2001-2015 Dominik was the President and CEO of Cyfrowy Polsat S.A. the largest media-telecommunication group in Poland and one of the largest in Europe. He was also the Vice-President of the board of Polkomtel and a member of the supervisory board of Polsat Television. In 2005-2008 (Vice-President during 2006 to 2008) he was a member of the supervisory board of Polska Telefonia Cyfrowa (operator of the mobile network Era, now T-Mobile). In 1999-2011 he was a member of the board of Polskie Media, broadcaster of the Polish TV channels TV4 and TV6. He also held the position of the President of the Private Media Employers Organization operating within the Polish Confederation „Leviatan. Dominik holds a Master’s Degree from the Environmental Protection Faculty of the Wroclaw University of Technology. The above mentioned persons do not pursue any competitive activity towards Company. They are neither shareholders in a directly competitive partnership nor members of the body of a company or any other competitive legal entity. Neither Mr. Auld nor Mr. Libicki have not been entered into the Register of Insolvent Debtors (Rejestr Dłużników Niewypłacalnych) in Poland pursuant to the Polish National Court Register Act. |
