| W nawiązaniu do raportu bieżącego nr 4/2023 z dnia 25 maja 2023 roku, Zarząd spółki Ronson Development SE („Emitent”) niniejszym informuje, że w dniu 9 listopada 2023 r. Emitent i Amos Luzon Development and Energy Group Ltd. („Luzon Group”) zawarli aneks („Aneks”) do porozumienia z dnia 25 maja 2023 roku w sprawie umów inwestycyjnych typu SAFE („Porozumienie”). Aneks przewiduje zmianę harmonogramu płatności przewidzianą w Porozumieniu, w ten sposób, że część płatności, która miała zostać dokonana w 2024 roku, w wysokości 15 mln PLN (ok. 13,2 mln ILS), zostanie zapłacona 9 listopada 2023 roku a do zapłaty w 2024 roku pozostanie kwota 10 mln PLN (ok. 8,8 mln ILS). Pozostałe postanowienia Porozumienia pozostają bez zmian. | Subject: Conclusion of an annex to the understanding regarding the investment agreements with Amos Luzon Development and Energy Group Ltd. In reference to the current report No. 4/2023 of 25 May 2023, the management board of Ronson Development SE (the “Issuer”) hereby informs that, on 9 November 2023, the Issuer and Amos Luzon Development and Energy Group Ltd., (the “Luzon Group”) concluded an annex (the “Annex”) to the understanding dated 25 May 2023 regarding the SAFE investment agreements (the “Understanding”). The Annex provides for a change to the payment schedule envisaged in the Understanding, such that part of the payment that was to be made in 2024 in the amount of PLN 15 million (approximately ILS 13.2 million) will be paid on 9 November 2023 and an amount of PLN 10 million (approximately ILS 8.8 million) will remain to be paid in 2024. The remaining provisions of the Understanding remain unchanged.
