W nawiązaniu do raportów bieżących nr 52/2021 z dnia 8 października 2021 r. oraz nr 31/2022 z dnia 22 września 2022 r. w sprawie zawarcia z Novavax, Inc. ("Novavax") umowy dotyczącej komercyjnej produkcji kontraktowej ("Umowa Produkcyjna") oraz aneksu do tej umowy przedłużającej okres jej obowiązywania, Zarząd Mabion S.A. informuje, że w dniu 18 czerwca 2026 r. Spółka zawarła z Novavax kolejny aneks do Umowy Produkcyjnej („Aneks”).

Na mocy Aneksu czas trwania Umowy Produkcyjnej uległ wydłużeniu do końca 2029 roku (poprzednio: koniec 2026 roku). Pozostałe warunki Umowy Produkcyjnej nie uległy zmianie. Na podstawie tej umowy Spółka będzie realizować na rzecz Novavax również usługi inne niż komercyjne wytwarzanie, zgodnie z zapotrzebowaniem identyfikowanym przez klienta oraz otrzymywać wynagrodzenie stosowne do zakresu wykonanych usług.

Zawarcie Aneksu umożliwia dalszą współpracę i poszerzanie zakresu współpracy w kolejnych latach. Jest też potwierdzeniem utrzymania przez Spółkę Mabion statusu strategicznego partnera w projektach realizowanych przez firmę Novavax.

Content of the report:

With reference to current reports No. 52/2021 dated 8 October 2021 and No. 31/2022 dated 22 September 2022 concerning the conclusion with Novavax, Inc. (“Novavax”) concerning master contract manufacturing agreement (“Manufacturing Agreement”) and an amendment to that agreement extending its term, the Management Board of Mabion S.A. hereby announces that on 18 June 2026, the Company entered into a further amendment to the Manufacturing Agreement (“Amendment”) with Novavax.

Pursuant to the Amendment, the term of the Manufacturing Agreement has been extended until the end of 2029 (previously: the end of 2026). The remaining terms of the Manufacturing Agreement remain unchanged. Under this agreement, the Company will also provide services to Novavax other than commercial manufacturing, in accordance with the client’s identified requirements and will receive remuneration commensurate with the scope of services rendered.

The signing of the Amendment allows further cooperation and scope of work extension in the following years. It also confirms that Mabion continues to hold the status of a strategic partner in projects carried out by Novavax.
