Bank Zachodni WBK S.A. („Bank”) niniejszym informuje, że w dniu 14 grudnia 2017 r. podpisał z Deutsche Bank AG umowę transakcyjną („Umowa Transakcyjna”) zakładającą, nabycie przez Bank wydzielonej części Deutsche Bank Polska S.A. („DBPL”), tj. określonej części działalności DBPL w skład, której wchodzi bankowość detaliczna, private banking, business banking (MŚP) oraz 100% akcji w DB Securities S.A. („Wydzielony Biznes”) („Transakcja”). Banco Santander S.A. – większościowy akcjonariusz Banku – jest również stroną Transakcji.

W tym samym dniu Bank zawarł z DBPL oraz z Deutsche Bank AG wstępną umowę podziału (umowę pre-demerger) określającą zasady współpracy pomiędzy Bankiem a DBPL w celu realizacji Transakcji.

W dniu 14 grudnia 2017 r. Zarząd Banku podjął decyzję o rozpoczęciu działań zmierzających do realizacji Transakcji wynikającej z Umowy Transakcyjnej.

Po przeprowadzeniu Transakcji Bank umocni swoją pozycję trzeciej pod względem wielkości instytucji finansowej w Polsce.

Zgodnie z Umową Transakcyjną, sieć oddziałów wraz z zewnętrznymi kanałami sprzedaży – agentów i pośredników DBPL zostanie włączona w obecną strukturę Banku. Wraz z Wydzielonym Biznesem nastąpi również transfer umów zarządzania aktywami, co z kolei umożliwi przeniesienie otwartej architektury funduszy inwestycyjnych. Bankowość korporacyjna i inwestycyjna oraz walutowe kredyty hipoteczne nie są przedmiotem Transakcji („Niewydzielony Biznes”).

Nabycie wydzielonej części Deutsche Bank Polska S.A. w tym akcji DB Securities S.A. nastąpi w wyniku podziału Deutsche Bank Polska S.A. przez wydzielenie w rozumieniu art. 529 § 1 pkt 4 ustawy z dnia 15 września 2000 r. – Kodeks spółek handlowych („Podział”).

Przed dokonaniem Podziału, Bank nabędzie od Deutsche Bank AG około 10% akcji DBPL, reprezentujących taką samą liczbę głosów na Walnym Zgromadzeniu DBPL („Nabyte Akcje”).

Następnie, po nabyciu Nabytych Akcji, DBPL oraz Bank złożą w odpowiednich sądach rejestrowych wnioski o rejestrację Podziału. Strony uzgodniły, że Podział zostanie przeprowadzany w oparciu o następujące zasady:
(a) DBPL będzie spółką dzieloną a Bank spółką przejmującą;
(b) w zamian za Wydzielony Biznes przenoszony na Bank w wyniku Podziału, Deutsche Bank AG otrzyma określoną liczbę akcji Banku („Akcje z Podziału”) na Dzień Podziału (zdefiniowany poniżej), obliczoną zgodnie z ustalonym wzorem, który będzie stanowił podstawę określenia parytetu w Planie Podziału;
(c) kapitał zakładowy DBPL zostanie obniżony o kwotę równą co najmniej całkowitej wartości nominalnej Nabytych Akcji („Obniżenie Kapitału Zakładowego w związku z Podziałem”) w dniu rejestracji obniżenia tego kapitału zakładowego przez właściwy sąd rejestrowy („Data Obniżenia Kapitału Zakładowego w związku z Podziałem”);
(d) Bank podwyższy swój kapitał zakładowy poprzez emisję Akcji z Podziału w ramach procesu Podziału i zaoferuje je Deutsche Bank AG („Podwyższenie Kapitału Zakładowego w związku z Podziałem”); data, w której właściwy sąd rejestrowy zarejestruje Podwyższenie Kapitału Zakładowego w Związku z Podziałem będzie „Dniem Podziału”.
(e) w rezultacie Obniżenia Kapitału Zakładowego w związku z Podziałem wszystkie Nabyte Akcje przestaną istnieć w Dacie Obniżenia Kapitału Zakładowego w związku z Podziałem a Deutsche Bank AG stanie się jedynym akcjonariuszem DBPL;
(f) w Dniu Podziału, Wydzielony Biznes zostanie przeniesiony na Bank;
(g) Niewydzielony Biznes nie zostanie przeniesiony na Bank w ramach Podziału i pozostanie w DBPL oraz
(h) aktywa i pasywa DBPL zostaną odpowiednio alokowane pomiędzy Wydzielony Biznes i Niewydzielony Biznes w oparciu o zasady dotyczące Podziału, określone w Umowie Transakcyjnej oraz w Planie Podziału, których szczegóły zostaną uzgodnione pomiędzy DBPL i Bankiem.

Wstępna cena za Wydzielony Biznes w wysokości 1 289 799 000 złotych została ustalona w odniesieniu do wymogu kapitałowego dla wartości aktywów Wydzielonego Biznesu ważonych ryzykiem (z wyłączeniem akcji DB Securities S.A.), ustalonych na podstawie prognoz finansowych na dzień zbliżony do daty podpisania Umowy Transakcyjnej, przy założeniu uzgodnionego przez strony poziomu współczynnika adekwatności kapitałowej. Część wstępnej cena za akcje DB Securities S.A. została ustalona w odniesieniu do wartości aktywów netto DB Securities S.A. Zapłata ceny z tytułu Transakcji zostanie dokonana częściowo w formie gotówkowej poprzez zapłatę ceny za Nabyte Akcje (stanowiących ekwiwalent 20% wstępnej ceny za Wydzielony Biznes) a częściowo w formie nowo wyemitowanych akcji Banku w ramach Podziału – stanowiących około 2,7% kapitału zakładowego Banku i odpowiadających 80% wstępnej ceny za Wydzielony Biznes. Po podpisaniu Umowy Transakcyjnej wstępna cena za Wydzielony Biznes (z wyłączeniem akcji DB Securities S.A.) zostanie skorygowana w oparciu o zmiany wartości aktywów ważonych ryzykiem jak i wszelkie zmiany wolumenów kredytowych, depozytowych oraz aktywów zarządzanych przez Wydzielony Biznes (z wyłączeniem DB Securities S.A.) pomiędzy dniem podpisania Umowy Transakcyjnej a Dniem Podziału, powyżej określonego poziomu. Cześć wstępnej ceny dotyczącej akcji DB Securities S.A. zostanie skorygowana w oparciu o zmianę wartości aktywów netto DB Securities S.A. do Dnia Podziału. Ostateczne rozliczenie ceny nabycia nastąpi w formie gotówkowej. Po dokonaniu Podziału udział Banco Santander S.A. w kapitale zakładowym Banku będzie wynosił około 67,6%.

Bank wskazuje ponadto, że przeprowadzenie Transakcji jest uzależnione od uzyskania wymaganych zgód regulacyjnych, w tym zgód Komisji Nadzoru Finansowego i Prezesa Urzędu Ochrony Konkurencji i Konsumentów oraz podjęcia wymaganych Uchwał przez Walne Zgromadzenia Banku oraz DBPL, podpisania Planu Podziału oraz spełnienia określonych warunków operacyjnych. Zakłada się, że Transakcja zostanie zakończona w czwartym kwartale 2018 r.

RE. Inside information – signing of the
transaction agreement related to the acquisition of certain businesses
(through a carve out) of Deutsche Bank Polska S.A.


Bank Zachodni WBK S.A. („the Bank”) hereby
informs that on 14th December 2017 it signed an agreement with Deutsche
Bank AG (the “Transaction Agreement”) pursuant to which it agreed to
acquire an organized part of business of Deutsche Bank Polska S.A.
(“DBPL”) consisting of DBPL’s retail banking, private banking, business
banking (SME) as well as 100% of shares in DB Securities S.A. (the
“Acquired Business”) (the “Transaction”). The Bank’s parent company
Banco Santander S.A. is also a party to the Transaction.


On the same day, the Bank entered into a
pre-demerger agreement with DBPL and Deutsche Bank AG which sets forth
the framework for cooperation between the Bank and DBPL with the aim to
execute the Transaction.


On 14th December 2017, the Management Board
of the Bank decided to commence all necessary actions to execute the
Transaction resulting from the Transaction Agreement.


After the Transaction, the Bank will
reinforce its position as the third largest financial institution in
Poland.


Pursuant to the Transaction Agreement, the
branch network along with the external sales channels – vendors and
agents of DBPL will also be integrated with Bank’s current network. The
asset management contracts will also be transferred along with the
Acquired Business, which will allow the transfer of the open investment
funds architecture. The corporate and investment banking business and
retail FX mortgages of DBPL are not the subject of the Transaction and
will remain in DBPL (the “Retained Business”).


Acquisition of the Acquired Businesses will
be made by a demerger (podział przez wydzielenie) within the meaning of
art. 529 § 1 item 4 of the Commercial Companies Code dated 15th
September 2000 (the “Demerger”).


Before the Demerger, the Bank will purchase
from Deutsche Bank AG around 10% shares in DBPL, representing the same
number of votes at the DBPL shareholders meeting (the “Purchased
Shares”).


After the acquisition of the Purchased
Shares, DBPL and the Bank will file motions to the relevant registry
courts to register the Demerger. The Parties agreed that the Demerger
will be effected on the following principal terms:


(a) DBPL will be the demerged company
(spółka dzielona) and the Bank will be the acquiring company (spółka
przejmująca);


(b) in exchange for the Acquired Business
being transferred to the Bank as a result of the Demerger, Deutsche Bank
AG shall receive a number of shares in the share capital of the Bank
(the "Demerger Shares") as at the Demerger Effective Date (as defined
below), calculated based on the agreed formula which will be the basis
for the determination of the share exchange ratio in the Demerger Plan;


(c) the share capital of DBPL will be
decreased by the amount equal to at least the total nominal value of the
Purchased Shares (the "Demerger Share Capital Decrease") on the date of
the registration of such decrease by the relevant registry court (the
"Demerger Share Capital Decrease Effective Date");


(d) the Bank will increase its share capital
by issuing the Demerger Shares as part of the Demerger to Deutsche Bank
AG (the "Demerger Share Capital Increase"); and the date on which the
registry court enters the Demerger Share Capital Increase in the
register shall be the "Demerger Effective Date";


(e) as a result of the Demerger Share
Capital Decrease all the Purchased Shares owned by the Bank will cease
to exist on the Demerger Share Capital Decrease Effective Date and
Deutsche Bank AG will become the sole shareholder in DBPL;


(f) on the Demerger Effective Date, the
Acquired Business will be transferred to the Bank;


(g) the Retained Business will not be
transferred to the Bank as part of the Demerger and will remain in DBPL;
and


(h) the assets and liabilities of DBPL shall
be allocated between the Acquired Business and the Retained Business
based on the terms of separation specified in the Transaction Agreement
and the Demerger Plan which details are to finalized between DBPL and
the Bank.


The initial estimated purchase price for the
Acquired Business, including the shares of DB Securities S.A., amounts
to PLN 1,289,799,000 and has been determined on the basis of the capital
requirement for the value of the risk weighted assets of the Acquired
Business (excluding DB Securities S.A. shares) established based on
financial projections as at a date close to signing the Transaction
Agreement, at an agreed capital adequacy ratio. The portion of the
initial estimated purchase price related to the value of DB Securities
S.A. shares has been determined on the basis of its net asset value.
Consideration for the Transaction will be paid both in cash by means of
the acquisition of the Purchased Shares (equivalent to a 20% of the
initial estimated price for the Acquired Business) and in newly issued
shares of the Bank (representing circa 2,7% of the Bank’s share capital
on a fully diluted basis) by means of the described Demerger (equivalent
to 80% of the initial estimated price for the Acquired Business). From
Agreement Date the initial estimated price for the Acquired Business
(excluding DB Securities S.A. shares) shall be adjusted based on the
changes in the risk weighted assets and any changes of the volumes of
loans, deposits, and assets under management of the Acquired Business
(excluding DB Securities S.A. shares) from the Transaction Agreement
Date until the Demerger Effective Date above an agreed level. The
portion of the initial purchase related to DB Securities S.A. shares
will be adjusted based on the changes to the net asset value of DB
Securities until the Demerger Effective Date. The final settlement of
the purchase price will be made in cash. Following the referred
Demerger, Banco Santander S.A. would hold circa 67,6% of the Bank’s
share capital.


Moreover, the Bank informs that completion
of the Transaction is subject to regulatory approvals, including
consents from the Polish Financial Supervision Authority and President
of the Office of Competition and Consumer Protection as well as the
necessary approvals from the General Shareholders’ Meetings of the Bank
and DBPL, signing of the Demerger Plan and fulfilment of some
operational conditions. Completion of the Transaction is expected in 4Q
2018
