| Zarząd ManyDev Studio SE ( Spółka ) w wykonaniu obowiązku przewidzianego w art. 70 pkt. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej jako: Ustawa), niniejszym informuje o otrzymaniu w dniu 26 lipca 2024 r. zawiadomień złożonych przez akcjonariuszy spółki w trybie art. 69 Ustawy. Wyżej wymienione zawiadomienia zostały złożone przez: 1. GSB Invest sp. z o.o. z siedzibą w Warszawie, ul. Marszałkowska 87 lok. 102, 00-683 Warszawa, KRS: 0000831195 (dalej: „GSB Invest”). Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca przekroczenie progu z art. 69 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek rejestracji w rejestrze przedsiębiorców Krajowego Rejestru Sądowego zmiany wysokości kapitału zakładowego Emitenta.” Przed w.w. zdarzeniem GSB Invest posiadał 6 899 999 akcji Spółki (30,53% w kapitale zakładowym spółki ManyDev Studio, 6 899 999 głosów, co stanowiło 30,53 % głosów w ogólnej liczbie głosów na walnym zgromadzeniu Spółki ManyDev Studio). Obecnie GSB Invest posiada 6 899 999 akcji Spółki (stanowiących 24,13% w kapitale zakładowym Spółki ManyDev Studio, uprawniających do 6 899 999 głosów, co stanowi 24,13% głosów w ogólnej liczbie głosów na walnym zgromadzeniu ManyDev Studio). W.w. zmiana nastąpiła w dniu 24 lipca 2024 r. 2. Code Horizon S.A. z siedzibą w Katowicach, ul. Adama Mickiewicza 18 lok. 10, 40-092 Katowice, KRS: 0000781574 (dalej: „CH”). Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca przekroczenie progu z art. 69 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek objęcia przez Code Horizon S.A. akcji serii J Emitenta, wyemitowanych w ramach podwyższenia kapitału zakładowego Emitenta, i rejestracji w rejestrze przedsiębiorców Krajowego Rejestru Sądowego zmiany wysokości kapitału zakładowego Emitenta.” Przed w.w. zdarzeniem CH nie posiadał żadnych akcji (0% w kapitale zakładowym spółki ManyDev Studio, 0 głosów, co stanowiło 0% głosów w ogólnej liczbie głosów na walnym zgromadzeniu Spółki ManyDev Studio. Obecnie CH posiada 5 715 000 (pięć milionów siedemset piętnaście tysięcy) akcji stanowiących 19,98% (w zaokrągleniu do dwóch miejsc po przecinku) w kapitale zakładowym spółki ManyDev Studio, uprawniających do 5 715 000 głosów, co stanowi 19,98% (w zaokrągleniu do dwóch miejsc po przecinku) głosów w ogólnej liczbie głosów na walnym zgromadzeniu ManyDev Studio. W.w. zmiana nastąpiła w dniu 24 lipca 2024 r. 3. Capeman Investment LTD, z siedzibą w Nikozji pod adresem Avlonos 1, Maria House 1075 Nicosia Cypr, założoną na podstawie prawa cypryjskiego i zarejestrowanej pod numerem HE 369485 - (dalej: „Capeman”), Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca zmianę z art. 69 ust. 2 pkt. 1 lit. a ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek rejestracji w rejestrze przedsiębiorców Krajowego Rejestru Sądowego zmiany wysokości kapitału zakładowego Emitenta.” Przed w.w. zdarzeniem Capeman posiadał 7.268.900 (siedem milionów dwieście siedemdziesiąt osiem tysięcy dziewięćset) akcji stanowiących 32,16% (w zaokrągleniu do dwóch miejsc po przecinku) w kapitale zakładowym spółki ManyDev Studio, uprawniających do 7.268.900 głosów, co stanowiło 32,16% (w zaokrągleniu do dwóch miejsc po przecinku) głosów w ogólnej liczbie głosów na walnym zgromadzeniu ManyDev Studio. Obecnie Capeman posiada 7.268.900 (siedem milionów dwieście siedemdziesiąt osiem tysięcy dziewięćset) akcji stanowiących 25,42% (w zaokrągleniu do dwóch miejsc po przecinku) w kapitale zakładowym spółki ManyDev Studio, uprawniających do 7.268.900 głosów, co stanowi 25,42% (w zaokrągleniu do dwóch miejsc po przecinku) głosów w ogólnej liczbie głosów na walnym zgromadzeniu ManyDev Studio. W.w. zmiana nastąpiła w dniu 24 lipca 2024 r. 4. PlayWay S.A. z siedzibą w Warszawie, ul. Bluszczańska 76 paw.6, 00-712 Warszawa, KRS: 0000389477 (dalej: „PlayWay”), o zmianie pośrednio posiadanego udziału w kapitale zakładowym i ogólnej liczbie głosów w Spółce. Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca przekroczenie progu z art. 69 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek rejestracji w rejestrze przedsiębiorców Krajowego Rejestru Sądowego zmiany wysokości kapitału zakładowego Emitenta.” W.w. zmiana nastąpiła w dniu 24 lipca 2024 r. 5. Pana Mateusza Zawadzkiego, o zmianie pośrednio posiadanego udziału w kapitale zakładowym i ogólnej liczbie głosów w Spółce. Zgodnie z treścią w.w. zawiadomienia: „Zmiana dotychczas posiadanego udziału w ogólnej liczbie głosów w MANYDEV STUDIO SE, obejmująca przekroczenie progu z art. 69 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, nastąpiła na skutek rejestracji w rejestrze przedsiębiorców Krajowego Rejestru Sądowego zmiany wysokości kapitału zakładowego Emitenta.” W.w. zmiana nastąpiła w dniu 24 lipca 2024 r. | Current Report No.49/2024 Subject: Notification pursuant to Art. 69 of the Public Offering Act on changing the share in the total number of votes Legal basis: Art. 70 point 1 of the Act on Public Offering The Management Board of ManyDev Studio SE (the Company) in fulfillment of the obligation provided for in Art. 70 points 1 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies (hereinafter referred to as the Act), hereby informs about the receipt on July 26, 2024 of notifications submitted by the company's shareholders pursuant to art. 69 of the Act. The above-mentioned notifications were submitted by: 1. GSB Invest sp. z o. o. based in Warsaw, ul. Marszałkowska 87 lok. 102, 00-683 Warszawa, KRS: 0000831195 (hereinafter: "GSB Invest"). In accordance with the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, occurred as a result of the registration of a change in the amount of the Issuer's share capital in the register of entrepreneurs of the National Court Register. Before the above event, GSB Invest held 6,899,999 shares of the Company (30.53% in the share capital of ManyDev Studio, 6,899,999 votes, which constituted 30.53% of votes in the total number of votes at the general meeting of ManyDev Studio). Currently, GSB Invest holds 6,899,999 shares of the Company (constituting 24.13% of the share capital of ManyDev Studio, entitling to 6,899,999 votes, which is 24.13% of the total number of votes at the general meeting of ManyDev Studio). above the change took place on July 24, 2024. 2. Code Horizon S.A. based in Katowice, ul. Adama Mickiewicza 18 lok. 10, 40-092 Katowice, KRS: 0000781574 (hereinafter: "CH"). In accordance with the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 of the Act on public offering and conditions for introducing financial instruments to organized trading and on public companies, occurred as a result of Code Horizon S.A. taking over. series J shares of the Issuer, issued as part of the increase in the Issuer's share capital, and registration in the register of entrepreneurs of the National Court Register of the change in the amount of the Issuer's share capital. Before the above event, CH did not hold any shares (0% in the share capital of ManyDev Studio, 0 votes, which constituted 0% of the votes in the total number of votes at the general meeting of ManyDev Studio. Currently, CH owns 5,715,000 (five million seven hundred and fifteen thousand) shares constituting 19.98% (rounded to two decimal places) in the share capital of ManyDev Studio, entitling to 5,715,000 votes, which constitutes 19.98% (rounded to two decimal places) of the total number of votes at the general meeting ManyDev Studio. above the change took place on July 24, 2024. 3. Capeman Investment LTD, with its registered office in Nicosia at Avlonos 1, Maria House 1075 Nicosia Cyprus, established under Cypriot law and registered under number HE 369485 - (hereinafter: "Capeman"), Pursuant to the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including an amendment to Art. 69 section 2 points 1 letter a of the Act on public offering and conditions for introducing financial instruments to organized trading and on public companies, there was a change in the amount of the Issuer's share capital as a result of registration in the register of entrepreneurs of the National Court Register. Before the above event, Capeman owned 7,268,900 (seven million two hundred and seventy-eight thousand nine hundred) shares constituting 32.16% (rounded to two decimal places) in the share capital of ManyDev Studio, entitling to 7,268,900 votes, which constituted 32.16% (rounded to two decimal places) votes in the total number of votes at the general meeting of ManyDev Studio. Currently, Capeman holds 7,268,900 (seven million two hundred and seventy-eight thousand nine hundred) shares constituting 25.42% (rounded to two decimal places) in the share capital of ManyDev Studio, entitling to 7,268,900 votes, which constitutes 25.42% (rounded to two decimal places) votes in the total number of votes at the general meeting of ManyDev Studio. above the change took place on July 24, 2024. 4. PlayWay S.A. based in Warsaw, ul. Bluszczańska 76 paw.6, 00-712 Warszawa, KRS: 0000389477 (hereinafter: "PlayWay"), on the change of indirectly held share in the share capital and the total number of votes in the Company. In accordance with the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, occurred as a result of the registration of a change in the amount of the Issuer's share capital in the register of entrepreneurs of the National Court Register. above the change took place on July 24, 2024. 5. Mr. Mateusz Zawadzki, on the change of his indirectly held share in the share capital and the total number of votes in the Company. In accordance with the above-mentioned notification: "Change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, occurred as a result of the registration of a change in the amount of the Issuer's share capital in the register of entrepreneurs of the National Court Register. above the change took place on July 24, 2024.
