| Zarząd spółki Echo Investment S.A. (Emitent) w nawiązaniu do raportu bieżącego Nr 30/2019 z dnia 14 sierpnia 2019 r. informuje, że w dniu 21 października 2021 r. Emitent, jako kupujący (Kupujący) oraz MBP 1 sp. z o.o. z siedzibą w Warszawie, spółka wchodząca w skład grupy Immofinanz, jako sprzedający (Sprzedający, przy czym Kupujący łącznie ze Sprzedającym będą dalej łącznie zwani Stronami), zawarły umowę sprzedaży nieruchomości położonych w Warszawie będących w użytkowaniu wieczystym Sprzedającego (Umowa). Na podstawie zawartej Umowy, Kupujący nabędzie nieruchomości Sprzedającego oraz inne składniki majątkowe obejmujące w szczególności prawo użytkowania wieczystego działek gruntu znajdujących się w Warszawie w rejonie ulic Domaniewskiej, Wołoskiej i Postępu, prawo własności budynków biurowych oraz budowli wzniesionym na tym gruncie. Łączna powierzchnia nieruchomości gruntowych, będących przedmiotem transakcji, wynosi 46.147 mkw. Wartość transakcji w dniu zawarcia Umowy wyniosła 221.612.325,00 PLN, powiększona o VAT. Postanowienia Umowy nie odbiegają od postanowień stosowanych w tego typu transakcjach. Umowa zawiera standardowe dla tego typu transakcji postanowienia dotyczące zapewnień i oświadczeń sprzedawcy i kupującego oraz dotyczące odpowiedzialności Stron. |

| Agreement for the acquisition of the real property in Warsaw The Management Board of Echo Investment S.A. (Issuer) in relation to the current report No 30/2019 dated 14 August 2019 informs that on 21 October 2021 the Issuer, as the buyer (Buyer), MBP 1 sp. z o.o. with its registered office in Warsaw, member of Immofinanz group, as the sellers (Seller, with the Buyer and the Seller jointly referred to as the Parties), concluded agreement for the sale of real properties located in Warsaw which are in perpetual usufruct by the Sellers (Agreement). On the basis of the concluded Agreement the Buyer shall acquire the Seller's real estate and other assets, including in particular the right of perpetual usufruct to the plots of land located in Warsaw in the area of Domaniewska, Wołoska and Postępu Streets, the ownership right to the office buildings and structures erected on this land. The total area of the real estate being the subject of the transaction is 46,147 square meters. The value of the transaction at the conclusion of the Agreement was PLN 221,612,325.00 increased by due VAT. The provisions of the Agreement do not differ from the provisions used in these types of transactions. The Agreement contains standard provisions for this type of transaction regarding representations and warranties of the seller and the buyer and regarding the Parties’ liability. |
