Rada Dyrektorów Allegro.eu („Spółka”) niniejszym informuje, że w dniu 12 grudnia 2025 r. Spółka otrzymała zawiadomienia dotyczące znacznych pakietów akcji, zgodnie z przepisami prawa, wysłane przez:

1. Permira VI Investment Platform Limited z siedzibą w Londynie, Zjednoczone Królestwo oraz

2. Permira VI Investment Platform S.à r.l. z siedzibą w Luksemburgu, Wielkie Księstwo Luksemburga.

Powiadomienie dotyczy dystrybucji 12,44% ogólnej liczby akcji w Spółce przez Permira VI Investment Platform Limited na rzecz jej wspólnika, Permira VI Investment Platform S.à r.l., w wyniku reorganizacji wewnątrzgrupowej. W następstwie tej reorganizacji wewnątrzgrupowej, Permira VI Investment Platform Limited nie posiada żadnych akcji ani praw głosu w Allegro.eu. Permira VI Investment Platform S.à r.l. posiada obecnie 12,44% ogólnej liczby akcji w Allegro.eu.

Zawiadomienia stanowią załącznik do niniejszego raportu.

Legal basis: Article 11 of the Luxembourg Law of 11 January 2008 on transparency requirements, as amended (the "Law")

The Board of Directors of Allegro.eu (the „Company”) hereby informs that on 12 December 2025 the Company received notifications with respect to major holding in accordance with the Law, sent by:

1/ Permira VI Investment Platform Limited with its registered seat in London, United Kingdom and

2/ Permira VI Investment Platform S.à r.l. with its registered office in Luxembourg, Grand Duchy of Luxembourg.

The notification concerns distribution of 12.44% of the Company’s shares by Permira VI Investment Platform Limited to its shareholder, Permira VI Investment Platform S.à r.l., as the result of an intra-group reorganisation. Following such intra-group reorganisation, Permira VI Investment Platform Limited holds no remaining shares or voting rights in Allegro.eu. Permira VI Investment Platform S.à r.l. now holds 12.44% of the shares in Allegro.eu.
