W nawiązaniu do raportu bieżącego nr 7/2026 Rada Dyrektorów (Board of Directors) Allegro.eu ("Spółka") niniejszym informuje o zakończeniu procedury połączenia Spółki (jako spółki przejmującej) z jej bezpośrednio w 100% zależną spółką Allegro Treasury S.à r.l. (jako spółką przejmowaną).

Zgodnie z aktem notarialnym potwierdzającym połączenie (Constat de fusion) sporządzonym 25 czerwca 2026 r., Spółka informuje, że wszystkie warunki określone we wspólnym planie połączenia zostały spełnione. W związku z powyższym, łączące się spółki uzgodniły, że dniem skuteczności połączenia (Effective Date) jest 25 czerwca 2026 r. Z tym dniem spółka Allegro Treasury S.à r.l. przestała istnieć.

Połączenie będzie skuteczne wobec osób trzecich z dniem opublikowania aktu notarialnego w elektronicznym dzienniku urzędowym RESA (Recueil électronique des sociétés et associations), zgodnie z wymogami luksemburskiej ustawy z dnia 10 sierpnia 1915 r. o spółkach handlowych (ze zm.).

Subject: Completion of the merger between Allegro.eu and Allegro Treasury S.à r.l.

Legal basis: Article 17(1) of MAR – inside information

With reference to the current report no. 7/2026 the Board of Directors of Allegro.eu (the "Company") hereby announces the completion of the merger of the Company (as the absorbing company) and its directly wholly-owned subsidiary, Allegro Treasury S.à r.l., (as the absorbed company).

Pursuant to the notarial deed acknowledging the merger (Constat de fusion) executed on 25 June 2026, the Company announces that all conditions set forth in the common merger plan have been fulfilled. Consequently, the merging companies have agreed that the effective date of the merger is 25 June 2026. As of that date, Allegro Treasury S.à r.l. has ceased to exist.

The merger shall become effective vis-à-vis third parties upon the publication of the notarial deed in the electronic official gazette RESA (Recueil électronique des sociétés et associations), in accordance with the requirements of the Luxembourg law of 10 August 1915 on commercial companies, as amended.
