| Zarząd XTPL S.A. [“Emitent", “Spółka", "XTPL"] informuje, że w dniu 4 stycznia 2022 roku pomiędzy Emitentem a merconics GmbH & Co. KG z siedzibą w Niemczech ["merconics"] została podpisana umowa dystrybucji rozwiązań technologicznych Emitenta w wybranych krajach Europy ["Umowa"]. Na mocy ww. Umowy merconics pełnić będzie rolę dystrybutora rozwiązań technologicznych XTPL w Europie m.in. na rynkach niemieckim, austriackim, francuskim i szwajcarskim. Współpraca ma na celu wsparcie Emitenta w znalezieniu coraz szerszych zastosowań dla technologii oraz produktów Spółki w centrach B+R, jednostkach naukowych oraz korporacjach technologicznych. Partnerstwo przyczyni się także do zwiększenia świadomości i rozpoznawalności rozwiązań Emitenta wśród globalnych graczy na rynku. Merconics to renomowany europejski dystrybutor w zakresie zaawansowanych urządzeń produkcyjnych i analitycznych do branży półprzewodnikowej, od ponad 15 lat dostarczający swoim klientom – globalnym producentom z sektora OEM (Original Equipment Manufacturer) najwyższej jakości przełomowe technologie. W swoim portfolio posiadają rozwiązania takich marek jak Bruker, Veeco, NovaCetrix czy Optomec. Podpisanie Umowy z merconics jest jednym z działań w ramach realizacji strategii komercjalizacji Spółki - utworzenia międzynarodowej sieci dystrybutorów rozwiązań technologicznych XTPL. Merconics jest czwartym dystrybutorem Spółki i drugim europejskim partnerem po Semitronics Sales Ltd. Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy dystrybucji na znaczące europejskie rynki za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki na wskazanych rynkach, a także na perspektywę postrzegania Emitenta przez inwestorów. W związku z powyższym, w opinii Zarządu informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 Rozporządzenia MAR. |

| Title: Conclusion of an agreement for distribution of the Issuer's technological solutions Legal basis: Article 17(1) MAR – inside information Content of the Report: The Management Board of XTPL S.A. (“Issuer”, “Company”, “XTPL”) reports that on 4 January 2022 an agreement was signed between the Issuer and merconics GmbH & Co. KG based in Germany (“merconics”), providing for distribution of the Issuer’s technological solutions in selected European countries (“Agreement”). Under the agreement, merconics will be the distributor of XTPL's technological solutions in Europe on the German, Austrian, French and Swiss markets, among others. The purpose of the cooperation is to support the Issuer in expanding the range of applications for the Company’s technology and products at R&D centers, scientific institutions and technological corporations. The partnership will also increase awareness and visibility of the Issuer's solutions among global market players. Merconics is a European renowneddistributor active in the area of advanced manufacturing and analytical equipment for the semiconductor sector. For more than 20 years, it has been providing its clients – global OEMs (Original Equipment Manufacturers) – with the highest quality breakthrough technologies. Their portfolio includes solutions from brands such as Bruker, Veeco, NovaCetrix or Optomec. The Agreement with merconics is one of the activities as part of implementation of the Company's strategy of creatingthe international network of distributors of XTPL technological solutions. Merconics is the Company’s fourth distributor and its second European partner next to Semitronics Sales Ltd. The Issuer's Management Board has decided that the conclusion of the Agreement is inside information, as its implementation may have a significant impact on the Issuer’s future income position, promotion of the Company's technological solutions in the indicated markets, and the Issuer's perception by investors. For this reason, in the opinion of the Management Board, the information about the conclusion of the Agreement meets the criteria set out in Article 7(1) of the MAR. |
