| Rada Dyrektorów Allegro.eu SA („Spółka”) informuje, że Allegro sp. o.o., spółka pośrednio zależna od Spółki, podpisała w dniu 2 kwietnia 2024 roku umowę („Umowa”) z RUCH S.A. („RUCH”), oferującym usługi dostaw ORLEN Paczka. W ramach trwającej od 2017/2018 r. współpracy Allegro z RUCH S.A., strony podpisały najnowszą umowę dotyczącą (i) dostaw do sieci automatów paczkowych („APM”) i punktów odbioru („PUDO”) ORLEN Paczki oraz (ii) dostaw do sieci automatów paczkowych i punktów odbioru Allegro One - One Box i One Point. Umowa zawiera deklarację wolumenową dla RUCH S.A. Określone w Umowie opłaty na rzecz RUCH S.A. pozostaną stałe do końca 2024 roku i będą korygowane zgodnie ze wzorem określonym w Umowie w styczniu każdego kolejnego roku. Wzór ten opiera się na zmianach czynników makroekonomicznych, tj. stopy inflacji, przeciętnego wynagrodzenia i cen oleju napędowego. Warunki techniczne dostaw do sieci Allegro One będą uzgodnione pomiędzy Stronami odrębnie. Umowa zawarta jest na czas oznaczony do końca 2030 roku z 12-miesięcznym okresem wypowiedzenia, przy czym wypowiedzenie nie jest możliwe wcześniej niż po upływie 36 miesięcy od dnia podpisania umowy. Od 2025 roku umowa przewiduje rabaty, dopłaty oraz możliwość wcześniejszego rozwiązania w przypadku znaczących rozbieżności pomiędzy deklarowanymi a rzeczywistymi wolumenami lub gorszymi wynikami jakościowymi. RUCH S.A. zobowiązany jest do utrzymania określonego poziomu wydajności i poziomu usług przez okres obowiązywania Umowy i dalszy rozwój sieci APM w Polsce. Ponadto Strony zobowiązały się do dalszej współpracy w zakresie rozwoju nowych usług i identyfikowania synergii operacyjnych, jak również do świadczenia wzajemnych usług marketingowych przez cały okres obowiązywania Umowy, w tym umieszczania marki Allegro na automatach paczkowych ORLEN Paczki. Umowa wpisuje się w trwające działania Spółki mające na celu skalowanie i dywersyfikację sieci APM i PUDO poprzez poszerzanie współpracy z partnerami logistycznymi oraz zwiększanie wykorzystania własnej sieci APM. | Current report No. 8/2024 Date: 2 April 2024 Title: Allegro sp. z o.o. signed an agreement with RUCH S.A. Legal basis: Article 17 of MAR - inside information The Board of Directors of Allegro.eu SA (the "Company”) hereby informs that Allegro sp. o.o., a wholly owned indirect subsidiary of the Company, signed an agreement on 2 April 2024 (the “Agreement”) with RUCH S.A. (the “RUCH”), which offers the delivery service to the ORLEN Paczka network. As part of the ongoing cooperation between Allegro and RUCH, in operation since 2017/2018, the Parties signed the latest Agreement referring to (i) deliveries to RUCH’s ORLEN Paczka out-of-home network of automated parcel machines (“APMs”) and pick-up drop-off points (“PUDOs”), and (ii) deliveries to Allegro’s out-of-home network of One Box and One Point. The Agreement includes a volume declaration for RUCH. RUCH's fees set out in the Agreement will remain fixed until the end of 2024 and then adjusted by the formula outlined in the Agreement in January of each subsequent year. The formula at hand is based on the changes in macroeconomic factors, namely the inflation rate, average wage, and diesel prices. The technical conditions of deliveries to Allegro’s One network are to be agreed between the Parties separately. The Agreement is concluded for a definite term until the end of 2030 with a 12-month termination period, whereas termination is not possible earlier than 36 months from the date of signing the contract. From 2025 onward, the contract envisages rebates, surcharges and earlier termination in the event of significant discrepancies between declared and actual volumes or quality underperformance. In turn, RUCH shall maintain certain capacity and service levels for the term of the Agreement and further APMs network development in Poland. Furthermore, both Parties committed to further their cooperation in developing new services and identifying operational synergies. The parties also agreed to provide mutual marketing services throughout the Agreement, including placing the Allegro brand on ORLEN Paczka lockers. The Agreement is part of the Company's ongoing efforts to scale and diversify the network of APMs and PUDOs through expanding cooperation with its logistics partners as well as increasing utilisation of the Company's own APM network.
