| Bank Polska Kasa Opieki Spółka Akcyjna („Bank”) informuje, że w dniu 20 maja 2020 r. Bank otrzymał postanowienie Sądu Rejonowego dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego o rejestracji w dniu 18 maja 2020 r. w rejestrze przedsiębiorców Krajowego Rejestru Sądowego („KRS”) zmian w Statucie Banku, dokonanych na podstawie uchwał nr 30, 31 oraz 32 Zwyczajnego Walnego Zgromadzenia Akcjonariuszy Banku z dnia 26 czerwca 2019 r. („ZWZ 2019”). Jednocześnie Bank informuje, że w zakresie zmian § 6 ust. 1 pkt 20 Statutu Banku (przyjętych uchwałą nr 30 ZWZ 2019) oraz w zakresie zmian § 6 ust. 1 pkt 24 Statutu Banku oraz dodania § 6 ust. 1 pkt 40), § 6 ust. 1 pkt 41), § 6 ust. 1 pkt 42), § 6 ust. 1 pkt 43), § 6 ust. 1 pkt 44) Statutu Banku (przyjętych uchwałą nr 31 ZWZ 2019), wpis do rejestru przedsiębiorców KRS został dokonany przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy KRS pomimo niezakończenia postępowania przed Komisją Nadzoru Finansowego w przedmiocie udzielenia zezwolenia na wprowadzenie powyższych zmian oraz niezgodnie z dokumentami złożonymi przez Bank w tymże sądzie. Zgodnie z art. 694(5) § 2 Kodeksu Postępowania Cywilnego, powyższe postanowienie sądu jest skuteczne i wykonalne z chwilą jego wydania. Bank informuje, że zamierza niezwłocznie podjąć kroki prawne celem wykreślenia z rejestru przedsiębiorców KRS wpisu zmian Statutu Banku zarejestrowanych bez zezwolenia Komisji Nadzoru Finansowego. Treść zmienionych lub nowych postanowień Statutu Banku stanowi załącznik do niniejszego raportu bieżącego, z osobnym wyszczególnieniem zmian zarejestrowanych zgodnie z zezwoleniem Komisji Nadzoru oraz bez takiego zezwolenia. Podstawa prawna: § 5 pkt 1 w zw. z § 6 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz. U. 2018 poz. 757). |

| UNOFFICIAL TRANSLATION21.05.2020 - Report 28/2020: Amendments of the Statute of Bank Polska Kasa Opieki Spółka AkcyjnaLegal basis:Article 56 Section 1 point 2 of the Offering Act – current and periodic informationContent of the report:Bank Polska Kasa Opieki Spółka Akcyjna (the “Bank”) informs that on 20 May 2020 the Bank received a decision of the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register on registration on 18 May 2020 in the Register of Entrepreneurs of the National Court Register (NCR) changes in the Bank's Statute, adopted on the basis of resolutions 30, 31 and 32 of the Ordinary General Meeting dated 26 June 2019 (“OGM 2019”).The Bank moreover informs that, as regards amendments to § 6(1) point 20 of the Bank Statute (adopted by the resolution no 30 of the OGM 2019) and amendments to § 6(1) point 24 of the Bank’s Statute and adding § 6(1) point 40), § 6(1) point 41), § 6(1) point 42), § 6(1) point 43), § 6(1) point 44) to the Bank’s Statute (adopted by the resolution no 31 of the OGM 2019), entry to the NCR business register was made by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the NCR, despite the continuation of the proceedings before the Polish Financial Supervision Authority regarding the approval to introduce the above amendments to the Bank’s Statute and not in accordance with the documents submitted by the Bank in that court.Pursuant to Article 694(5) § 2 of the Code of Civil Procedure, the above mentioned court's decision is effective and enforceable upon its issuance. The Bank informs that it intends to take immediately legal steps to remove from the NCR business register the entry of the amendments to the Bank's Statute registered without the approval of the Polish Financial Supervision AuthorityContent of the amended or new provisions of the Bank’s Statute is attached to this current report, with a separate specification of the changes registered in accordance with the approval of the Polish Financial Supervision Authority and without such approval.Legal basis: § 5 point 1 in connection with § 6 of the Regulation of the Minister of Finance of 29 March 2018 regarding current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state (Journal of Laws of 2018, item 757). |
