| ORLEN S.A. („ORLEN”, „Spółka”) powziął informację z Sądu Okręgowego w Łodzi, X Wydział Gospodarczy, o wniesieniu przez akcjonariusza Spółki pozwów o stwierdzenie nieważności lub uchylenie następujących uchwał podjętych przez Zwyczajne Walne Zgromadzenie w dniu 25 czerwca 2024 roku: - Uchwały Nr 13 w sprawie absolutorium z wykonania obowiązków w roku 2023 Członka Zarządu Spółki, Pana Adama Buraka, - Uchwały Nr 20 w sprawie absolutorium z wykonania obowiązków w roku 2023 Członka Zarządu Spółki, Pani Iwony Waksmundzkiej – Olejniczak. W ocenie Spółki pozwy są bezzasadne. |

| The statements of claims for annulment or repeal of the resolutions of the Ordinary General Meeting of ORLEN S.A.Regulatory announcement no 48/2024 dated 19 August 2024ORLEN S.A. (“ORLEN”, “Company”) acquired an information from the District Court for Łódź, X Commercial Division, about the statements of claims filed by the Company’s shareholder for annulment or repeal of the following resolutions adopted by the Ordinary General Meeting of ORLEN on 25 June 2024:- Resolution No 13 on discharge of member of the Management Board, Mr Adam Burak of liability for his activities in 2023,- Resolution No 20 on discharge of member of the Management Board, Mrs Iwona Waksmundzka-Olejniczak of liability for her activities in 2023.In the Company’s opinion the statements of claims are groundless. | |||
