| W nawiązaniu do raportów bieżących nr 16/2019 oraz nr 17/2019 z dnia 12 kwietnia 2019 roku, Zarząd spółki Grupa Azoty S.A. (dalej: „Emitent”) informuje, że w dniu 9 maja 2019 roku Emitent, spółka zależna Emitenta – Grupa Azoty Zakłady Chemiczne „Police” S.A. i spółka zależna od Emitenta i Grupy Azoty Zakłady Chemiczne „Police” S.A. – PDH Polska S.A. (dalej: „PDH”) oraz Hyundai Engineering Co., Ltd (dalej: „Hyundai”) i Korea Overseas Infrastructure & Urban Development Corporation (dalej: „KIND”), zwane dalej łącznie „Stronami”, podpisały porozumienie o współpracy inwestycyjnej (dalej: „Porozumienie o Współpracy Inwestycyjnej”), stanowiące podstawę do prowadzenia dalszych rozmów w sprawie potencjalnego udziału Hyundai i KIND w finansowaniu planowanego przez PDH projektu inwestycyjnego „Polimery Police” (dalej: „Projekt Polimery Police”) poprzez objęcie przez Hyundai i KIND nowych akcji w kapitale zakładowym PDH i wniesieniu wkładu na kapitał zakładowy PDH w kwocie, odpowiednio, 80 mln USD oraz 50 mln USD („Inwestycja”). Zgodnie z postanowieniami Porozumienia o Współpracy Inwestycyjnej Strony będą prowadziły rozmowy oraz negocjacje w dobrej wierze, zmierzające do uzgodnienia wszystkich istotnych elementów udziału Hyundai i KIND w finansowaniu Projektu Polimery Police. Emitent wskazuje, że Porozumienie o Współpracy Inwestycyjnej nie stanowi wiążącego zobowiązania Stron do przeprowadzenia Inwestycji. Emitent będzie informował o wynikach prowadzonych negocjacji w odrębnych raportach bieżących. Realizacja ewentualnej Inwestycji uzależniona będzie m.in. od pozytywnego wyniku badania due diligence Inwestycji oraz uzyskania wewnętrznych zgód korporacyjnych przez Hyundai i KIND na przeprowadzenie Inwestycji. Porozumienie o Współpracy obowiązuje do dnia 1 grudnia 2019 r. | Current Report No. 27/2019 dated 10 May 2019 Signing of the Investment Cooperation Agreement Legal basis: Article 17(1) of MAR – Inside information. Further to Current Reports No. 14/2019 and No. 15/2019 dated 12 April 2019, the Management Board of Grupa Azoty S.A. (the “Company”) announces that on 10 May 2019 the Company, the Company’s subsidiary – Grupa Azoty Zakłady Chemiczne “Police” S.A., the subsidiary of the Company and Grupa Azoty Zakłady Chemiczne “Police” S.A. – PDH Polska S.A. (“PDH”), Hyundai Engineering Co., Ltd (“Hyundai”), and Korea Overseas Infrastructure & Urban Development Corporation (“KIND”), jointly referred to as the “Parties”, signed an investment cooperation agreement (the “Investment Cooperation Agreement”), which is the starting point for negotiations on the potential participation of Hyundai and KIND in the financing of the Polimery Police project planned by PDH (the “Polimery Police Project”) by way of Hyundai and KIND acquiring new shares in the share capital of PDH and contributing, respectively, USD 80m and USD 50m to the share capital of PDH (the “Investment”). In accordance with the Investment Cooperation Agreement, the Parties will conduct discussions and negotiations in good faith, aimed at agreeing on all significant elements of participation of Hyundai and KIND in the financing of the Polimery Police Project. The Company underlines that the Investment Cooperation Agreement does not constitute the Parties’ commitment to undertake the Investment. The Company will report on the progress of the negotiations in separate current reports. The Investment is subject to several conditions, including positive results of due diligence for the Investment and obtaining relevant internal approvals by Hyundai and KIND for the Investment. The Investment Cooperation Agreement is valid until 1 December 2019.
