Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”), w nawiązaniu do raportu bieżącego ESPI nr 41/2026 z dnia 17 czerwca 2026 r. dotyczącego złożenia ofert w postępowaniach prowadzonych przez Directorate General Defence Purchase („DGDP”) Ministerstwa Obrony Bangladeszu, oznaczonych numerami 221.583.25 oraz 221.584.25, a także raportu bieżącego ESPI nr 42/2026 z dnia 22 czerwca 2026 r. dotyczącego zawarcia ramowej umowy o współpracy z The Blue Falcon z siedzibą w Dhace („Partner”), informuje o otrzymaniu w dniu 25 września 2026 roku informacji pozwalających na aktualizację statusu wskazanych postępowań oraz określenie dalszych kierunków współpracy.

Zgodnie z informacjami przekazanymi Emitentowi przez Partnera, działającego jako autoryzowany lokalny przedstawiciel Spółki w przedmiotowych postępowaniach, oferty złożone w ramach DGDP Tender No. 221.583.25 oraz DGDP Tender No. 221.584.25 nie zostały dopuszczone do etapu oceny finansowej. Według informacji przekazanych Emitentowi przez Partnera, na etapie oceny technicznej DGDP nie zaakceptowała dokumentacji dotyczącej wymaganego certyfikatu ISO przedstawionej w toku postępowań, co uniemożliwiło zakwalifikowanie ofert do kolejnego etapu procedury. Partner poinformował jednocześnie Emitenta, że nie otrzymał od DGDP odrębnego formalnego pisemnego zawiadomienia, protokołu ani decyzji określającej wynik oceny ofert.

W przypadku otrzymania w przyszłości dodatkowej oficjalnej dokumentacji DGDP dotyczącej przedmiotowych postępowań, Emitent dokona jej analizy i, jeżeli zawarte w niej informacje będą spełniały kryteria informacji poufnej, poinformuje o nich zgodnie z obowiązującymi przepisami. W konsekwencji Emitent przyjmuje, że udział Spółki w obu wskazanych postępowaniach został zakończony na etapie oceny technicznej i postępowania te nie doprowadziły do zawarcia umów z Emitentem.

Dodatkowo Zarząd Emitenta informuje, że zakończenie udziału Spółki w powyższych postępowaniach nie wpływa na obowiązywanie ramowej umowy o współpracy z The Blue Falcon, o której Emitent informował raportem ESPI nr 42/2026. Strony podtrzymują zamiar dalszego rozwoju współpracy, w szczególności w sektorze obronnym, bezpieczeństwa, technologii dual-use oraz w zakresie rozwiązań militarnych i okołomilitarnych oferowanych lub rozwijanych przez Emitenta wspólnie z jego partnerami technologicznymi i przemysłowymi.

W ramach dalszych uzgodnień Partner potwierdził zainteresowanie aktywnym rozwojem na rynku Bangladeszu projektami dronowymi Spółki i jej kontrahentów oraz pełnieniem roli lokalnego partnera przy organizacji prezentacji rozwiązania dla właściwych przedstawicieli sił zbrojnych i administracji państwowej. Partner wskazał w szczególności Bangladesh Army Headquarters, Directorate General Defence Purchase oraz właściwe struktury techniczne Ministerstwa Obrony Bangladeszu jako potencjalne instytucje, z którymi możliwe byłoby rozpoczęcie rozmów dotyczących prezentacji i dalszej oceny systemu.

The Blue Falcon potwierdził ponadto swoje wstępne i niewiążące zainteresowanie dotyczące do 10 systemów IRYDA+ X1 przeznaczonych do celów testowych i ewaluacyjnych oraz zwrócił się do Emitenta o przygotowanie projektu niewiążącej deklaracji zainteresowania (Expression of Interest). Partner zadeklarował również gotowość do organizacji wstępnych prezentacji i spotkań z przedstawicielami właściwych instytucji oraz do koordynacji działań zmierzających do przeprowadzenia demonstracji systemu dla potencjalnych odbiorców w Bangladeszu.

O zawarciu wiążących umów, otrzymaniu zamówień, rozpoczęciu formalnych procedur zakupowych, przeprowadzeniu istotnych demonstracji lub wystąpieniu innych zdarzeń spełniających kryteria informacji poufnej Emitent będzie informował w odrębnych raportach bieżących.

Zarząd Emitenta uznał publikację niniejszej informacji za istotną z uwagi na konieczność aktualizacji informacji przekazanych raportem ESPI nr 41/2026 dotyczących postępowań przeprowadzanych przez DGDP, a także potwierdzenie dalszego obowiązywania i rozwoju współpracy strategicznej z The Blue Falcon opisanej raportem ESPI nr 42/2026 oraz możliwość wykorzystania tej współpracy przy komercjalizacji projektów rozwiązań Emitenta.

MESSAGE (ENGLISH VERSION)

The Management Board of MBF Group S.A., with its registered office in Warsaw (the “Issuer”, the “Company”), with reference to ESPI current report No. 41/2026 of 17 June 2026 concerning the submission of tenders in procurement procedures conducted by the Directorate General for Defence Procurement (“DGDP”) of the Ministry of Defence of Bangladesh, numbered 221.583.25 and 221.584.25, as well as ESPI current report No. 42/2026 dated 22 June 2026 concerning the conclusion of a framework cooperation agreement with The Blue Falcon, with its registered office in Dhaka (“Partner”), hereby announces that on 25 September 2026 it received information from the Partner enabling it to update the status of the aforementioned procedures and to determine the future direction of the cooperation.

According to the information provided to the Issuer by the Partner, acting as the Company’s authorised local representative in the proceedings in question, the tenders submitted under DGDP Tender No. 221.583.25 and DGDP Tender No. 221.584.25 were not admitted to the financial evaluation stage. According to information provided to the Issuer by the Partner, at the technical evaluation stage, the DGDP did not accept the documentation relating to the required ISO certificate submitted during the proceedings, which prevented the bids from qualifying for the next stage of the procedure. The Partner also informed the Issuer that it had not received from the DGDP any separate formal written notification, minutes or decision setting out the outcome of the tender evaluation.

Should the Issuer receive any further official documentation from the DGDP concerning the proceedings in question in the future, it will analyse it and, if the information contained therein meets the criteria for confidential information, will disclose it in accordance with the applicable regulations. Consequently, the Issuer assumes that the Company’s participation in both of the aforementioned procedures was concluded at the technical evaluation stage and that these procedures did not result in the conclusion of any contracts with the Issuer.

In addition, the Issuer’s Management Board hereby states that the termination of the Company’s participation in the aforementioned procedures does not affect the validity of the framework cooperation agreement with The Blue Falcon, which the Issuer disclosed in ESPI Report No. 42/2026. The parties maintain their intention to further develop their cooperation, in particular in the defence and security sectors, dual-use technologies, and in the field of military and military-related solutions offered or developed by the Issuer in conjunction with its technological and industrial partners.

As part of further discussions, the Partner confirmed its interest in actively developing the Company’s and its contractors’ drone projects in the Bangladeshi market, and in acting as a local partner in organising presentations of the solution to the relevant representatives of the armed forces and the state administration. In particular, the Partner identified the Bangladesh Army Headquarters, the Directorate General of Defence Procurement and the relevant technical departments of the Bangladesh Ministry of Defence as potential institutions with which discussions regarding the presentation and further evaluation of the system could be initiated.

The Blue Falcon also confirmed its preliminary and non-binding interest in up to 10 IRYDA+ X1 systems intended for testing and evaluation purposes, and requested that the Issuer prepare a draft non-binding Expression of Interest. The partner has also declared its readiness to organise preliminary presentations and meetings with representatives of the relevant institutions, and to coordinate activities aimed at conducting a demonstration of the system for potential customers in Bangladesh.

The Issuer will provide information in separate current reports regarding the conclusion of binding agreements, the receipt of orders, the commencement of formal procurement procedures, the conduct of significant demonstrations or the occurrence of other events meeting the criteria for confidential information.

The Issuer’s Management Board has deemed the publication of this information to be material due to the need to update the information provided in ESPI Report No. 41/2026 concerning proceedings conducted by the DGDP, as well as to confirm the continued validity and development of the strategic cooperation with The Blue Falcon described in ESPI Report No. 42/2026 and the potential to utilise this cooperation in the commercialisation of the Issuer’s future solutions.
